ALLGEMEINE GESCHÄFTSBEDINGUNGEN
für Rights Managed (RM) Bildmaterial von vario images, Inh. Susanne Baumgarten e.K.

1. Geltungsbereich der Geschäftsbedingungen
1.01.
Alle Angebote, Lieferungen, elektronischen Übermittlungen und die Vergabe von Nutzungsrechten erfolgen ausschließlich freibleibend und nicht exklusiv zu den nachstehenden Geschäftsbedingungen. Anderweitige Nutzungsrechtvereinbarungen für aktuelle oder zukünftige Lieferungen müssen gesondert (individuell) vereinbart / ausgehandelt werden. Zusätzlich enthält die vario-Rechnung Informationen über den zulässigen Verwendungszweck, mögliche zusätzliche Einschränkungen sowie den Preis der Lizenz für das zur Verfügung gestellte Bildmaterial. Zusammen bilden die Honorarabsprachen und die Geschäftsbedingungen eine bindende Vereinbarung zwischen dem Besteller und vario.

1.02.
Mit Bildmaterial sind alle Arten von Bildern und zugehörigen Informationsmaterialien auf jedem beliebigen Medium in analoger oder digitaler Form gemeint, einschließlich Text, Überschriften, Bildunterschriften oder sonstiger zugehöriger Informationen.

1.03.
Abweichende Geschäftsbedingungen des Bestellers/Nutzers gelten nur bei schriftlicher Bestätigung durch vario. Geschäftsbedingungen des Bestellers/Nutzers, auf die in Bestellformularen, Lieferbestätigungen o.ä. oder in eigenen Dateien, Rechnern, im Internet oder entsprechenden Medien verwiesen werden, wird hiermit ausdrücklich widersprochen. Sowohl für den Fall der Lieferung und ggf. Nutzung analogen Bildmaterials als auch für den Fall der Lieferung und ggf. Nutzung elektronisch übermittelter Bilddaten kommt ein Vertragsverhältnis nur auf der Grundlage dieser Allgemeinen Geschäftsbedingungen zustande, andernfalls darf das übermittelte Bildmaterial bzw. dürfen die übermittelten Bilddaten nicht genutzt werden.

1.04.
Eine Ablehnung der Allgemeinen Liefer- und Geschäftsbedingungen von vario erlangt bei digitalem Bildmaterial durch sofortige Löschung der Bilddatei und diesbezügliche schriftliche Bestätigung gegenüber vario Gültigkeit. Geht diese schriftliche Bestätigung nicht umgehend bei vario ein, so gelten damit unsere AGB in ihrer vollständigen Fassung als anerkannt.

2. Bildrechte
2.01.
Bildmaterial an dem der Besteller keine Nutzungsrechte erwerben möchte bzw. erworben hat, ist umgehend zu löschen.

Bildmaterial, an dem der Besteller Nutzungsrechte erworben und / oder seine Verwendungsabsicht bekundet hat, ist innerhalb von 30 Tagen nach Erhalt des Bildmaterials zu löschen, unabhängig davon, ob der Besteller es tatsächlich genutzt hat oder nicht. Die Löschung bezieht sich auch auf Textunterlagen, die dem Besteller mit dem Bildmaterial überlassen wurden.

2.02.
Die werbliche Nutzung des Materials ist erst gestattet, nachdem vario mit einer schriftlichen Freigabeerklärung der geplanten Nutzung und dem mitgeteilten Verwendungszweck zugestimmt hat. „Low-Resolution.Material“ darf grundsätzlich nicht zur Veröffentlichung und Verbreitung genutzt werden.

2.03
Das gesamte Bildmaterial (analog / digital) bleibt stets im Eigentum von vario / des Urhebers. Es wird ausschließlich vorübergehend und zum Erwerb von Nutzungsrechten im Sinne des Urheberrechtsgesetzes vorübergehend zu Verfügung gestellt.

2.04.
Grundsätzlich wird nur das Nutzungsrecht am fotografischen Urheberrecht übertragen. Das gilt insbesondere für Bildvorlagen, die vom Bildinhalt her einem weiteren Urheberschutz, Markenschutz, Rechten Dritter oder sonstigen Rechten unterliegen. Die Einräumung von Nutzungsrechten steht unter der Bedingung, dass der Besteller alle erforderlichen und von vario nicht schriftlich zugesicherten Freigaben und Einwilligungen einholt. Auf Aufforderung ist vario ein entsprechender Nachweis vorzulegen. Das Bildmaterial wird von vario nur zur vertragsgemäßen Nutzung zur Verfügung gestellt und ist mit erfolgter Verwendung sofort im elektronischen Speicher zu löschen

Die vertraglich eingeräumten Rechte gelten nur für die einmalige Verwendung im vereinbarten Umfang. Wiederholungen oder sonstige Ausweitungen der ursprünglich eingeräumten Nutzungsrechte sind nur mit der vorherigen schriftlichen Zustimmung seitens vario erlaubt. Die Zustimmung von vario ist insbesondere im Falle einer beabsichtigten werblichen Nutzung des Bildmaterials einzuholen. Dies gilt auch für derzeit noch nicht bekannte Nutzungsarten.

Exklusivrechte oder Sperrfristen müssen gesondert vereinbart werden und bedingen mindestens einen Aufschlag von 100 % des jeweiligen Grundhonorars.

Die Zustimmung von vario zur Übertragung von Nutzungsrechten ist auch dann nicht entbehrlich, wenn die Übertragung im Rahmen der Gesamtveräußerung eines Unternehmens oder der Veräußerung von Teilen eines Unternehmens erfolgte (§ 34 Abs. 3 UrhG); diese Klausel ist als gesonderte Vereinbarung gemäß § 34 Abs. 4 UrhG anzusehen.

2.05.
Jede Nutzung des Bildmaterials von vario ist honorarpflichtig. Dies gilt auch bei Verwendung eines Bildes als Vorlage für Zeichnungen, Karikaturen, nachgestellte Fotos, bei Verwendung für Layoutzwecke und Kundenpräsentationen sowie bei Verwendungen von Bilddetails, die mittels Montagen, Fotocomposing, elektronischen Bildträgern oder ähnlichen Techniken Bestandteil eines neuen Bildes werden.

2.06.
Die Weitergabe der Bilddaten oder die Weitergabe von Nachdruckrechten an Dritte ist nicht gestattet. Ebenso Datenkopien, Reproduktionen und Vergrößerungen und elektronische Speicherung von Bilddaten für Archivzwecke des Bestellers sowie die Weitergabe derselben an Dritte nicht gestattet. Sonderfälle bedürfen der schriftlichen Genehmigung von vario. Der Besteller ist verpflichtet, vario Auskunft zu erteilen, ob und in welchem Umfang er ggf. denoch dupliziert, Bilddaten gespeichert oder sonst Vorlagen für eigene Archivzwecke angefertigt hat, bzw. an Dritte weitergegeben hat. Der Besteller haftet der Bildagentur gegenüber bis zum unversehrten Eintreffen der Bilder, auch wenn die Fotos vom Besteller an Dritte weitergegeben werden. Dies gilt auch, wenn die Bilder auf Wunsch des Bestellers von vario an einen Dritten gesandt werden.

2.07.
Eine Veränderung oder gar Entstellung des urheberrechtlich geschützten Werkes durch Abzeichnen, Nachfotografieren, Fotocomposing oder elektronische Hilfsmittel ist nicht gestattet. Ausnahmen bedürfen einer gesonderten Vereinbarung. Von dem Verbot von Änderungen sind lediglich die Beseitigung ungewollter Unschärfen oder farblicher Schwächen mittels elektronischer Retusche sowie kleinere Beschneidungen (Cropping) aus Platzgründen ausgenommen.

2.08.
Wird ein bebildertes Objekt (wie z.B. ein Buch, ein Plattencover, eine CD- / DVD-Hülle, ein Prospekt etc.) in einem neuen Medium abgebildet, so ist für das darauf erkennbare Fotomotiv erneut Honorar fällig, unabhängig von bereits honorierten Nutzungsrechten für das gleiche Bild im ursprünglichen Verwendungszusammenhang. Dies gilt insbesondere bei der Nutzung zu Werbezwecken. Der Verwender hat vario über den neuen Verwendungszweck zu informieren und sich die Zustimmung zur Nutzung vorher schriftlich erteilen zu lassen, andernfalls gilt insoweit auch die Vertragsstrafenregelung dieser Allgemeinen Geschäftsbedingungen.

2.09.
Bei Verstoß gegen die Allgemeinen Geschäftsbedingungen erlischt das Nutzungsrecht automatisch, ohne das es einer Kündigung bedarf.

2.10.
vario behält sich die Übertragung von Zweitrechten an Verwertungsgesellschaften ausdrücklich vor und erkennt Klauseln, nach denen mit der Annahme des Honorars die Wahrnehmung weiter Rechte ausgeschlossen sein sollte, nicht an; ausgenommen sind Fälle, in denen dem Besteller / Verwender an bzw. für das überlassene Bildmaterial ausschließliche Nutzungsrechte eingeräumt worden sind.

2.11.
Soweit vorstehend nicht besonders aufgeführt, unterliegt jegliche Nutzung den Bestimmungen des deutschen Urheberrechtsgesetzes.

3. Pflichten des Nutzers
3.01.
Der Besteller hat bei der Bestellung, spätestens jedoch vor der technischen Nutzung der Bilder, Art, Umfang und Sprachraum der beabsichtigten Nutzung anzugeben, im Falle der Werbung auch das Produkt. Die Weitergabe von digitalem Bildmaterial im Wege der Datenfernübertragung oder auch Datenträgern ist nur zulässig, soweit dies für die Ausübung der dem Kunden eingeräumten Nutzungsrechte erforderlich ist. Entsprechen die Angaben des Bestellers / Nutzers nicht der tatsächlichen Nutzungsart oder stimmt die tatsächliche Nutzung nicht mit den Angaben des Bestellers / Nutzers überein, gilt das Nutzungseinverständnis als nicht erteilt und ist vario von jeglichen Ansprüchen Dritter freigestellt.

3.02.
Reklamationen des übertragenen Bildmaterials hinsichtlich technischer oder sonstiger verdeckter Mängel sind unverzüglich, spätestens 48 Stunden nach Erhalt des Bildmaterials in schriftlicher Form vorzubringen. Bei Unterlassung derartiger Reklamationen ist eine Haftung von vario für eventuell bereits entstandene oder entstehende Kosten / Schäden ausgeschlossen.

3.03.
vario verlangt unter Hinweis auf § 13 UrhG und dieser AGB ausdrücklich die Erbringung sowohl eines Urheber- und Agenturvermerks, und zwar in einer Weise, dass kein Zweifel an der Zuordnung zum jeweiligen bestehenden Bild bestehen kann. Sammelbildnachweise reichen in diesem Sinne nur aus, sofern sich aus diesen ebenfalls die zweifelsfreie Zuordnung zum jeweiligen Bild vornehmen lässt. Der Verwender hat vario von aus der Unterlassung der Urheber- und Agenturvermerke resultierender Ansprüchen Dritten freizustellen. Dies gilt auch für Werbung, Einblendungen in Fernsehsendungen und Filmen oder anderen Medien, falls keine ausdrückliche Sondervereinbarung getroffen wurde. Der Urhebervermerk lautet: vario images / Kollektion und/oder Fotograf. Bei einer digitalen Erfassung und/oder Speicherung des Bildmaterials müssen die Namen der Fotografen sowie der Name „vario images“ mit den Bilddaten elektronisch verknüpft werden. Der Kunde hat außerdem durch geeignete technische Vorkehrungen sicherzustellen, dass diese Verknüpfung bei jeder Datenübermittlung, bei der Übertragung von Bilddaten auf andere Datenträger, bei der Wiedergabe auf einem Bildschirm sowie bei jeder veröffentlichten Wiedergabe erhalten bleibt, damit der Fotograf als Urheber und vario als Bildagentur jederzeit identifiziert werden können. (Siehe ergänzend Ziffer 4.02)

3.04.
Von jeder Veröffentlichung im Druck sind vario gem. § 25 VerlagsG mindestens zwei vollständige Belegexemplare unaufgefordert und kostenlos zuzuschicken. Bei einer Veröffentlichung im Internet genügt die Angabe der genauen Internet-Adresse und der entsprechende Internetlink, unter der das Bildmaterial verwendet wird. Sollten 1 Monat nach Veröffentlichung und trotz Nachfristsetzung die Belegexemplare nicht eingegangen sein, ist vario berechtigt, einen Ausschnittdienst auf Kosten des Kundens zu beauftragen, Kopien der entsprechenden Veröffentlichungen zu beschaffen.

3.05.
Eine Verwendung der Bilder mit Problemthemen (so genannten sensiblen Themen) bedarf der vorherigen ausdrücklichen schriftlichen Zustimmung von vario. Im Übrigen ist die Verwendung der Bilder mit Problemthemen unzulässig. Als Problemthemen gelten beispielsweise, aber nicht nur beschränkt folgende Themen, die das Motiv eines Bildes in einem negativem oder ungünstigem Licht erscheinen lassen oder geeignet sind, Personen ins Lächerliche zu ziehen sowie Themen, die sich auf Sexualität, den Missbrauch von Substanzen, physischen oder psychischem Missbrauch, Alkohol, Droge, Tabak, AIDS, Krebs oder schwerwiegende physische oder psychische Krankheiten oder die Herabsetzung einer Person oder eines Produktes beziehen. Das Nutzungsrecht erstreckt sich ferner nicht auf die Nutzung der Bilder als Marke, zu pornographischen Zwecken, zur Diffamierung / Herabwürdigung einer Person, zur Verletzung von Persönlichkeitsrechten oder sonstigen Rechten Dritter oder auf ungesetzliche Nutzungen.

3.06.
Der Verwender ist zur Beachtung der publizistischen Grundsätze des Deutschen Presserates (Pressekodex) verpflichtet. Der Verwender bzw. Besteller trägt die Verantwortung für die Betextung. Für eine Verletzung des allgemeinen Persönlichkeitsrechts abgebildeter Personen oder des Urheberrechts des Bildautoren durch eine abredewidrige oder sinnentstellende Verwendung in Bild und / oder Text oder eine Verletzung sonstiger Rechte Dritter übernimmt vario keine Haftung. Bei Verletzung solcher Rechte ist allein der Verwender etwaigen Dritten gegenüber schadensersatzpflichtig.

Soweit bei einer werblichen Nutzung Persönlichkeitsrechte einer abgebildeten Person verletzt werden können, obliegt die Einholung der Zustimmung der abgebildeten Person dem Besteller. Kommt es aufgrund einer nicht eingeholten Zustimmung zu Schadenersatzansprüchen der verletzten Person, hat der Besteller vario von diesen Schadensersatzansprüchen freizuhalten.

Die Veröffentlichung von Abbildungen bekannter Persönlichkeiten kann nur mit deren Namen und nur redaktionell erfolgen; etwaige entgegenstehende berechtigte Interessen des oder der Abgebildeten im Sinne des §23 Abs. 2 Kunsturhebergesetz (KUG) sind vom Verwender zu beachten.

Der Kunde hat neben diesen Allgemeinen Geschäftsbedingungen bei der Verwendung auch durch die allgemeinen gesetzlichen Bestimmungen des Wettbewerbs, Markenzeichen und Gebrauchsmusterrechts zu beachten. Hier ist der Kunde gegenüber vario zum Ersatz jeglichen Schadens verpflichtet, der aus derartigen Verletzungen entsteht.

3.07.
Bilddaten dürfen nur für die eigenen Zwecke des Bestellers und nur innerhalb der Fristen in Ziffer 2.01 im internen Computernetzwerk digital archiviert werden, wenn der Besteller den Zugriff auf die Bilder strikt auf diejenigen Personen beschränkt, die nach Treu und Glauben den Zugriff benötigen, um die Produktion oder Erstellung einer lizenzierten Nutzung zu erleichtern. Auf andere Weise dürfen die Bilder nicht verbreitet oder zugänglich gemacht werden.

3.08.
Die Speicherung der Bilddaten in Online-Datenbanken oder sonstigen digitalen Archiven ist nicht gestattet. Ausnahmen hiervon (Ziffer 3.07.) bedürfen der schriftlichen Erlaubnis durch vario. (Siehe ergänzend Ziffer 3.03.) Der Besteller darf ebenso kein Archiv mit Bildern in irgendeinem Format oder auf irgendeinem Medium (digital oder analog) speichern oder unterhalten, sofern nichts anderes ausdrücklich und schriftlich von vario genehmigt ist. Bei einer Weitergabe an Dritte, unabhängig ob diese mit oder ohne Zustimmung von vario erfolgte, hat der Besteller dafür Sorge zu tragen, dass der/die Dritte(n) sämtliche digitalen und analogen Bildkopien löschen bzw. vernichten.

4. Haftung des Nutzers
4.01.
Bei unberechtigter Verwendung, Entstellung oder Weitergabe des Bildmaterials von vario, unberechtigter Weitergabe von Nachdruckrechten an Dritte sowie unberechtigter Fertigung von Diaduplizierungen und Internegativen, Reproduktionen und Vergrößerungen sowie der Fertigung von Kopien digitaler Datensätze oder analoger Darstellung der in den Datensätzen enthaltenen Bildinhalte für Archivzwecke des Bestellers sowie Weitergabe derselben an Dritte und für den Fall, dass der Kunde eine nach diesem Vertrag vorzunehmende Löschung von Daten unterlassen hat, wird vorbehaltlich der Geltendmachung weiterer Schadensersatzansprüchen ein Mindesthonorar in Höhe des Fünffachen des anhand der jeweiligen gültigen Bildhonorarsätze der MFM zu ermittelnden Nutzungshonorars fällig. Darüber hinaus hat der Besteller vario von allen sich hieraus ergebenden Ansprüchen Dritter freizustellen.

4.02.
Unterbleibt der Urheber- und/oder Agenturvermerk, so hat vario Anspruch auf einen Zuschlag in Höhe von – ggf. jeweils -100 % zum jeweiligen Nutzungshonorar der aktuellen MFM zzgl. evtl. Verwaltungskosten. Außerdem stellt der Besteller vario von allen daraus resultierenden Ansprüchen Dritter (z.B. des Fotografen) frei. Die Geltendmachung eines weitergehenden Schadensersatzanspruchs oder sonstiger Ansprüche bleibt hiervon unberührt.

4.03.
Durch die Leistung von Schadensersatz und/oder die Zahlung sonstiger Kosten und Gebühren erwirbt der Besteller weder Eigentum noch Nutzungsrechte am Bildmaterial.

5. Honorare
5.01.
Jede Nutzung des Bildmaterials von vario ist honorarpflichtig. Honorare sind vor der Verwendung zu vereinbaren. Sie richten sich nach Medium, Art und Umfang der Nutzung, die vario anzugeben sind. Erfolgt keine Honoraranfrage durch den Besteller oder sonstige Honorarvereinbarung, wird automatisch nach den jeweils geltenden Honorarsätzen von vario berechnet; im Übrigen gelten für die Berechnung eines solchen Honorars bzw. solcher Honorarsätze die aktuellen „Bildhonorare der Mittelstandsgesellschaft Fotomarketing (MFM) – Übersicht der marktüblichen Vergütungen für Bildnutzungsrechte. Insofern ist auf das Jahr der Nutzung bzw. der Bildverwendung abzustellen, nicht auf den Jahrgang der MFM-Bildhonorare, in dem eine unberechtigte Nutzung von vario festgestellt wurde. Darüber hinausgehende Preisabsprachen sind möglich und müssen von vario schriftlich bestätigt werden. Alle Honorarangaben in Angeboten, Preislisten und sonstigen Unterlagen verstehen sich stets netto ohne Mehrwertsteuer und Künstlersozialversichungsabgabe. Die Honorare gelten nur für die einmalige Nutzung für den angegebenen Zweck, Umfang und Sprachraum. Jede weitere Nutzung ist erneut honorarpflichtig und bedarf der vorherigen schriftlichen Zustimmung seitens vario. Im Falle unberechtigter Nutzung und / oder Weitergabe des Bildmaterials von vario gilt die Vertragsstraferegelung gemäß dieser Allgemeinen Geschäftsbedingungen. Sobald der Besteller bekundet hat, daß er das gelieferte, elektronisch übertragene oder gedownloadete Bildmaterial ganz oder teilweise nutzen will, ist vario berechtigt, ihm die Vergabe von Nutzungsrechten in Rechnung zu stellen, auch wenn die Veröffentlichung oder sonstige Nutzung noch nicht erfolgt ist. Alle Nutzungshonorare werden mit der Auftragsbestätigung fällig, spätestens mit Veröffentlichung / Nutzung der Aufnahme. Falls die vorgesehene Veröffentlichung oder sonstige Verwendung nicht erfolgt, kann ein bereits bezahltes Honorar nicht zurückerstattet/zurückverlangt werden.

5.02.
Für alle Bildlieferungen und –übermittlungen werden Gebühren berechnet, die sich aus Art und Umfang des entstandenen Aufwandes ergeben. Ebenso berechnen wir für die Beschaffung von Fremdmaterial und Informationen Vermittlungs- bzw. Informationsgebühren, die sich aus Art und Umfang des entstandenen Aufwandes ergeben. Eine Verrechnung mit eventuellen Nutzungshonoraren kann nicht erfolgen. Mit der Bezahlung der Bearbeitungsgebühren erwirbt der Besteller weder Nutzungs- noch Eigentumsrechte. Versandkosten gehen stets zu Lasten des Bestellers. Für Downloads von unseren Bilddatenbanken werden Downloadgebühren fällig, welche in den entsprechenden Datenbanknutzungsverträgen geregelt werden. Durch die Leistung von Schadensersatz und/oder die Zahlung sonstiger Kosten und Gebühren, welche nach diesen Bedingungen berechnet werden, erwirbt der Besteller weder Eigentum noch Nutzungsrechte am Bildmaterial.

5.03.
Für Fotomodell-, Luft-, Unterwasser-. Expeditionsaufnahmen und sonstige unter ungewöhnlichen Umständen und Kosten entstandene Fotos wird grundsätzlich einen 100%igen Aufschlag zum Grundhonorar des jeweiligen Verwendungszwecks berechnet.

5.04.
Honorarzahlungen müssen immer unter der Angabe der Kundennummer, Bildnummer (Dateiname) und des Namens der Urheber geleistet werden. Ohne diese Angaben kann eine zusätzliche Aufwandsentschädigung geltend gemacht werden, die sich nach Umfang des zusätzlichen Aufwandes richtet. Außerdem ist vario bei der Abrechnung genau anzugeben, welches Motiv in welchem Medium an welcher Position verwendet wurde.

5.05.
Rechnungen von vario sind stets ohne Abzug innerhalb von 14 Tagen nach Rechnungsdatum zahlbar; nach Ablauf dieser Frist berechnet vario Verzugszinsen gemäß § 288 BGB.

6. Haftung von vario
6.01.
Für Schäden haftet vario nur, sofern sie durch eine vorsätzliche oder grob fahrlässige Pflichtverletzung von vario verursacht wurden. Einer Pflichtverletzung von vario steht dabei jeweils die eines ihrer gesetzlichen Vertreter oder Erfüllungsgehilfen gleich.

6.02.
Bei Fahrlässigkeit, die nicht grob fahrlässig ist, haftet vario nur für die Verletzung von Vertragspflichten, deren Einhaltung für die Erreichung des Vertragszwecks offenkundig von besonderer Bedeutung sind (sog. Kardinalpflichten).

6.03.
vario haftet unbeschränkt nach dem Produkthaftungsgesetz, wegen Arglist oder bei Verletzung einer ausdrücklich erklärten Garantie. Die verschuldensunabhängige Haftung nach § 536a Abs. 1 BGB wird vorsorglich ausgeschlossen.

6.05.
Modell- oder Eigentumsfreigaben bedeuten im Allgemeinen, dass eine Reproduktion des Motivs möglich ist. Einschränkungen müssen von vario kenntlich gemacht werden und ergeben sich z.B. häufig durch Problemthemen (Siehe Ziffer 3.05). Der Besteller muss kennzeichnen, dass die abgebildete Person ein Modell ist, wenn das Modell ein bestimmtes Produkt oder eine Dienstleistung nutzt oder positiv bewertet.

7. Datenschutz
7.01.
Bei der Erhebung, Verarbeitung und Nutzung personenbezogener Daten verpflichtet sich vario, die gesetzlichen Bestimmungen zum Datenschutz, insbesondere das Bundesdatenschutzgesetz (BDSG) und das Telemediengesetz (TMG), zu beachten, und die persönlichen Daten des Nutzers ausschließlich zu geschäftlichen Zwecken gemäß den Datenschutzbestimmungen zu speichern, zu verarbeiten und zu nutzen.

7.02.
Der Nutzer/Kunde erklärt sich prinzipiell mit der Verarbeitung, Speicherung und Nutzung seiner personenbezogenen Daten durch vario einverstanden.

8. Sonstiges
8.01.
Gerichtsstand und Erfüllungsort ist für beide Teile, soweit diese Vollkaufleute sind, ausschließlich Bonn.

8.02.
Auch bei Lieferungen ins Ausland gilt deutsches Recht unter Ausschluss der Gültigkeit des UN-Kaufrechts als vereinbart.

8.03.
Sollte eine Bestimmung dieser AGB nichtig oder unzulässig sein oder werden, so wird sie durch eine zulässige oder wirksame ersetzt, die dem Zweck und wirtschaftlichen Ziel am nächsten kommt, die Wirksamkeit des übrigen Vertrages wird dadurch nicht berührt. Gleiches gilt sinngemäß auch für eine Regelungslücke.

8.04.
Bei Nutzung der Online Datenbank vario-images.com gilt zusätzlich der Datenbank Nutzungsvertrag von vario, bzw. bei Nutzung der APIS-Online Datenbank zusätzlich die Nutzungsbedingungen von vario für die APIS-Online Datenbank.

8.05.
Änderungen dieser Geschäftsbedingungen bedürfen zu ihrer Wirksamkeit der ausdrücklichen schriftlichen Bestätigung von vario.

8.06.
Bei Verstoß gegen die Allgemeinen Geschäftsbedingungen erlischt das Nutzungsrecht automatisch, ohne das es einer Kündigung bedarf.

8.07.
Diese AGB werden erweitert und/oder ergänzt durch: 1. Die AGB für Royalty Free (RF) Bildmaterial 2. Die AGB Erweiterung zur Nutzung des lizenzpflichtigen analogen Bildmatierlas 3. Die Datenbanknutzungsverträge der Apis-Online Datenbank und der Datenbanknutzungsvertrag der vario-Datenbank.

ALLGEMEINE GESCHÄFTSBEDINGUNGEN
für Royalty Free (RF) Bildmaterial von vario images, Inh. Susanne Baumgarten e.K.

A. Allgemeine Bedingungen
1. Für sämtliche Angebote und Leistungen gelten die nachfolgenden AGB, anderen Geschäftsbedingungen von Dritter wird ausdrücklich widersprochen und abweichende Bedingungen gelten nur mit schriftlicher Bestätigung durch vario.

2. Unter dem Begriff Bild und Bildmaterial im Sinne dieser Bestimmungen fallen sämtliche Abbildungen und Daten, unabhängig von der Form der Daten, dem Datenträger sowie der Herstellung oder Übermittlung.

3. Für die bezogenen Leistungen gelten die jeweils aktuellen Lizenzbedingungen der jeweiligen Bildanbieter / Urheber. Auf die jeweils aktuellen Lizenzbedingungen der einzelnen Bildanbieter / Urheber wird der Nutzer vor jedem Download des jeweiligen Bildes deutlich hingewiesen. Erst wenn der Nutzer die Lizenzbedingung des gewünschten Bildes per Mauskick als „gelesen, verstanden und akzeptiert“ bestätigt, kann das Bildmaterial heruntergeladen werden. Diese Lizenzbedingungen sind auf dieser Seite zusätzlich einsehbar.

4. vario erteilt dem Besteller das einfache, nicht ausschließliche und nichtübertragbare Recht zur Nutzung und Reproduktion von RF-Bildern, der RF-Datenträgers oder der vario-Website, soweit in der vario-Honorarrechnung und in diesen AGB nichts anderes ausdrücklich festgelegt ist.

5. Das Nutzungsrecht wird ausschließlich am fotografischen Urheberrecht übertragen.

6. Das Nutzungsrecht gilt ausschließlich für die Nutzungs-und Verwendungsarten, die der einzelne Bildanbieter / Urheber in seinen Lizenzbedingungen festgelegt hat. Es wird hiermit auf die Lizenzbedingungen der jeweiligen Bildanbieter / Urheber verwiesen. vario fungiert insoweit nur als „Händler“ des Nutzungsrechts. Im Übrigen wird darauf hingewiesen, dass den RF-Bildern/-Datenträgern jeweils abweichende Bedingungen beigefügt seien können. Diese sind in einem solchen Fall für die Bestimmung der zulässigen Nutzungs- und Verwendungsarten maßgeblich. Diese Lizenzierungsbedingungen der einzelnen Bildanbieter / Urheber wird dem Nutzer vor jedem Download bekannt gegeben. Erst durch die Bestätigung dieser Lizenzbedingungen kann der Download des Bildes durchgeführt werden.

7. Im Falle von Leistungsstörungen haftet vario nicht, sofern nicht der Vorsatz oder grobe Fahrlässigkeit nachgewiesen wird. Bei mangelhafter Lieferung hat vario zunächst das Recht auf mangelfreie Nachlieferung, im Übrigen ist die Haftung auf die Höhe des Warenwertes beschränkt.

8. Für sämtliche Leistungen und Lieferungen von vario, auch bei Auslandsbezug, gilt ausschließlich deutsches Recht als vereinbart. Als ausschließlicher Gerichtsstand und Erfüllungsort für beide Teile wird, soweit gesetzlich zulässig, ausschließlich Bonn vereinbart.

9. Der Besteller erklärt sich mit der Erfassung und Abspeicherung von Daten zur EDV-Bearbeitung von Bestellungen einverstanden.

10. Alle Verträge werden ausschließlich gegen Vorkasse abgewickelt.

11. Sollte eine Bestimmung dieser AGB nichtig oder unzulässig sein oder werden, so wird sie durch eine zulässige oder wirksame ersetzt, die dem Zweck und wirtschaftlichen Ziel am nächsten kommt, die Wirksamkeit des übrigen Vertrages wird dadurch nicht berührt. Gleiches gilt sinngemäß auch für eine Regelungslücke.

B. RF- Endverbraucher-Lizenzvertrag
I. Wichtige Vorbemerkung
Durch Brechen des CD-Rom Siegels oder Herunterladen von Bildern der Website von RF-Bildmaterial erklärt sich der Kunde mit den Bedingungen dieses Vertrages uneingeschränkt einverstanden und dieser gilt dann als rechtswirksam zustande gekommen. Sollte der Kunde damit nicht einverstanden sein und keinen Lizenzvertag mit vario schließen wollen, hat er die unbenutze CD mit unbeschädigter Verpackung bzw. intaktem Siegel und das Begleitmaterial unverzüglich und original verpackt an vario zurückzusenden, im Anschluß daran wird der Kaufpreis erstattet. Geht der Kunde diesen Vertrag in Vertretung für einen Dritten zum Beispiel seinen Arbeitgeber ein, gelten diese Bedingungen auch für und gegen jeden berechtigten Dritten. Alle auf der Website von vario enthaltenden Bilder sind urheberrechtlich geschützt und vario bzw. seine Vertragspartner sind Inhaber dieser Rechte. Die Nutzungsbefugnis des Kunden hängt von der Bezahlung der vollen Lizenzgebühr, der Gewährung durch vario und der Einhaltung der Bestimmungen dieses Vertrages ab.

II. Gewährung der Reproduktionsrechte
Die Bilder werden nicht verkauft, sondern nur die Verwendung lizenziert.

vario gewährt das persönliche, nicht ausschließliche und nicht übertragbare Recht, die auf der CD-Rom oder die auf der vario-Website enthaltenen Bilder, weltweit und dauerhaft zu nutzen und zu reproduzieren, dies in folgendem Rahmen.

a. Verwendungen zu Druckzwecken, insbesondere alle Arten von bedrucktem und greifbarem Material einschließlich Werbung, Verkauf u.a.

b. Verwendung zu Nichtdruckzwecken, also digitales und elektronisches Material mit einer Bildauflösung von nicht über 480 x 640 Pixel (72dpi), wobei unmissverständlich darzustellen ist, dass es von Dritten weder heruntergeladen noch kopiert werden darf.

III. Verwendungseinschränkungen
1. Die durch diesen Vertrag von vario gewährten Rechte sind nicht übertragbar, Ihre Verwendung ist ausschließlich, auch bei Weiterbearbeitung, auf die Nutzung für einen Endverbraucherprodukt beschränkt. Es ist nicht gestattet, die Daten oder Bilder an Dritte weiterzugeben oder Nutzungsrechte zu übertragen oder eine sonstige Nutzung durch Dritte zu gewähren.

2. Bei der Bildlizenzierung durch eine Firma als Kunden können die Daten archiviert oder in ein kundeninternes Netzwerk eingestellt werden, sofern sichergestellt ist, dass mehr als 10 (Ziffer 10) festgelegte Mitarbeiter als Kunden Zugang zu diesen Bildern haben, eine Nutzung ist jedoch im ausschließlichen Rahmen dieser AGBs gestattet.

3. Die Bilder dürfen nicht gemeinsam mit anderen genutzt, kopiert oder Dritten zugänglich gemacht werden, der Aufbau eines Netzwerkes aus Servern mit oder ohne zentralem Standort, das den Zugriff durch Dritte ermöglicht, ist unzulässig.

4. Es ist nicht gestattet, die Bilder auf beleidigende, ehrrührige, pornografische, betrügerische, verletzende oder quälende Weise zu Verwenden oder in einen solchen Zusammenhang zu bringen. Berührt der geplante Einsatz dieser Bilder solche Bereiche oder kann auf einen der vorgenannten Begriffe ein Zusammenhang geschlossen werden, ist eine vorherige schriftliche Genehmigung einzuholen. Dieser Begriff gilt einschließlich, aber nicht nur beschränkt, auf Drogenmissbrauch, körperliche oder seelische Grausamkeiten, Alkohol, Tabak, Aids, Krebs oder andere schwere körperliche oder geistige Gebrechen sowie die Verunglimpfung einer Person oder Sache.

5. Es ist nicht gestattet, die Bilder in einem herunterladbaren FTP oder ähnlichen Format online zu bringen.

6. Es ist Ihnen nicht gestattet, das Bild als Teil einer Dienstleistungsmarke oder eines Markenzeichens zu verwenden oder gegen Markennamen, Dienstleistungsmarken oder Warenzeichen anderer zu verstoßen.

7. Es darf eine Sicherungskopie der Bilder oder Software erstellt werden, diese darf ausschließlich nur dann genutzt werden, wenn das Original beschädigt oder untergegangen ist.

8. Sobald die Lizenz für ein bestimmtes Bild entzogen ist, ist es nicht gestattet, das Bild weiter zu verwenden.

9. Die Bilder dürfen nicht für solche kommerzielle Produkte benutzt werden, die denen das Bild einen signifikanten Anteil am Eigenwert des Wiederverkaufswertes eines Produktes ausmachen (z.B. Postkarten, Poster, Kalender, etc.). Für solch einen Zweck müssen Sie eine zusätzliche Bildlizenz erwerben. Wenden Sie sich bitte hier an das vario Team.

10. Der Lizenzgeber überträgt in Bezug auf die Benutzung von ihm lizenzierten Bildmaterial enthaltenen oder dargestellten Namen, Warenzeichen, Handelsaufmachungen, registrierte, nicht registrierte oder urheberrechtlich geschützte Werke keinerlei Rechte und erbringt keine Gewährleistungen, vielmehr hat der Lizenznehmer sicherzustellen, dass er die für die Reproduktion sämtlicher oben genannter Materialien oder Darstellungen erforderlichen Rechte und Genehmigungen besitzt.

IV. Schadensersatz bei Vertragsverletzungen Der Kunde hat neben den Bestimmungen dieses Vertrages bei der Verwendung auch die allgemeinen gesetzlichen Bestimmungen des Wettberwerbs, Markenzeichen und Gebrauchsmusterrechts zu beachten. Hier ist der Kunde gegenüber vario zum Ersatz jeglichen Schadens verpflichtet, der aus derartigen Verletzungen entsteht.

V. Haftungsfreistellung
Der Kunde verpflichtet sich, vario von allen Schadenersatz- und Haftungsansprüchen, die sich aufgrund eines Verstoßes gegen diese Bestimmungen ergeben, freizustellen und schadlos zu halten.

VI. Garantie
vario garantiert für die Zeit von 90 Tagen ab Lieferung, für jede CD-Rom die Freiheit von Material und Herstellungsfehlern. Im Garantiefall steht dem Kunden das Recht, nach Entscheidung von vario oder des Herstellers, auf Erstattung des Kaufpreises oder Nachlieferung einer mangelfreien CD.

VII. Haftungsbeschränkung
Es besteht kein Anspruch auf Ersatz eines etwaigen Schadens oder Folgeschadens, sofern die CD-Rom nicht bestimmungsgemäß benutzt werden kann, selbst wenn der Kunde vorher auf eine solche Gefahr hinweist. In jedem Falle ist die Haftung von vario auf die für das jeweilige Bild oder die CD-Rom entrichtete Gebühr beschränkt.

VIII. Software
Alle Rechte und Daten die der Kunde im Zuge dieses Vertrages erhält, sind Eigentum von vario und urheberrechtlich oder anderweitig legal geschützt. Es ist unzulässig, die Daten umzukehren, neu zu ordnen oder in andere lesbare Formate zu vereinfachen.

VIII. Allgemeine Bestimmungen
1. Sollten einzelne Bestimmungen dieses Vertrages unzulässig oder unwirksam sein, tritt an deren Stelle eine zulässige oder wirksame Bestimmung, die dem beabsichtigten Zweck und Erfolg am nächsten kommt. Die Wirksamkeit des Vertrages im Übrigen wird dadurch nicht berührt. Dies gilt sinngemäß auch für eine Regelungslücke.

2. Für den Vollzug dieses Vertrages gilt, auch bei Auslandsberührung, ausschließlich deutsches Recht. Als Gerichtsstand und Erfüllungsort wird, soweit gesetzlich zulässig, Bonn vereinbart.

3. Dieser Vertrag wird ausschließlich gegen Vorkasse abgewickelt.

4. Bei Fragen bezüglich Ihrer Rechte und Pflichten aus diesem Vertrag oder dem Wunsch, weitere Rechte in Anspruch nehmen zu wollen, wenden Sie sich bitte unmittelbar an uns.

Die einzelnen Lizenzbedingungen der Bildanbieter / Urheber können von diesen Bestimmungen abweichen. In diesem Fall gelten die abweichenden Bedingungen der Bildanbieter / Urheber.

License Agreement This license agreement (“Agreement“) is between you (“Licensee“), and BIG CHEESE PHOTO, LLC. and govern your use of Licensor’s Images. YOUR PURCHASE OR USE OF ANY IMAGE OR CD-ROM PRODUCT SIGNIFIES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS, RETURN THE IMAGEIS) UNUSED FOR A FULL REFUND.

1. License
Subject to the terms of this license agreement, BIG CHEESE PHOTO, L.L.C. grants Licensee a worldwide, non- transferable, non-exclusive right to reproduce, transmit and display, in whole or in part, BIG CHEESE PHOTO, L.L.C. Royalty Free Images) (whether available as part of a CD-ROM collection of images or downloaded as a single image) an ullliznited number of times, in any and all media for the purposes described below. BIG CHEESE PHOTO, L.L.C. represents that it has the right to grant the license herein, A11 other rights to the lmages), CD-ROM and accompanying materials (if applicable), including without limitation, copyright and all other rights, are retained by BIG CHEESE PHOTO, L.L.C.

2. Permitted Uses
Any print media, including advertising and promotional materials, editorial publications and consumer merchandise; Any Internet, intranet, Online or web-based media provided the resolution of the images does not exceed 72dpi, Broadcast and theatrical exhibitions; Products intended for resale, provided these products are not intended to allow the re-distribution or re-use of the images; and Additional uses approved in writing by BIG CHEESE PHOTO, L.L.C.

Licensee may alter, crop, modify or adapt the Images in connection with the above permitted uses. Licensee may make a back-up copy of the images) for internal back-up purposes provided BIG CHEESE PHOTO, L.L.C.’S copyright and any image identifying information is retained with the file. Limited, temporary transfers of the Images are permitted to third parties integral to the creation of the final product, provided such third parties agree to abide by the terms of this agreement.

3. Number of Users Seat License
Licensee may use the Images on a server, image library or network configuration to be viewed by Licensee provided that no more than 10 persons (including part-time and freelance employees or agents) of Licensee can access the Images. This is NOT a simultaneous user agreement. Before permitting access to more than 10 persons, Licensee must purchase a separate seat license from BIG CHEESE PHOTO,L.L.C. for each additional individual user.

4. Restrictions on Use
Except as provide herein, Licensee may not

  • sublicense, sell, assign, convey or transfer any of its rights under this Agreement.
  • sell, license or distribute its final product in such a way that permits Licensee’s end users to extract or access the Images as a stand-alone file.
  • Incorporate the Images into a logo, trademark or service mark.
  • Distribute, post or upload the images online in a downloadable format.
  • Use any Image in a pornographic, defamatory, libelous or otherwise illegal manner, whether directly or in context or juxtaposition with other materials.

5. Product Endorsement Or Sensitive Use Disclaimer
If any Image featuring a model is used in a manner that would lead a reasonable person to believe that the model personally uses or endorses a product or service, or if the depiction of the model is used in connection with a subject that would be unflattering, embarrassing or unduly controversial to a reasonable person, Licensee must accompany each such use with a statement that indicates that the person is a model and the Image is being used for illustrative purposes only.

Releases
Model releases are available on images containing models upon request. Names are removed to protect the privacy of the model. Other than model releases for recognizable persons, BIG CHEESE PHOTO, L.L.C. grants no rights an makes no warranties with regard to the use of names, trademarks, trade dress, registered, unregistered or copyrighted designs or works of art or architecture depicted in any Image, and Licensee must satisfy itself that all the necessary rights or consents regarding any of the above, as may be required for reproduction, have been obtained.

7. Indemnity
Licensee agrees to indemnify and hold BIG CHEESE PHOTO, L.L.C. harmless against all claims arising out of or it connection with any breach of this Agreement.

8. Warranties
BIG CHEESE PHOTO, L.L.C. warrants the Images to be free from defects in material and workmanship for 30 days from delivery. The sole and exclusive remedy for a breach of the foregoing warranty is the replacement of the Imagets).

BIG CHEESE PHOTO, L.L.C. MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, REGARDING, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. BIG CHEESE PHOTO, L.L.C. SHALL NOT BE LIABLE TO LICENSEE OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF LICENSEE’S USE OF THE IMAGES, OR OTHERWISE, EVEN IF BIG CHEESE PHOTO, L.L.C. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES, Licensee may have additional rights under state law.

9. Payment Terms
No rights to use the images are granted until the invoice relating to the images is paid in full. A service charge of two percent (2%) per month, or such lesser amount allowed by law, will be charged thereafter on any unpaid balance. And claims for adjustment of terms must be made to BIG CHEESE PHOTO, L.L.C. within five (5) days of the receipt of the invoice.

10. Termination
The license contained in this Agreement will terminate automatically without notice from BIG CHEESE PHOTO, L.L.C. if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately (i) stop using the lmages, (ii) destroy or, upon the request of BIG CHEESE PHOTO, L.L.C., return the Images to BIG CHEESE PHOTO, L.L.C., and (iii) delete or remove the Images from Licensee’s premises, computer systems and storage (electronic or physical).

11. Revocation
Licensor reserves the right to revoke the license to use any Images for good cause and elect to replace such Image with an alternative Image. Upon notice of any revocation of a license for any Images, Licensee shall immediately cease using such Image (s), shall take all reasonable steps to discontinue use of the replaced Images) in products the already exist and shall inform all end-users and clients of same.

12. Severability
If one or more of the provisions contained in the Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected. Such provisions shall be reformed only to the extent to make it enforceable.

13. Choice of Law
This Agreement will be governed in all respects by the laws of the State of Washington, without reference to its laws relating to conflicts of law. Licensee agrees that the state and federal courts sitting in King County, in the State of Washington , are the agreed and appropriate forums for any such suit, and consent to service of process by registered mail or overnight courier with proof of delivery. The United Nations Convention on Contracts for the International Sale of Goods does not govern this Agreement.

14. Waiver
No action of BIG CHEESE PHOTO, L.L.C., other than express written waiver, may be construed as a waiver of any provision of this Agreement.

15. Entire Contract
This contract contains all the terms of the license agreement and no terms or conditions may be added or deleted unless made in writing and signed by an authorized representative of both parties.

FALLS SIE DIESE BESTIMMUNGEN NICHT AKZEPTIEREN, DÜRFEN SIE DIE BILDER NICHT VERWENDEN. SCHICKEN SIE IN DIESEM FALL DEN DATENTRÄGER ODER DIE BILDDATEN IM RAHMEN DES HIER VEREINBARTEN RÜCKGABERECHTS, UNVERZÜGLICH AN beyond fotomedia ODER SEINEN DISTRIBUTIONSPARTNER ZURÜCK. FALLS SIE DIESEN VERTRAG IM NAMEN IHRES ARBEITGEBERS EINGEHEN, GELTEN DIEIM FOLGENDEN GEWÄHRTE LIZENZ UND DIE GENANNTEN EINSCHRÄNKUNGEN SOWOHL FÜR IHREN ARBEITGEBER ALS AUCH FÜR SIE. SOLLTEN SIE NICHT LÄNGER FÜR DEN BETREFFENDEN ARBEITGEBER ARBEITEN, KANN DIESER DIE PRODUKTE WEITERHIN UNTER DEN VEREINBARTEN BESTIMMUNGEN DIESES VERTRAGES NUTZEN.

Gegenstand der Allgemeinen Endnutzer-Lizenzbestimmungen
beyond fotomedia räumt Ihnen weder eine ausschließliche, noch eine übertragbare Lizenz zur Nutzung der von Ihnen erworbenen Bilder zu den Bedingungen dieses Endkunden-Lizenzvertrages ein. Sie sind berechtigt, die Bilder entsprechend den nachfolgenden Bedingungen zu nutzen. beyond fotomedia und seine Lizenz gebenden Vertragspartner sind alleinige und ausschließliche Eigentümer der Bilder. Außer den hiermit vereinbarten Nutzungsrechten erwerben Sie keine weiteren Rechte.

Lizenzerteilung und Ausübung
beyond fotomedia erteilt Ihnen und Ihrem Arbeitgeber, sofern Sie diesen Vertrag im Namen Ihres Arbeitgebers eingehen, die nicht-exklusive, nicht-übertragbare, weltweite, zeitlich unbegrenzte Nutzungslizenz, die von beyond fotomedia erworbenen Bilder zu speichern, zu reproduzieren und für Ihren eigenen kommerziellen und nicht-kommerziellen Gebrauch zu nutzen, mit Ausnahme von solchen Nutzungen, die im Rahmen dieser Vereinbarung als ausgeschlossen gelten. Die Bilder dürfen in Speichermedien, einer Netzwerkkonfiguration oder ähnlichen Anordnung gemeinsam benutzt werden, solange nicht mehr als zehn (10) Personen (Ihre Person mit eingeschlossen) desselben Arbeitgebers auf die genannten Bilder Zugriff haben. (Bitte beachten Sie, dass es sich hierbei nicht um eine Mehrplatz-Lizenz handelt. Das heißt, dass nicht mehr als 10 bestimmte Personen auf diese Bilder zugreifen dürfen, auch wenn die 10 Personen zu unterschiedlichen Zeiten auf das Produkt zugreifen.)

Alle lizenzierten Bilder dürfen uneingeschränkt weltweit und ohne zeitliche Begrenzung für folgende Zwecke verwendet werden:

  • Jegliche Werbung und PR-Kampagnen
  • Jegliche Präsentationen, Messedisplays, Schaufenster, usw.
  • Broschüren, Geschäftsberichte, Kataloge, usw.
  • Magazintitel und Innenseiten, Buchumschläge und Innenseiten
  • Produktverpackungen
  • Multimedia Anwendungen einschließlich Web-Design, Online-, Fernsehen- oder sonstige Ausstrahlung
  • Jegliche Veröffentlichung, gedruckt oder elektronisch
  • Materialien zur persönlichen, nicht-kommerziellen Verwendung sowie für Test- oder Musteranwendungen (einschließlich Layout)

Die Bilder dürfen nicht für folgende Zwecke genutzt werden:

  • Unterlizenzieren, Weiterlizenzieren, Weiterverkaufen an Dritte separat, losgelöst oder unabhängig von einem Produkt, einer Website oder ähnlichem. Ein Bild darf beispielsweise in Kopie (auch digital) als integraler Bestandteil eines von Ihnen erstellten Produktes an den Kunden weitergegeben werden, jedoch nur im Umfang und für die Laufzeit eines solchen Produktes. Es dürfen dem Kunden jedoch keine Bilder vereinzelt bzw. zur separaten, produktenabhängigen Verwendung übertragen werden.
  • Kopieren und Speichern der Bilder auf eine CD-Jukebox, Netzwerkdatenbank oder – Verteiler oder anderweitig die Bilder mehr als zehn (10) Personen zur Nutzung zugänglich zu machen, ohne die vorherige schriftliche Genehmigung von beyond fotomedia oder seiner Distributionspartner. Sie versichern im Rahmen dieser Vereinbarung dass Sie eine Erweiterte Nutzungslizenz bei beyond fotomedia oder seinen Distributionspartnern einholen werden, sollten mehr als zehn (10) Nutzer auf die Bilder autorisierten Zugriff nehmen.
  • Kommerzielle Produkte für den Weiterverkauf, wenn das Bild ein wesentlicher Bestandteil des Wertes für den Weiterverkauf des Produktes ausmacht (z.B. Postkarten, Poster, Kalender, T-Shirts, usw.) Sie erklären im Rahmen dieser Vereinbarung, dass Sie für eine solche Bildnutzung eine erweiterte, einmalige Kommerzielle Produktlizenz bei beyond fotomedia oder seinen Distributionspartnern einholen werden.
  • Mit den Bildern für ein Unternehmen werben oder anderweitig die Bilder mit einem Unternehmen in Zusammenhang bringen, welches sich mit dem Verkauf oder der Vermittlung von Bildern oder Bildlizenzen beschäftigt oder in sonst mit beyond fotomedia im Wettbewerb steht.
  • Speichern und/oder Veröffentlichung der Bilder im High-Resolution-Format in einer zum allgemeinen Herunterladen geeigneten Form, welches die Verbreitung und Nutzung der Bilder ermöglicht, die über die Reichweite dieses Lizenzvertrages hinausgehen.
  • Verwendungen der Bilder, insbesondere mit abgebildeten Personen, in einer Weise, die pornographisch, diffamierend, verleumderisch oder anderweitig gesetzwidrig ist oder als solches gedeutet werden kann.

Haftung und Gewährleistung
beyond fotomedia garantiert für die Dauer von 90 Tagen ab Lieferdatum, dass die Bilder frei von Verarbeitungsfehlern sind. Der einzige Rechtsbehelf im Falle einer Nichteinhaltung der vorstehenden Garantie, besteht im Ermessen von beyond fotomedia im Ersatz des Bildes bzw. in der Rückerstattung des Kaufpreises. beyond fotomedia ÜBERNIMMT KEINE WEITERE AUSDRÜCKLICHE ODER STILLSCHWEIGENDE GEWÄHRLEISTUNG, EINSCHLIESSLICH, ABER NICHT BESCHRÄNKT AUF DIE STILLSCHWEIGENDE GARANTIE DER MARKTGÄNGIGKEIT UND DER EIGNUNG FÜR EINEN BESTIMMTEN ZWECK. In einigen Ländern oder Staaten ist der Ausschluss stillschweigender Garantien nicht zulässig und es können Ihnen weitere Rechtsbehelfe zustehen, die sich von Land zu Land unterscheiden. WEDER beyond fotomedia NOCH SEINE DISTRIBUTIONSPARTNER SIND IHNEN ODER ANDEREN PERSONEN GEGENÜBER ERSATZPFLICHTIG FÜR ETWAIGE ALLGEMEINE, BESONDERE, DIREKTE, INDIREKTE, FOLGE-, BEGLEIT- ODER ANDERE SCHÄDEN, DIE AUFGRUND DIESER LIZENZ, DER NUTZUNG DER BILDER, ODER AUS ANDEREN GRÜNDEN ENTSTEHEN.

Rückgaberecht
Wenn Sie versehentlich ein falsches Bild oder eine falsche Bildkollektion lizenziert haben oder mit dem Bild/der Bildkollektion unzufrieden sind und es/sie an beyond fotomedia zurückgeben möchten, müssen Sie sich innerhalb von drei (3) Werktagen nach Erhalt der Bilder mit beyond fotomedia in Verbindung setzen. Gegen eine schriftliche Erklärung von Ihnen oder Ihrem Arbeitgeber, dass die irrtümlich lizenzierten Bilder/Bildkollektion in keinster Weise von Ihnen oder Ihrem Arbeitgeber genutzt oder gespeichert wurden, erteilen wir Ihnen eine Gutschrift, die auf einen späteren Bildlizenzkauf anwendbar ist.

Beendigung des Lizenzvertrages
Die in diesem Vertrag enthaltene Lizenz wird ohne Ankündigung von beyond fotomedia aufgehoben, wenn Sie oder Ihr Arbeitgeber diese Vertragsbestimmungen nicht einhalten. Nach Aufhebung der Lizenz dürfen Sie und Ihr Arbeitgeber ab sofort (i) die Bilder und Software nicht mehr verwenden, (ii) die Bilder und die Software sowie alle davon angefertigte Kopien an beyond fotomedia zurücksenden und (iii) alle Bilder und die Software sowie alle angefertigte Kopien von allen magnetischen Medien entfernen und alle anderen Kopien vernichten oder, auf Verlangen von beyond fotomedia, diese an beyond fotomedia zurücksenden.

Schutzrechte
Sie und Ihr Arbeitgeber erkennen die Rechte von beyond fotomedia an dem Produkt (Urheberrechte, Warenzeichen, geistiges Eigentum) uneingeschränkt an. Sie verpflichten sich, diese Rechte zu wahren und alle Schritte zu unternehmen, um Beeinträchtigungen oder Verletzungen dieser Rechte durch Dritte, soweit diese durch Sie oder über Sie in den Besitz des Produktes gelangt sind, zu unterbinden und zu verfolgen.

Schlussbestimmungen
beyond fotomedia behält sich das Recht vor, die Benutzung einzelner Bilder einzustellen sowie ein Bild durch ein anderes Bild zu ersetzen. Nach der Benachrichtigung über die Einstellung der Lizenz für ein bestimmtes Bild erklären Sie und (falls zutreffend) Ihr Arbeitgeber sich einverstanden, das Bild zukünftig nicht mehr zu benutzen. Sie sind nicht berechtigt, Software von beyond fotomedia zu dekompilieren, zurückzuentwickeln (Reverse Engineering), zu zerlegen oder anderweitig auf ein lesbares Format zu reduzieren. Sämtliche Bilder und Software dürfen nur unter Einhaltung aller geltenden Gesetze benutzt werden, einschließlich, aber nicht beschränkt auf Gesetze und Verordnungen in Bezug auf das Sittengesetz. Alle Rechte an Bildern und Software sind Eigentum der Firma beyond fotomedia und/oder ihrer Lizenzgeber und sind durch das deutsche Urheberrecht sowie die Bestimmungen internationaler Vereinbarungen und andere geltende Gesetze geschützt. beyond fotomedia und seine Lizenzgeber behalten sich auch alle Rechte vor, die nicht in diesem Vertrag ausdrücklich genannt wurden. Sollten einzelne Bestimmungen dieses Vertrages unwirksam sein, so wird dadurch die Wirksamkeit der übrigen Bestimmungen dieses Vertrages nicht berührt. Die nichtigen bzw. unwirksamen Bestimmungen werden durch solche wirksamen Bestimmungen ersetzt, die dem ursprünglichen wirtschaftlichen Zweck am nächsten kommen.


END USER LICENSE AGREEMENT
of Brownstock

This is a legal contract between you, and Brownstock Inc. By downloading Content from our website or by accepting an emailed file, you have agreed to be bound by the terms of this Agreement in respect of that Content. If you do not accept or agree with these terms do not download the Content.

This is a license, not a sale. Brownstock Inc. and/or our represented photographers continue to own the intellectual property rights of the Content. The Content is provided under the terms of the following license agreement („Agreement“) that states what you may and may not do with the Content and contains limitations on warranties and remedies.

Only you are permitted to use the Content. Any additional persons who wish to use the Content must download it from the Brownstock Inc. website themselves. Within this Agreement, „Brownstock“, „we“, „our“ and „us“ refers to Brownstock Inc., and „you“ and „your“ refers to you, the customer or sponsor.

1. This Agreement governs your use of Brownstock Content (namely, the electronic photographic image that you are downloading from the Brownstock website at in conjunction with you entering into this Agreement with Brownstock Inc. („Content“).

2. We hereby grant to you a perpetual, non-exclusive, non-transferable license to use the Content on the terms and conditions contained in this Agreement. Unless the activity is expressly permitted, you cannot do it. All other rights to and in the Content and accompanying materials (if applicable), including, without limitation, all intellectual property rights relating thereto, are retained by Brownstock Inc. or the photographers, as the case may be.

PERMITTED USES:

3. You may:

(a) Install the Content in only one location; you may physically transfer the Content and its archives from one location to another, however it may only be used in one location at a time;

(b) Make one (1) copy of the Content solely for back-up purposes; you must reproduce all proprietary notices on this single back-up copy;

(c) Use the Content in the following applications:

(i) Advertising and promotional projects, including printed materials, packaging, presentations, film and video presentations, commercials, books and book covers, greeting cards and postcards;

(ii) Online or electronic publications, including web pages.

(iii) Prints (i.e. a hardcopy) and reproductions for personal use (not for resale).

(d) Create Derivative Works (namely an original work within the meaning of the Copyright Act (Canada) which incorporates but is not substantially similar to the Content) by incorporating the Content into your own work.

(e) Use the Derivative Works in the same manner as permitted in section 3(c) above, and in items for resale including t-shirts, mugs, calendars and mouse pads; and

(f) Transfer files containing Content or Derivative Works to your clients, printers, or ISP for the purpose of reproduction, provided that such parties shall not have any further rights to use the Content.

PROHIBITED USES:

4. You may not do anything with the Content that is not expressly permitted. You may not provide a copy of the Content, or any portions thereof, to anyone or allow anyone to gain access to the Content, or any portion thereof, except as permitted above. For greater certainty, you may not:

(a) Use the Content in design template applications for resale, including, without limitation, website templates, flash templates, and brochure design templates;

(b) Display the Content on websites designed to induce sales of „print on demand“ products, including postcards, mugs, t-shirts, posters and other items (this includes custom designed websites);

(c) Use the Content in any posters (printed on paper, canvas or other mediums) or other items for resale;

(d) Use the Content or any part thereof as part of a trade-mark, design-mark, trade name, business name, service mark, or logo;

(e) Incorporate the Content in any product that results in a re-distribution of the Content (such as electronic greeting card web sites);

(f) Use the Content in a fashion that is considered by Brownstock Inc. (acting reasonably) as pornographic, obscene, defamatory or libelous in nature;

(g) Use any image in the Content that depicts a person to endorse a business, product or service without the written permission of Brownstock Inc.;

(h) Use any image in the Content that depicts a person in a potentially sensitive subject matter, including, but not limited to mental and physical health issues, sexually sensitive issues, social issues, contraband or crime without the written permission of Brownstock Inc.

(i) To the extent that source code is contained within the Content or accompanying materials (if applicable) reverse engineer, decompile, or disassemble any part of such source code.

(j) Remove any notice of copyright, trademark or other proprietary right from any place where it appears on or in the Content or its accompanying materials, including any embedded file information and/or EXIF data.

(k) Sub-license, re-sell, rent, lend, give away or otherwise distribute the Content.

(l) Post a copy of the Content on a network server or web server for use by other users; or

(m) Transfer the rights to the Content or accompanying materials (if applicable), except as specifically provided for elsewhere in this Agreement.

TERM:

5. This Agreement is effective until it is terminated. You can terminate this Agreement by destroying the Content, and any Derivative Works related thereto, along with any copies or archives of it or accompanying materials (if applicable), and ceasing to use the Content, and any Derivative Works related thereto, for any purpose. The Agreement also terminates if at any time you fail to comply with the terms of this Agreement. Upon termination of this Agreement, you hereby agree to destroy all copies and archives of the Content, and any Derivative Works related thereto, to cease using the Content, and any Derivative Works related thereto, for any purpose, and to confirm to Brownstock Inc. in writing that you have complied with these requirements.

6. Termination of this Agreement does not relieve you of your responsibilities to pay any amounts due to Brownstock Inc. under this agreement or your obligations to not use the Content, or any Derivative Works related thereto, other than in the manner permitted under this Agreement.

LIMITED REPRESENTATIONS AND WARRANTIES:

7. The Brownstock Inc. website acts as an exchange of Content between those who provide Content to the website (our contributors and photographers) and those who wish to use such Content. Accordingly, Brownstock Inc. makes no representation or warranty that any Content provided is Royalty-Free.

8. Statements as to any rights and ownership of the Content are provided as a reference only and questions regarding the usability for any purpose or proposed use should be directed to the party who uploaded or otherwise provided the Content to our website.

9. The content and accompanying materials (if applicable) are provided „as is“ without representation, warranty or condition of any kind, either express or implied, including, but not limited to the implied representations, warranties or conditions of merchantability, or fitness for a particular purpose. Brownstock Inc. does not represent or warrant that the content will meet your requirements or that its use will be uninterrupted or error free. The entire risk as to the quality and performance of the content is with you. Should the content prove defective, you (and not Brownstock Inc.) assume the entire cost of all necessary corrections.

10. Brownstock Inc. warrants that the product and/or downloaded file (final or comping file) to be free of technical defects in material and workmanship for 30 days from delivery.

LIMITATION OF REMEDIES & LIABILITY:

11. Brownstock Inc.’s entire liability and your exclusive remedy, with respect to any claims arising out of your use of the Content or accompanying material (if applicable), or out of your actions in downloading the Content, shall be as follows:

(a) You may, upon request to Brownstock Inc., be permitted to download the Content again, at a location we will provide for you.

(b) If you continue to be unable to download the Content, Brownstock Inc. will refund the fee actually paid by you in respect of the use of such Content, provided Brownstock Inc. determines in its sole and absolute discretion that you have been unable to download such Content successfully.

12. In no event shall Brownstock Inc. or any of its directors, officers, employees, shareholders, partners, or agents be liable for any incidental, indirect, punitive, exemplary, or consequential damages whatsoever (including damages for loss of profits, interruption, loss of business information, or any other pecuniary loss) in connection with any claim, loss, damage, action, suit or other proceeding arising under or out of this agreement, including without limitation your use of, reliance upon, access to, or exploitation of the content, or any part thereof, or any rights granted to you hereunder, even if we have been advised of the possibility of such damages, whether the action is based on contract, tort (including negligence), infringement of intellectual property rights or otherwise.

13. In any event, the total maximum aggregate liability under this agreement, the license provided hereunder, or the use or exploitation of any or all of the content in any manner whatsoever shall be limited to the fees actually paid by you to Brownstock Inc. under this agreement in respect of the use of the content.

INDEMNIFICATION:

14. You agree to indemnify and hold Brownstock Inc. harmless against all claims or liability asserted against Brownstock Inc. arising out of or in connection with any breach by you or anyone acting on your behalf of any of the terms of this Agreement.

GENERAL:

15. If any provision or part thereof of this Agreement is wholly or partially unenforceable the parties or, in the event the parties are unable to agree, a court of competent jurisdiction, shall put in place thereof an enforceable provision or provisions, or part thereof, that as nearly as possible reflects the terms of the unenforceable provision or part thereof.

16. You agree to pay and be responsible for any and all sales taxes, use taxes, value added taxes and duties imposed by any jurisdiction as a result of the license granted to you, or of your use of the Content, pursuant to this Agreement.

JURISDICTION & ARBITRATION:

17. This Agreement will be governed under the laws of the Province of Ontario and the federal laws of Canada applicable therein (without reference to conflicts of laws principles). The United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded, will not govern this Agreement. You consent to service of any required notice or process upon you by registered mail or overnight courier with proof of delivery notice, addressed to the address or contact information provided by you at the time the Content was downloaded, or such other address as you may advise us in writing to use, from time to time

18. Any and all disputes arising out of, under or in connection with this Agreement, including without limitation, its validity, interpretation, performance and breach, shall be submitted to arbitration in Ottawa, Ontario, pursuant to the rules of the Arbitration Act (Ontario) in effect at the time arbitration is demanded.

19. If Brownstock Inc. is obligated to go to court, rather than arbitration, to enforce any of its rights, or to collect any fees, you agree to reimburse Brownstock Inc. for its legal fees, costs and disbursements if Brownstock Inc. is successful.

20. You acknowledge that you have read this agreement, understand it, and by downloading the content you agree to be bound by its terms and conditions. You further agree that it is the complete and exclusive statement of the agreement between you and Brownstock Inc., which supersedes any proposal or prior agreement, oral or written, and any other communication between you and Brownstock Inc. relating to the subject of this agreement.

21. You acknowledge that by downloading the Content by accepting and using the file(s), you are agreeing to all of the terms and conditions of the above End User Agreement. If for any reason you do not accept or agree with these terms please do not download the Content.


END USER LICENSE AGREEMENT
of Built images

THIS LICENSE AGREEMENT IS A LEGAL AND BINDING AGREEMENT (“AGREEMENT”) BETWEEN YOU THE USER („LICENSEE“) AND LOOK PHOTOGRAPHY, INC. THIS LICENSE AGREEMENT APPLIES TO LICENSES ISSUED VIA THE WEB AND VIA PHYSICAL DELIVERY ON A CD-ROM PRODUCT OR OTHER DIGITAL STORAGE MEDIA (THE “AGREEMENT”). IF THE LICENSEE DOES NOT AGREE AND HAS NOT EXERCISED THE RIGHTS GRANTED UNDER THIS AGREEMENT, THE LICENSEE MAY PROMPTLY RETURN THE UN-OPENED AND UN-USED CD-ROM AND ALL ACCOMPANYING MATERIALS IN THE ORIGINAL PACKAGING FOR A REFUND OF THE PURCHASE PRICE. IMAGES LICENSED VIA THE WEB MAY NOT BE RETURNED OR REFUNDED. THE TERM LICENSEE INCLUDES THE CLIENT IF THE AGENT IS ACTING ON BEHALF OF THE CLIENT AND PROVIDED BOTH AGENT AND CLIENT ARE JOINTLY AND SEVERALLY LIABLE TO COMPANY UNDER THE AGREEMENT.

1. License
Subject to the terms of this License Agreement, LOOK Photography, Inc. (“COMPANY”) grants Licensee a perpetual, worldwide, non-transferable, non-exclusive right to reproduce, transmit and display, in whole or in part, COMPANY’S Royalty Free Image(s) (whether available as part of a CD-ROM collection of images or downloaded as a single–image) an unlimited number of times, in any and all media for the Permitted Uses described below. All other rights to the Image(s), CD-ROM, software and accompanying materials (if applicable), including without limitation, copyright and all other rights, are retained by COMPANY. All rights not specifically granted are retained by COMPANY.

2. Permitted Uses

  • Any print media, including advertising and promotional materials, editorial publications and consumer merchandise;
  • Any Internet, intranet, Online or web-based media provided the resolution of the images does not exceed 72dpi;
  • Broadcast and Theatrical exhibitions;
  • Products intended for resale; provided these products are not intended to allow the re-distribution or re-use of the Image(s);and
  • Additional uses approved in writing by COMPANY.

Licensee may alter, crop, modify or adapt the Images in connection with the above permitted uses. Licensee may make a back-up copy of the Image(s) for internal back-up purposes provided COMPANY’S copyright and any image identifying information embedded with the digital file is retained with the file. Limited, temporary transfers of the Images are permitted to third parties integral to the creation of the final product, provided such third parties agree to abide by the terms of this Agreement.

3. Number of Users / Seat License Licensee may store the Images on a server, image library or network configuration to be viewed by Licensee or its clients provided that no more than 10 persons can access the Images. Before permitting access to more than 10 persons, Licensee must upgrade the seat license from COMPANY.

4. Restrictions on Use
Except as provided herein, Licensee may not

  • Sublicense, sell, assign, convey or transfer any of its rights under this Agreement, but Licensee may sell or license derivative works incorporating the Images. However, Licensee may not include the Images in an electronic template intended to be used by third parties on electronic or printed products, where the purpose is to create multiple impressions, including but not limited to: website designs, presentation templates, electronic greeting cards, business cards, or any other electronic or printed matter without obtaining a license for such purpose;
  • Sell, license or distribute its final product in such a way that permits Licensee’s end users to extract or access the Images as a stand-alone file.
  • Incorporate the Images into a logo, trademark or service mark.
  • Distribute, post or upload the Image(s) online in a downloadable format or enable it to be distributed via mobile telephone devices.
  • Use any Image in a pornographic, defamatory, libelous or otherwise illegal manner, whether directly or in context or juxtaposition with other materials.
  • With respect to the software on the CD-ROM or other storage media, decompile, reverse engineer, disassemble or otherwise reduce the software to a human readable form.
  • Use any of the Images in any manner prohibited by any export laws, restrictions or regulations.

5. Product Endorsement or Sensitive Use Disclaimer
If any Image featuring a model is used in a manner that would lead a reasonable person to believe that the model personally uses or endorses a product or service, or if the depiction of the model is used in connection with a subject that would be unflattering, embarrassing or unduly controversial to a reasonable person, Licensee must accompany each such use with a conspicuous statement that indicates that the person is a model and the Image is being used for illustrative purposes only. These requirements are without prejudice to the obligations of the COMPANY regarding use of the Images contained elsewhere throughout this Agreement.

6. Releases
Model releases are available on Image(s) containing models upon request. Names are removed to protect the privacy of the model, Other than model releases for recognizable persons, COMPANY grants no rights and makes no warranties with regard to the use of names, trademarks, trade dress, registered, unregistered or copyrighted designs or works of art or architecture depicted in any Image, and Licensee must satisfy itself that all the necessary rights or consents regarding any of the above, as may be required for reproduction, have been obtained.

7. Indemnity
Licensee agrees to defend, indemnify and hold COMPANY and its parent, subsidiaries and affiliates and their respective officers, directors and employees harmless from all damages, liabilities and expenses (including reasonable attorneys‘ fees and costs), arising out of or as a result of claims by third parties relating to Licensee’s use of any Image(s) outside the scope of this Agreement or any other breach by Licensee of this Agreement.

8. Warranties and Limitation of Liability
COMPANY represents that it has the right to grant the license herein and warrants the Images to be free from defects in material and workmanship for 30 days from delivery. The sole and exclusive remedy for a breach of the foregoing warranty is the replacement of the CD-ROM or refund of the purchase price, at COMPANY’S option.

COMPANY MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, REGARDING, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. COMPANY SHALL NOT BE LIABLE TO LICENSEE OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF LICENSEE’S USE OF THE IMAGES, OR OTHERWISE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. COMPANY’S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH LICENSEE’S USE OF OR INABILITY TO USE THE IMAGES (WHETHER IN CONTRACT, TORT OR OTHERWISE) SHALL, TO THE EXTENT PERMITTED BY LAW, BE LIMITED TO THE VALUE OF THE LICENSE PAID BY THE LICENSEE FOR THE USE OF THE IMAGE(S).

Licensee may have additional rights under state law.

9. Payment Terms
No licenses are granted until full payment of COMPANY’S invoice is received. Unless credit terms have specifically been agreed directly between COMPANY and the Licensee, Payment of COMPANY’S invoices must be received on the sooner of Thirty (30) days of its date net, without any discounts, or prior to the publication of any Image. The licensee agrees to pay COMPANY a service charge of [1.5] % percent per month on any unpaid balance after this time period for the use of the Image.

Any disputes concerning the invoice must be submitted in writing, within Thirty (30) business days of the invoice date, or the licensee shall be deemed to have accepted the invoice as issued.

10. Cancellation Policy for Royalty-Free Images
All licenses are final; no refunds or credits will be allowed. The breaking of the CD-ROM seal is considered to be the complete fulfillment of COMPANY’S obligations.

11. Copyright Infringement and Liquidated Damages
In the event that the licensee utilizes any Image without or prior to the granting of a license, COMPANY reserves the right to seek damages through legal channels unless the licensee agrees to reimburse COMPANY, as liquidated damages, a sum equal to five (5) times the market value price charged for such use of a Royalty-Free image.

If the licensee fails to make the payment as outlined above, within five (5) days of COMPANY’S invoicing such fee, this liquidated damage provision shall be void and COMPANY reserves the right to sue for copyright infringement, including attorneys‘ fees and all associated costs.

12. Termination
The license contained in this Agreement will terminate automatically without notice from COMPANY if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately
(i) stop using the Image(s),
(ii) destroy or, upon the request of COMPANY, return the Images to COMPANY, and
(iii) delete or remove the Images from Licensee’s premises, computer systems and storage (electronic or physical).

13. Revocation
Licensor reserves the right to revoke the license to use any Image(s) for good cause and elect to replace such Image with an alternative Image. Upon notice of any revocation of a license for any Image(s), Licensee shall immediately cease using such Image (s), shall take all reasonable steps to discontinue use of the replaced Image(s) in products that already exist and shall inform all end-users and clients of same.

14. Severability
If one or more of the provisions contained in the Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected. Such provisions shall be reformed only to the extent to make it enforceable.

15. Choice of Law/Attorney’s fees
This Agreement will be governed in all respects by the laws of the State of California, without reference to its laws relating to conflicts of law. Licensee agrees that the Circuit or County Court of the State of California for Orange County and the United States District Court for the District of California located in Santa Ana are the agreed and appropriate forums for any such suit, and consent to service of process by registered mail or overnight courier with proof of delivery. The United Nations Convention on Contracts for the International Sale of Goods does not govern this Agreement. If COMPANY is obligated to go to court to enforce any of its rights, the Licensee agrees to reimburse COMPANY for its legal fees and disbursements if COMPANY is successful.

16. Waiver
No action of COMPANY, other than express written waiver, may be construed as a waiver of any provision of this Agreement.

17. Entire Contract
This contract contains all the terms of the license agreement and no terms or conditions may be added or deleted unless made in writing and signed by an authorized representative of both parties. In the event of any inconsistency between the terms contained herein and the terms contained on any purchase order or other writing sent by Licensee, the terms of this Agreement shall govern.


END USER LICENSE AGREEMENT
of Cultura

1. TERMS AND CONDITIONS OF USE OF IMAGES
1.1 This Agreement is between Cultura Limited, a company incorporated in England under registered number 06256885 and whose registered office is at Heron Place, 3 George Street, London W1U 3QG (“Cultura”) and you, your company, your employer and/or your client (as the case may be) (together referred to as “You”). If you are acting for an intermediary you represent and warrant to Cultura that you are authorised to act as an agent for the intended licensee and that you have full power and authority to bind the intended licensee. Should the intended licensee dispute your authority, you will remain bound by the terms of this Agreement and liable for any failure of the intended licensee to comply with the terms of this Agreement.

1.2 By downloading or using any of the images from this website, You agree to be bound by the terms of this Agreement. If You do not agree please click on your browser’s back button on the website to decline this Agreement.

1.3 This Agreement grants to You certain rights to use the image that You download and use, together with all associated data (together herein defined as the “Image”).

1.4 You may not utilise the Image in any manner that is not expressly permitted by this Agreement. All rights not specifically granted under this Agreement are retained by Cultura. No ownership, copyright or other intellectual property rights in any Image shall pass to You whatsoever.

2. GRANT OF LICENCE
2.1. In consideration for the payment by You of the relevant licence fee and your compliance with the terms of this Agreement, You are hereby granted the non-exclusive, non-transferable, non-licensable, worldwide and perpetual right to store, reproduce, use, copy or publish the whole or part of the Image that You have downloaded or used an unlimited number of times in any and all media for the following purposes:

2.1.1. Advertising and promotional materials;

2.1.2. Broadcast and theatrical exhibitions;

2.1.3. Print publications and physical images; and

2.1.4. Electronic publications, including website design up to a maximum resolution of 72dpi PROVIDED THAT You may not use the Image in any commercial products where the Image makes up a significant part of the re-sale value of the product (for example, but without limitation, the use of the Image in any postcards, posters and calendars).

2.2. You have the right to have the Image reproduced by your subcontractors provided that You ensure that such subcontractors agree to abide by the provisions of this Agreement and provided that You fully and effectively indemnify Cultura in relation to any costs, expenses (including legal and other professional fees), claims, penalties, damages or losses incurred or suffered by Cultura and arising out of a breach by such subcontractor of any provision of this Agreement.

2.3. Your use of the Image must be in compliance with all applicable laws anywhere in the world.

2.4. You may alter, crop, manipulate and create derivative works of the Image.

2.5. You may store the Image in a digital library, network configuration or similar arrangement to allow the Image to be solely and exclusively viewed by your employees, partners and clients, but under no circumstances may the Image be copied or published to any other network or bulletin board, nor may the Image ever be used by more than 10 users (unless a separate seat licence is purchased for each additional user before such additional use begins).

2.6. Unless otherwise expressly provided in this Agreement, You may not sublicence, sell, assign, convey, delegate, sub-contract or transfer this Agreement or any of your rights and obligations under this Agreement but You may sell or sublicence derivative works incorporating the Image provided that you acknowledge and agree that You do not acquire any copyright and/or any other intellectual property rights through the use of the Image in that work and that your use of the derivative work remains at all times subject to the terms of this Agreement; accordingly, You agree, at Cultura’s request but at your expense, to assign any copyright and/or other intellectual property rights therein to Cultura absolutely. However, You may not include the Image in an electronic template intended to be reproduced by third parties on electronic or printed images.

2.7. You may not sell, licence or distribute any derivative work containing the Image in a way that would allow a third party to download, extract or access the Image as a standalone file.

2.8. Images shall not be incorporated into a logo, trademark or service mark.

2.9. You may not post the Image online in a downloadable format or enable it to be distributed via mobile telephone devices.

2.10. If any Image featuring a model is used in (i) a manner that would lead a reasonable person to believe that the model personally uses or endorses a product or service; or (ii) connection with a subject that would be unflattering or unduly controversial to a reasonable person, then You must accompany each such use with a statement that indicates that the person is a model and the Image is being used for illustrative purposes only.

2.11. The Image may not be used in a pornographic, defamatory, libellous or otherwise illegal manner, or in any way that would or might be deemed to be offensive to the model(s) or to Cultura, whether directly or in context or juxtaposition with other materials.

2.12. The Image may not be used directly or indirectly to promote, advertise or market any business that sells, licences or distributes photographic images or used in any other manner whatsoever that could be considered to be competing with any of the business of Cultura.

2.13. You must retain the copyright symbol, the name of Cultura and/or the photographer, the Image’s identification number and any other information as may be invisibly embedded in the electronic file containing the original Image.

2.14. You may not manipulate the Image or its digital format so as to reverse engineer, decompile, disassemble or translate any part of the Image.

2.15. You must abide by any restriction on use notified to You by Cultura before or at the time of or following delivery of the Image, either in the information accompanying the Image or otherwise. 2.16. If the Image is used in an editorial manner, You must include the following credit adjacent to the Image: “Photographer’s name/Cultura”.

2.17. While efforts have been made to correctly caption the subject matter of the Image, Cultura does not warrant the accuracy of such information.

2.18. You must not do or authorise any third party to do any act which would or might invalidate or be inconsistent with any copyright or other intellectual property rights in relation to the Image, and You shall not omit or authorise any third party to omit to do any act which, by its omission, would have that effect or character.

2.19. You must immediately and fully notify Cultura of any actual, threatened or suspected infringement of any copyright or other intellectual property rights in relation to the Image which comes to your notice and of any claim by any third party so coming to your notice that the licensing of the Image under the terms of this Agreement infringes any rights of any other person. You shall, at the request of Cultura, do all such things as may be required to assist Cultura in taking or resisting any proceedings in relation to any such infringement or claim.

2.20. You must at all times comply with the terms and conditions of use of this website as set out elsewhere on this website.

3. WARRANTY
To the fullest extent permitted by law, Cultura makes no warranty, guarantee or representation (express or implied) in relation to the Image and/or the licence granted to You under this Agreement, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose whatsoever.

4. LIABILITY
4.1 Neither Cultura nor any of its officers, employees, content providers, contributors, agents or other representatives shall be liable to You or any third party for any special, indirect, consequential, incidental, exemplary, punitive or other damages (including, without limitation, loss of profit, loss of anticipated profit, loss of goodwill, wasted expense, loss of business contracts or loss of reputation) arising out of the licence granted under this Agreement or otherwise.

4.2 The maximum liability of Cultura and any of its officers, employees, content providers, contributors, agents or other representatives in respect of any loss or damage suffered by You or any other third party arising out of or in connection with the licence granted to You under this Agreement shall not exceed the relevant licence fee paid by You in relation to the relevant Image that is the subject matter of the relevant claim.

5. REFUSAL
Cultura reserves the right in its sole discretion to refuse to grant to You a licence to use an Image for any reason whatsoever and shall not be required to provide a reason to You for such refusal.

6. PAYMENT
You shall pay the relevant licence fee in respect of each Image that you download or otherwise use in accordance with the payment terms and instructions set out elsewhere on this website.

7. INDEMNIFICATION
You shall defend, fully and effectively indemnify and hold harmless Cultura and its officers, employees, consultants, sub-contractors and agents from all costs, expenses (including legal and other professional fees), claims, penalties, damages or losses incurred or suffered by Cultura and arising out of or as a result of claims by third parties relating to your use of any Image outside the scope of this Agreement or any other breach by You of this Agreement.

8. GENERAL
8.1 All copyright and other intellectual property rights to the Image are protected by copyright and other intellectual property laws, international treaty provisions and other applicable laws. Cultura and its own superior licensors shall retain all rights not expressly granted by this Agreement. The Image is sub-licensed only to You.

8.2 The licence contained in this Agreement will terminate automatically without notice from Cultura if You fail to comply with any provision of this Agreement. Upon termination, You must immediately: (i) stop using the Image, (ii) return the Image and all copies of all of it to Cultura, and (iii) delete any Image and all copies thereof from all magnetic media and destroy all other copies, or upon the request of Cultura, return all such copies to Cultura.

8.3 Cultura reserves the right to discontinue the use of any Image for any reason at any time and elect either to replace the Image with an alternative image or to terminate the relevant licence with immediate effect. Upon notice of any discontinuance of a licence for a particular Image, You agree not to use such Image in the future.

8.4 The Agreement shall be interpreted, construed and enforced in accordance with the laws of England and Wales, and You and Cultura hereby submit to the non-exclusive jurisdiction of the High Court of Justice in England and Wales.

8.5 If one or more of the provisions contained in the Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected. Such provisions shall be revised only to the extent necessary to make them enforceable.

8.6 No action of Cultura, other than express written waiver, may be construed as a waiver of any provision of this Agreement. A delay on the part of Cultura in the exercise of its rights or remedies will not operate as a waiver of such rights or remedies, and a single or partial exercise by Cultura of any such rights or remedies will not preclude other or further exercise of that right or remedy. A waiver of a right or remedy by Cultura on any one occasion will not be construed as a bar to or waiver of rights or remedies on any other occasion.

8.7 This Agreement, together with the terms and conditions of use of this website, contain all the terms of the licence agreement and no terms or conditions may be added or deleted unless made in writing and signed by each of us. In the event of any inconsistency between the terms contained herein and the terms contained on any purchase order or other communication sent by You, the terms of this Agreement shall govern.

8.8 Notwithstanding the Contracts (Rights of Third Parties) Act 1999 (“the Act”), any of Cultura’s agents, partners, distributors or any other third parties nominated by Cultura from time to time shall be entitled to rely upon and/or enforce any term of this Agreement. Subject to the foregoing, a person who is not a party to this Agreement has no rights under the Act.


END USER LICENSE AGREEMENT
of Denkou Images

Please read this Agreement carefully before purchasing or using any royalty-free image („Image“) from Denkou Images.

By using an Image or exercising any rights granted under this End-User License Agreement (the „Agreement“), you agree to be bound by this Agreement. If you do not wish to accept the terms of this Agreement, you may return the unused image or Image CD-ROM („CD“) to Denkou Images within seven days from the invoice date for a refund of the purchase price. Denkou Images and its suppliers own the rights to the Images, CD, and Denkou Images Website. All rights not specifically granted by this Agreement are reserved by Denkou Images.

1. Definitions In this Agreement the following definitions apply
„Invoice“ means the computer-generated or pre-printed invoice provided by Denkou Images or an authorized distributor that may include, without limitation, the Licensed Material selected, any limitations on the license in addition to those specified herein and the corresponding price for the license of such Licensed Material. The Invoice shall be incorporated into this Agreement and all references to the Agreement shall include the Invoice.

„Licensed Material“ means any still image, visual representation generated optically, electronically, digitally or by any other means, including any negatives, transparencies, prints, original digital files or any Reproductions thereof, or any other product protected by copyright, trademark, patent or other intellectual property right, which is licensed to Licensee by Denkou Images Images under the terms of this Agreement. Any reference in this Agreement to the Licensed Material shall be to each individual item within the Licensed Material and also to the Licensed Material taken as a whole.

„Reproduction“ and „Reproduce“ mean any form of copying or publication of the whole or part of any Licensed Material, via any medium by whatever means, and the distortion or manipulation of the whole or any part of the Licensed Material and the creation of any derivative work from the Licensed Material.

“User” means any employee or subcontractor of the Licensee who manipulates, edits, or modifies the original digital file containing the Licensed Material or incorporates the Licensed Material within any derivative work.

2. Grant of Rights
Subject to the terms of this Agreement: Licensee has the non-exclusive, non-transferable, non-sublicensable right to Reproduce the Licensed Material identified in the Invoice an unlimited number of times in any and all media for the following purposes (together the “Permitted Uses”): Advertising and promotional materials; Broadcast and theatrical exhibitions; Print publications and physical products; Electronic publications including website design, up to a maximum resolution of 72dpi; and any other uses approved in writing by Denkou Images. Licensee has the right to have the Licensed Material Reproduced by subcontractors of Licensee, provided that Licensee ensures that such subcontractors agree to abide by the provisions of this Agreement. Licensee may alter, crop, manipulate and create derivative works of the Licensed Material. Licensee’s rights to the Licensed Material are worldwide and perpetual.

3. Restrictions on Use
Except as provide herein, Licensee may not

  • Sublicense, sell, assign, convey or transfer any of its rights under this Agreement, but Licensee may sell or license derivative works incorporating the Image(s). However, Licensee may not include the Image(s) in an electronic template intended to be used by third parties on electronic or printed products.
  • Sell, license or distribute its final product in such a way that permits Licensee’s end users to extract or access the Image(s) as a stand-alone file.
  • Incorporate the Image(s) into a logo, trademark or service mark.
  • Distribute, post or upload the Image(s) online in a downloadable format or enable it to be distributed via mobile telephone devices.
  • Use any Image in a pornographic, defamatory, libelous or otherwise illegal manner, whether directly or in context or juxtaposition with other materials.
  • Decompile, reverse engineer, disassemble or otherwise reduce the software on the CD_ROM or other storage media to a human readable form.

4. Number of Users / Seat License
Licensee may store the Images on a server, image library or network configuration to be viewed by Licensee or its clients provided that no more than 10 persons can access the Image(s). Before permitting access to more than 10 persons, Licensee must upgrade the seat license from Denkou Images.

5. Warranties and Limitation of Liability
Denkou Images represents that it has the right to grant the license herein and warrants the Image(s) to be free from defects in material and workmanship for 30 days from delivery. The sole and exclusive remedy for a breach of the foregoing warranty is the replacement of the CD-ROM or refund of the purchase price, at Denkou Images’ option.

DENKOU IMAGES MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, REGARDING, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. DENKOU IMAGES DOES NOT WARRANT THAT CAPTION INFORMATION IS ACCURATE.

DENKOU IMAGES SHALL NOT BE LIABLE TO LICENSEE OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF LICENSEE’S USE OF THE IMAGES, OR OTHERWISE, EVEN IF DENKOU IMAGES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. DENKOU IMAGES‘ MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH LICENSEE’S USE OF OR INABILITY TO USE THE IMAGE(S) (WHETHER IN CONTRACT, TORT OR OTHERWISE) SHALL, TO THE EXTENT PERMITTED BY LAW, BE LIMITED TO THE VALUE OF 10 TIMES THE VALUE PAID BY THE LICENSEE FOR THE IMAGES.

6. Indemnity
Licensee agrees to defend, indemnify and hold Denkou Images and its parent, subsidiaries and affiliates and their respective officers, directors and employees harmless from all damages, liabilities and expenses (including reasonable attorneys‘ fees and costs), arising out of or as a result of claims by third parties relating to Licensee’s use of any Image(s) outside the scope of this Agreement or any other breach by Licensee of this Agreement.

7. Payment Terms
No licenses are granted until full payment of Denkou Images’ invoice is received. Unless credit terms have specifically been agreed directly between Denkou Images and the Licensee, payment of Denkou Images‘ invoices must be received on the sooner of fourteen (14) days of its date net, without any discounts, or prior to the publication of any Image(s). The licensee agrees to pay Denkou Images a service charge of two (2) percent per month on any unpaid balance after this time period for the use of the Image(s).

Any disputes concerning the invoice must be submitted in writing, within five (5) business days of the invoice date, or the licensee shall be deemed to have accepted the invoice as issued.

8. Termination and Revocation
The license contained in this Agreement will terminate automatically without notice from Denkou Images if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately stop using the Licensed Material; destroy or, upon the request of Denkou Images, return the Licensed Material to Denkou Images; and delete or remove the Licensed Material from Licensee’s premises, computer systems and storage (electronic or physical).

Denkou Images reserves the right to revoke the license to use the Licensed Material for good cause and elect to replace such Licensed Material with alternative Licensed Material. Upon notice of any revocation of a license for any particular Licensed Material, Licensee shall immediately cease using such Licensed Material and shall where possible ensure that its clients and customers do likewise.

9. Condition of Licensed Material
Licensee should examine all Licensed Material for possible defects (whether digital or otherwise) before sending any Licensed Material for Reproduction. Denkou Images shall not be liable for any loss or damage suffered by Licensee or any third party, whether directly or indirectly, arising from any alleged or actual defect in any Licensed Material or its caption or in any way from its Reproduction.

10. Miscellaneous Terms
Unauthorized Use Any use of Licensed Material in a manner not expressly authorized by this Agreement or in breach of a term of this Agreement constitutes copyright infringement, entitling Denkou Images Images to exercise all rights and remedies available to it under copyright laws around the world. Licensee shall be responsible for any damages resulting from any such copyright infringement, including any claims by a third party. In addition and without prejudice to Denkou Images’ other remedies under this Agreement, Denkou Images reserves the right to charge and Licensee agrees to pay a fee equal to five times Denkou Images’ normal license fee for use of the Licensed Material.

Severability If one or more of the provisions contained in the Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected. Such provisions shall be revised only to the extent necessary to make them enforceable.

Governing Law This Agreement will be governed in all respects by the laws of the Federal Republic of Germany. Jurisdication place is Hamburg.

Waiver No action of Denkou Images, other than express written waiver, may be construed as a waiver of any provision of this Agreement. A delay on the part of Denkou Images in the exercise of its rights or remedies will not operate as a waiver of such rights or remedies.


END USER LICENSE AGREEMENT
of Design Pics

NOTICE: This is a legal contract made between you (Licensee) and Design Pics Inc. (Licensor) and should be read carefully.

By acquiring any or all images through your membership, CD Collections, or the purchase of single images, you agree to be bound by this agreement. If you do not agree, do not proceed to download or utilize any images and your membership or purchase fees will be refunded where applicable as provided below.

1. Conditions of Agreement
When you acquire an image(s) (hereinafter Image or Images) from Licensor, in all cases you do so pursuant to this Royalty-Free License Agreement (the Agreement). If you do not agree to comply with all the terms and conditions of this Agreement, then you cannot proceed to download or use any images, you cannot use or copy the Images in any fashion, you must delete any and all copies you have and, where you have not as yet obtained any Images, your membership fees or purchase price will be subject to refund.

2. Grant of Limited License
If you accept this Agreement, then you are granted a limited, revocable, personal, non-transferable, and non-exclusive license (the License) to copy, modify and use the Image(s) an unlimited number of times in your personal, professional, internal, editorial and client projects in any of the following final projects or works:

  • printed materials including newsletters, brochures, pamphlets, booklets, etc.,
  • annual reports, manuals, presentations, printed or electronic,
  • sales tools, promotional materials, billboards & exhibits,
  • advertising and promotional campaigns, printed or electronic
  • editorial works including magazines, newspapers, books, etc.,
  • calendars, greeting cards, posters, banners, trade show displays, etc.,
  • packaging including software, music CDs, video tapes, DVDs, retail, etc.,
  • broadcast & theatrical presentations
  • on-line newspapers, book presentations, web-site and multimedia design projects (on the strict condition that the image resolution of each Image so used may not exceed 72dpi).

3. Conditions of Grant of License
The grant of License with respect to each Image is subject to the following conditions, any breach of which you acknowledge will cause loss and damage to Licensor:

a) All images used, published or displayed on the World Wide Web or in any online, multi-media or other electronic or digital format may only be used, published or displayed in a resolution and format of 72 DPI or less, to prevent unauthorized replication or copying of the image from the web site in which the image is used;

b) No print quality images (whether low, medium or high resolution files) can be placed on-line in a downloadable or FTP (file transfer protocol) format;

c) Images may not be copied in whole or in part for any purpose other than for use by you as non-exclusive licensee, and may not be copied for re-sale, other than for inclusion in work generated by you;

d) You may not sell, license, or distribute work in any way which allows the client to access the images as a stand-alone file.

e) You may not rent, transfer or grant any rights to the Images, or any compilation, derivative or collective work containing the Images, to any third party without the prior written consent of Licensor;

f) You may not use, promote, offer or market Images for resale, redistribution, sublicense, rent, lease, or re-license;

g) You may not post Images on any electronic bulletin board, news group or on UseNet or similar facility or service;

h) You may not use, or permit others to use, Images, or any portion of an Image, in such a fashion as to create or have the Image be associated with any pornographic, libellous, defamatory, obscene, immoral, demeaning, fraudulent or objectionable design, image, website, publication, document, record, or use of any kind;

i) You may not use, or permit others to use, Images to create an endorsement or opinion, for or against, any political party, product or service, cause or organization or with respect to ?sensitive? subjects which include by way of example, but are not limited to, hygiene products, promotion of sexual enhancement drugs, promotion of adult materials, sexual topics, sexuality, pornography, brochures with respect to child abuse, mental health issues, or similarly potentially controversial topics without express written permission from Licensor;

j) Images may not be used in association with any discriminatory content, whether with respect to age, gender, racial or ethnic origin, sexual orientation, marital status, physical or mental handicap, or similar matters, or content constituting hate literature;

k) Images, or any part thereof, may not be used or incorporated in any way as to form part of a logo, trademark, or service mark.

l) Images may not be used in a fashion contrary to applicable law and may not be shipped, transferred or exported into any country where so doing would be illegal, or used in any manner prohibited by Canadian laws, restrictions or regulations;

m) Use of any Image in a manner not expressly permitted in this Agreement is prohibited.

n) Licensor grants no rights and makes no warranties with regard to the use of names, trademarks, trade dress, or copyrighted designs or works of art or architecture, registered or unregistered, depicted in any Licensed Material, and Licensee must satisfy itself that all necessary rights or consents regarding any the above, as may be required for reproduction, have been obtained;

o) Licensor reserves the right to revoke the license to use a specific image for good cause and elect to replace the image with an alternative image. In the unlikely event that this should occur, upon notice of the revocation of a license for a particular image, Licensee shall immediately cease using such image and shall ensure that its clients and customers do likewise.

4. Further Limitations on Use
In the event that it is possible, for any reason, that, with respect to any works containing Images, that a use of the Image and the model(s) appearing therein may fall under the above noted conditions, you agree to seek the consent of Licensor before proceeding and further that you will not use Images in such circumstances without first obtaining such consent, which must be in writing. Written consent must be provided for the use of the image(s) under these circumstances.

5. Term and Termination
If you do not comply with the terms and conditions of this Agreement, the License shall be automatically terminated, in which case you will have no further permission, license or right to possession or use of Images and you must remove all copies of Images from media in which they are contained and no printed copies of the Images will be permitted for publication or distribution. You must further remove all digital copies of such Images from all hard drives or digital storage devices and destroy all digital copies contained on any removable hard drives, CDs, DVDs or any other media on which the images can be found. This license shall remain in force unless and until terminated.

6. Ownership
This Agreement grants a limited license allowing use of Images under the terms and conditions of this Agreement and not otherwise. You do not own the Images and no proprietary interest or any right or title is transferred to you. All right, title, interest and copyrights in the Images remain with Licensor or its licensors or contributing photographers. Images are protected by Canadian and international laws regarding copyrights and moral rights, as well as international treaties and other applicable laws. Licensor retains all rights not expressly granted by this license agreement, including all morale rights to the Images.

7. Limited Warranty
Licensor warrants the Images to be free from defects in material and workmanship for 90 days from delivery. Your sole and exclusive remedy for a breach of this warranty is the replacement of the Image or a refund of the pro-rated purchase price of that Image, at the option of Licensor.

8. Excepts
EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THERE ARE NO OTHER REPRESENTATIONS, WARRANTIES, TERMS, CONDITIONS, GUARANTEES OR COVENANTS, EXPRESS, IMPLIED OR OTHERWISE, GIVEN BY LICENSOR OR AFFECTING ANYTHING TO BE DELIVERED BY LICENSOR UNDER THIS AGREEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU HEREBY WAIVE AND LICENSOR HEREBY DISCLAIMS ANY WARRANTY OR CONDITION OF MERCHANTABLE QUALITY OR FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY OR CONDITION ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT DEROGATING FROM ANY OTHER LIMITATION OF LIABILITY CONTAINED IN THIS AGREEMENT, YOU AGREE THAT THE AGGREGATE OF ALL LIABILITY ON THE PART OF LICENSOR FOR BREACH OF ANY WARRANTY CONTAINED IN THIS AGREEMENT OR OF ANY OTHER PROVISION OF THIS AGREEMENT OR OF ANY AGREEMENT CONTEMPLATED BY THIS AGREEMENT OR ANY OTHER BREACH GIVING RISE TO LIABILITY, INCLUDING A BREACH OF A CONDITION OR FUNDAMENTAL TERM OR FUNDAMENTAL BREACH OR BREACHES OR IN ANY OTHER WAY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR ANY AGREEMENT CONTEMPLATED BY THIS AGREEMENT, FOR ANY AND ALL CAUSES OF ACTION WHATSOEVER AND, REGARDLESS OF THE FORM OF ACTION (INCLUDING BREACH OF CONTRACT, STRICT LIABILITY OR TORT INCLUDING NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY), SHALL BE LIMITED TO YOUR ACTUAL DIRECT PROVABLE DAMAGES IN AN AMOUNT NOT TO EXCEED THE SUM OF ONE HUNDRED DOLLARS ($100.00) IN UNITED STATES CURRENCY.

YOU AGREE THAT, EVEN IF LICENSOR HAS BEEN ADVISED BY YOU OF THE POSSIBILITY OF SUCH DAMAGES, IN NO EVENT WILL LICENSOR BE LIABLE FOR DAMAGES IN THE NATURE OF PUNITIVE, EXEMPLARY, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOST BUSINESS REVENUE, LOST PROFITS, FAILURE TO REALIZE EXPECTED SAVINGS OR REVENUES, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, ECONOMIC LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY CLAIM AGAINST YOU BY ANY OTHER PARTY.

THIS AGREEMENT PROVIDES LICENSES AND SERVICES AND IS NOT A SALE OF GOODS AND IN ANY EVENT THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE SALE OF GOODS IS EXPRESSLY DISCLAIMED AND NOT APPLICABLE TO THIS AGREEMENT.

9. Equitable Remedies and Injunctions
You agree and acknowledge that a breach of this Agreement by you will cause Licensor irreparable harm from which no adequate remedy exists at law, and for which damages will not be an adequate remedy, and that upon any such breach or threatened breach Licensor shall be entitled to injunctive relief without prejudice to any other right in law or equity and without the necessity of prior demand or proof of damage.

10. Governing Law
This Agreement will be governed by the laws in force in the Province of Alberta, excluding the application of its conflicts of law rules. Subject to the rights of Licensor to make application for injunctive or other equitable relief in any court of competent jurisdiction, you hereby agree that the jurisdiction for enforcement of this Agreement and any disputes related to it shall be the Court of Queen?s Bench, or its successor, at Edmonton, Alberta, Canada and you specifically attorn to the jurisdiction of the said court.

11. Severability
If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. You agree that the Software (images) will not be shipped, transferred or exported into any country or used in any manner prohibited by Canadian Federal Law, restrictions or regulations.

12. Enurement
This Agreement shall enure to the benefit of the parties and their respective heirs, executors and permitted assigns.

13. Assignment
You may not assign this Agreement which is a mere license personal to you.

By proceeding with the purchase and or use of any images from Design Pics, you have fully agreed to the above terms and conditions as set out in this agreement.


END USER LICENSE AGREEMENT
of emotive-images

This is a legal agreement between YOU („YOU“) and “Emotive Images”, a brand of Flora Press Agency GmbH (“Emotive Images”).

Please read this agreement carefully. By downloading a Royalty Free single image and / or a collection of Royalty Free single images of a VCD (both referred to us “PRODUCT”) from our website or that of one of our distribution partners, YOU agree to be legally bound by the terms and conditions of this agreement. If YOU YOU do not agree with the terms and conditions of this agreement, do not download the PRODUCT.. This agreement is between YOU and Emotive Images and is effective on the date that YOU accept the delivery of any PRODUCT, wheter by electronic, physical or other means.

If YOU are entering into this agreement on behalf of YOUR employer, this license and all the terms and conditions herein apply to both YOUR employer and YOURSELF as a representative of YOURemployer, who shall herein be collectively referred to as „YOU“. If YOU cease to be employed by YOUR employer for any reason, this agreement will continue with YOUR employer and YOU must enter into another agreement with Emotive Images in order to continue to use the PRODUCT.

The PRODUCT is copyrighted Emotive Images. All rights that are not specifically granted to by this agreement are reserved. YOUR right to use any of the PRODUCT is subject to YOUR full payment of the license and the restrictions set forth in this agreement.

1. GRANT OF LICENSE
1.1 Subject to the terms and conditions of this Agreement, Emotive Images grants to YOU a non-exclusive, non-transferable license to use each PRODUCT that YOU have purchased, on a worldwide and perpetual basis, for YOUR own commercial or non-commercial use or for YOUR direct clients, but only as set out below, and not for any other purposes. Therefore the licence is sublicenseable under the reservation of paragraph 1.5 of this Agreement.

1.2 YOU may use the PRODUCT as part of advertising and promotional materials (including advertisements, brochures, books, company newsletters, company reports, packaging and presentations); online or other multimedia content (including online advertisement and web page design) provided that no PRODUCT is at a resolution greater than 72 dpi and cannot be downloaded or copied by any third party; publishing; materials for non-commercial use, personal use, sample use and test use, including comps and layouts. All other online and or multimedia uses have to be approved in writing by Emotive Images (Please contact: contact@emotive-images.com to obtain such license.)

1.3 YOU may create a digital library, network configuration, or similar arrangement to allow the PRODUCT to be used by employees and YOUR direct clients (see also 1.5) provided however that the use of the PRODUCT is limited to no more than 10 such individual users. This is not a simultaneous user agreement. YOU must contact Emotive Images to obtain an additional license for each additional user prior to any use by such user. 1.4 All rights not specifically granted above are reserved by Emotive Images. Therefore YOU may not make any use of the PRODUCT in whole or in part that is not expressly provided for in this Agreement.

1.5 YOUR right to sublicence any right granted hereunder is under the reservation, that YOU are an intermediary (e.g. an advertising or design agency) rendering services for YOUR client, who must be bound to the provisions of this Agreement.

2. LICENSE RESTRICTIONS
2.1 Emotive Images does not grant to YOU any right to re-license, rent, resell or lease any of the PRODUCTS to third parties. Nor can YOU assign, convey, dispose of, gift, lease, rent, sell, or otherwise transfer any of the rights granted to YOU under this Agreement.

2.2 YOU are strictly not permitted to use, or allow anyone else to use any PRODUCT, in whole or in part, for or in association with any pornographic purposes, or in any manner which is or could be considered to be libelous or defamatory, fraudulent, infringing or otherwise unlawful, or that in any way is or could be potentially unflattering or controversial for the model in the PRODUCT.

2.3 YOU may not use Images featuring a model in a manner that would imply that the model personally endorses or uses a product or service.

2.4 Advance written permission is required for use of PRODUCT featuring a model if the depiction of the model is used in connection with “Sensitive Issue” subjects, including, but not limited to subjects such as contraception, sexual or implied sexual activity, sexual preferences, dating services, chat lines, substance abuse, physical or mental abuse, violence, poverty, homelessness, dysfunctional family matters, alcohol, tobacco, AIDS, cancer or other serious physical or mental ailment or disability or serious physical or mental disease or any diagnostic test for same.

2.5 YOU may not use the PRODUCT in any products for sale or license where the primary value resides in the product itself, including retail t-shirts, posters, calendars and postcards. If YOU would like to use a PRODUCT for such purposes, please contact: contact@emotive-images.com to obtain a commercial license.

2.6 YOU shall not use as or incorporate a PRODUCT in a logo, trademark or service mark or infringe on anyone’s trade name, service mark or trademark.

2.7 YOU may not use a PRODUCT in any template or application, whether online or not, with the purpose of creating multiple impressions of a PRODUCT, including but not limited to: website design templates, presentation templates, electronic greeting cards, business cards, e-business cards, or any other electronic or printed matter If YOU would like to use a PRODUCT for such purposes, please contact: contact@emotive-images.com to obtain a commercial license.

2.8 YOU may not use, make available for use, transfer, license, sell or otherwise distribute a Product in such a manner that a person can extract or access the PRODUCT as an electronic file, including posting a PRODUCT online in a downloadable format, FTP or other digital format, posting a PRODUCT on any electronic bulletin board or network, or using a PRODUCT in electronic greeting cards. YOU hereby agree to take all commercially reasonable steps to prevent third parties from duplicating or distributing the PRODUCT.

3. COPYRIGHT
3.1 YOU agree to retain the copyright notice of Emotive Images and its licensors and Emotive Images PRODUCT identification code as displayed on the PRODUCT and as included as part of the electronic file.

3.2 YOU agree to use the PRODUCT in compliance with all applicable laws, including, but not limited to, laws and regulations relating to copyright and moral rights.

3.3 YOU agree to provide a credit next to any PRODUCT used in an editorial manner as follows: Copyright Emotive Images

4. TERM AND TERMINATION
4.1 The license granted herein is a perpetual license that will only terminate as set out below. This Agreement will terminate automatically and without notice from Emotive Images if YOU breach, or fail to perform or observe, any covenant, condition or provision of this Agreement. Emotive Images reserves the right at any time to terminate this Agreement in regard to the PRODUCT for any reason whatsoever and elect to replace such PRODUCT with alternative PRODUCT.

4.2 Upon termination of this Agreement, or this Agreement in respect of a particular PRODUCT YOU (I) agree to cease all use of the PRODUCT provided to YOU; (II) return all CDs or other media provided to YOU containing the PRODUCT; (III) destroy or delete any PRODUCT stored on any premises, computer, hard drive, digital media or other facilities or storage devices (electronic or physical), including all copies of the PRODUCT. (IV) ensure that YOUR clients and customers cease all use of the PRODUCT.

5. WARRANTY
5.1 Emotive Images represents, warrants and covenants that: (I) it has all necessary rights and authority to enter into and perform this Agreement; (II) the PRODUCT will be free from defects in material and workmanship for sixty (60) days from delivery; (III) YOUR’s use of the PRODUCT in its original form and when used in accordance with this Agreement will not infringe on any third-party copyright, moral right, trademark or other intellectual property right and will not violate any third-party right of privacy or right of publicity to the best of Emotive Images knowledge; and (IV) all necessary model and/or property releases for use of the PRODUCT authorized under this Agreement have been obtained. Neither Emotive Images, nor any party on whose behalf Emotive Images licenses the Product, makes any representations or warranties as to whether any additional fees or payments may be due to any person depicted in any Product pursuant to the requirements of any applicable trade union, and YOU shall be solely responsible for any such additional fees or payments to such trade union. YOUR sole and exclusive remedy for any breach of this paragraph shall be the replacement of the PRODUCT 5.2 You represent, warrant and covenant that: (I) YOU have all necessary rights and authority to enter into and perform this Agreement; (II) YOU and YOUR clients will only use PRODUCT in accordings with licence granted hereunder, (III) neither YOUR or YOUR client´s exercise of any right granted hereunder will violate or infringe the right of Emotive Images or any original-licensor to Emotive Images.

6. INDEMNITY / BREACH
YOU agree to unlimitedly indemnify, defend, save and hold Emotive Images and its licensors and contributors and its resellers, harmless from and against any liability, cost, fee, expense, loss, judgment, claim or damage claimed by any third party (including reasonable legal fees) arising or resulting from any breach, violation of, or failure to fulfill, any representation, warranty, covenant or agreement made herein by YOU or arising out of any use of PRODUCT provided to YOU by Emotive Images (including but not limited to: the use of PRODUCT in breach of this Agreement; the use of PRODUCT otherwise than in accordance with the rights granted to YOU herein; the use of PRODUCT in such a manner that violates or infringes any right of another person, consents or waivers; and the unauthorized use by any third party to which YOU may have supplied or suclicenced the PRODUCT to in accordance with this Agreement)

7. LIABILITY
NEITHER EMOTIVE IMAGES NOR ANY OTHER LICENSOR OR AUTHORIZED DISTRIBUTOR THEREOF MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PRODUCT OR THE DELIVERY THEREOF, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER EMOTIVE IMAGES NOR ANY OTHER LICENSOR OR AUTHORIZED DISTRIBUTOR THEREOF SHALL BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF THIS AGREEMENT, EVEN IF EMOTIVE IMAGES OR ANY OTHER LICENSOR OR AUTHORIZED DISTRIBUTOR THEREOF, AS APPLICABLE, HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES OR LIABILITY FOR CERTAIN CATEGORIES OF DAMAGES. IN ADDITION, EMOTIVE IMAGES` TOTAL LIABILITY FOR DIRECT DAMAGES FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE AMOUNT RECEIVED BY EMOTIVE IMAGES FROM YOU DURING THE PREVIOUS TWELVE (12) MONTHS FOR THE PRODUCT GIVING RISE TO SUCH CLAIM.

8. CONDITION OF PRODUCT
YOU should examine the PRODUCT for possible defects (whether digital or otherwise) before sending any Product for Reproduction. Emotive Images shall not be liable for any loss or damage suffered by YOU or any third party, whether directly or indirectly, arising from any alleged or actual defect in any Product or its caption or in any way from its Reproduction.

9. GOVERNING LAW
This Agreement shall benefit and be binding upon the parties hereto. It shall be governed by and construed in accordance with the laws of Germany applicable therein and shall be treated in all respects as a German contract. The application of the United Nations Convention on Contracts for the International Sale of Goods to this Agreement is expressly excluded and this Agreement will not be governed by that Convention. The Agreement shall be subject to the exclusive jurisdiction of the Courts of Hamburg.

10. ENTIRE AGREEMENT
This Agreement supersedes all prior representations, arrangements, negotiations, understandings and agreements between the parties, both written and oral, relating to the subject matter hereof and sets forth the entire, complete and exclusive agreement and understanding between the parties hereto relating to the subject matter hereof. This Agreement may only be amended by written agreement. Such provisions of this Agreement that, by their nature, would be expected to survive termination of this Agreement shall survive any such termination. YOU shall not assign this Agreement in whole or in part without Emotive Images´ approval. Emotive Images may assign this Agreement without YOUR approval.

11. BREACH
In the event of any breach of this Agreement by YOU, YOU agree to indemnify Emotive Images and hold Emotive Images harmless against all claims arising out of any breach by YOU of this Agreement.


END USER LICENSE AGREEMENT
of Eyecandy Images

1. Definitions
1.1 In this Agreement the following words and expressions shall have the following meanings unless the context requires otherwise:

“Agreement” means, altogether the terms and conditions within this document on our invoicing, reminder, legal documents, correspondence and our website, including the copyright notice within all our assets.

“ECI” shall mean Eyecandy Images inc. and its related brands, Eyecandy, Eyecandy images, Eyecandy Pro and Eyecandy

“Royalty Free Content” shall mean Content licensed for an unlimited number of uses for a one time fee and includes abbreviations like ‘RF .

“Rights Managed Content” shall mean Content licensed for a fee per usage basis, calculated via set depending factors and includes abbreviations like ‘RM .

“Rights Combined Content” shall mean Content that is licensed via a categorized model, calculating price per categories set by ECI and includes abbreviations like ‘RC .

“Comps/Presentation Images” shall mean Content licensed without a fee solely for ‘Presentation or Review purposes to determine if the content is appropriate for use within our Royalty Free, Rights Managed and Rights Combined licensing models.

“Images” shall mean all content provided, generated, produced and supplied by Eyecandy Images in any medium, digital or non digital, though physical cd/dvd/hd/ftp/xml/rss/ or any other form of transmission. This includes image data, META data, offline data, copyright data and technical data imbedded and/or included in the image or the original, text, key-wording or captioning.

“End Use” shall means the final product created with Eyecandy Images content in any shape or form, print or digital – excluding ‘comp/presentation images .

“Term” shall mean
a) with respect to each license granted hereunder, the term specified herein or in the applicable Invoice and/or Specific content Web Page, unless earlier terminated as provided herein and,
b) with respect to this Agreement, the term shall end on the earlier to occur of
(1) termination or cancellation of this agreement as provided herein or
(2) the expiration of all licenses issues under this agreement.

2. Parties
This Agreement is binding between ECI and Licensee, ‘Licensee means either
1) the person listed as the registrant of any ECI registration or account through which this agreement and the license(s) granted hereunder are entered (“Registrant”) or
2) if the Registrant is entering into this agreement and the licenses granted hereunder for the benefit of, and/or as an agent on behalf of, registrant s employer (“Employer”) and/or a third party (“Principal”), then such Employer and/or Principal. If Registrant is entering into this Agreement and the licenses granted hereunder for the benefit of and/or as an agent on behalf of Employer and/or Principal, the Registrant
(a) represents and warrants that such Principal and/or Employer has authorized Registrant to enter into this agreement, that the licenses granted hereunder are in that Principal s and/or employer s behalf, that such Principal and/or Employer has agreed to be bound hereby and that Registrant has actual express authority to act on behalf of and bind such Principal and/or Employer to the terms of this agreement;
(b) the Content and End Use is Solely for the benefit of Employer, Principal or Third Party and that Registrant will not use Content or End use for the benefit of any other person or entity without entering into a separate license with ECI and
(c) registrant will comply with all of the terms hereof and shall be jointly and severally liable for any breach of the terms of this Agreement by principal and/or Employer. If registrant requests any ECI employee or contractor or representative to facilitate registrant entering in to any License hereunder on behalf of Registrant and through use of Registrant s account, registrant agrees to be bound by this Agreement.

3. Licensing
3.1 Any and all licenses granted by ECI are conditioned upon
(1) Licensee compliance with all provisions of this Agreement and
(2) ECI s receipt of full payment by Licensee as identified in the applicable Invoice.
Any and all License(s) granted to Licensee hereunder and Licensee s right to use the Content shall immediately terminate upon Licensee s failure to comply with any provision of this Agreement or to make full payment when due, in which case ECI shall be entitled to pursue all other remedies available under copyright and other Laws

3.2 Royalty Free Licence:
Subject to the terms and conditions of this Agreement, ECI grants Licensee a limited, non-exclusive, worldwide rights to create and exploit the End Use for any purpose authorized under this Agreement. The rights granted under this include the right to make the Royalty-Free Content available to ten (10) separate individuals (cumulatively over the Term) for the sole purpose of manipulating or otherwise using the Royalty-Free Content to create the End Use according to the terms provided herein (“Users”), in any and all media now known or hereafter devised. Licensee must obtain an additional license and pay ECI the applicable one-time flat fee in order to make the Content available to more than ten (10) Users

3.3 Rights Managed License:
Subject to the terms and conditions of this Agreement, and excluding the rights granted in our Royalty Free License and Presentation images right to use, ECI grants Licensee a limited, non-exclusive right to use the Rights Managed Content licensed hereunder to create and exploit the End Use solely as specified in the Invoice, within the terms and conditions herein. ECI reserves all rights not specifically granted in this Agreement. Unless otherwise stated in the Invoice, the license granted hereunder for the applicable Rights Managed Content allows Licensee to use the Rights Managed Content obtained hereunder for one year from the date the applicable Invoice is issued. Except where specifically permitted on the Invoice for the applicable Content, Licensee may not distribute, publish, display or otherwise use in any way, the Rights Managed Content, including without limitation the End Use after the Term.

3.3 Comps/Presentation Images:
Subject to the terms and conditions of this Agreement ECI grants Licensee the right to use Comps/Presentation images solely for ‘Presentation or Review purposes to determine if the content is appropriate for use within our Royalty Free, Rights Managed and Rights Combined licensing models, unless otherwise stated in the applicable Invoice, the Term of the Comps license is sixty (60) days from the date of download. Licensee may not copy, distribute, publish, display or otherwise use in any way the Comps after the Term without obtaining an appropriate Content license or if Licensee does not obtain such a license, upon expiration of the Term, Licensee must destroy all copies of the Comps Content. High Resolution Comp images can be obtained only at prior agreement with ECI or any ECI affiliate and any illegal use will be pursued.

5.0 Limitation of Liability and Warranty
ECI warrants that:
(1) it has all necessary rights and authority to enter into and perform this Agreement;
(2) the Licensed Content will be free from defects in Content and workmanship for thirty (30) days from delivery (Licensee s sole and exclusive remedy for a breach of this warranty being the replacement of the Licensed Content);
(3) Licensee s use of the Licensed Content in its original form and when used in accordance with this Agreement, will not infringe on any copyright, moral right, trademark or other intellectual property right and will not violate any right of privacy or right of publicity; and
(4) all necessary model and/or property releases for use of the Licensed Content authorized under this Agreement have been obtained.
Neither ECI, nor any party on whose behalf ECI licenses Licensed Content, makes any representations or warranties as to whether any additional fees or payments may be due to any person depicted in Licensed Content pursuant to the requirements of any applicable trade union, and Licensee shall be solely responsible for any such additional fees or payments to such trade union.

NEITHER ECI NOR ANY LICENSOR MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE LICENSED CONTENT OR ITS DELIVERY SYSTEMS, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER ECI NOR ITS LICENSORS SHALL BE LIABLE TO LICENSEE OR ANY OTHER PERSON OR ENTITY FOR ANY PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF THIS AGREEMENT, EVEN IF ECI OR ITS LICENSORS, AS APPLICABLE, HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES OR LIABILITY FOR CERTAIN CATEGORIES OF DAMAGES.

6.0 Intellectual Property
Eyecandy Images retains all rights, titles, and interests in all copyrights, patent rights, trademarks, and all other proprietary rights from the content. No rights are granted except for the commercial licenses specified in this Agreement. Licensee do not acquire any copyright ownership or equivalent rights in/of any Content or any other property of ECI. Licensee hereby allow ECI to use without charge Licensee s End Use in displays and presentations for ECI marketing purposes, solely to demonstrate how Licensee have used the Content.

7.0 Indemnification
Licensee agrees to indemnify and hold harmless ECI and ‘Licensors officers, directors, employees, contractors, subsidiaries, joint ventures, licensors and licensees against all claims (including, without limitation, claims by third parties), liability, damages (including punitive damages), judgments, settlements, costs and expenses, including reasonable legal fees and expenses, arising out of or related to
(1) Licensee s breach of any terms, conditions or restrictions of this Agreement (including the terms, conditions and restrictions identified on the Invoice(s) and Content Web Pages,
(2) Licensee s use or modification of any Content, or combination of any Content, with any text or other content,
(3) Licensee s failure to obtain from third parties all permissions necessary to use the Content,
(4) Content which ECI has otherwise notified Licensee not to license or otherwise use prior to the beginning of the Term of the license for such Content; and
(5) any act or failure to act by Licensee or any of Licensee s employees, contractors, Employers, agents, clients, Principals, or Users.

ECI agrees to indemnify and hold Licensee harmless against all claims, liability, damages (except punitive damages), costs and expenses, including reasonable legal fees and expenses, awarded against Licensee arising out of or related to ECI breach of the warranties to Licensee as provided above. Notwithstanding the preceding, ECI shall have no obligation unless Licensee provide ECI with written notice within fourteen (14) days of Licensee s receipt of any claim subject to indemnity and the right to defend or control the defence of such claim and shall not, in any case, have any obligation with respect to any claims covered above.

8.0 Restrictions of Usage
8.1 Licensee may store the Licensed Content in a digital library, network configuration or similar arrangement to allow the Licensed Content to be viewed by employees, partners and clients of Licensee, but under no circumstance may the Licensed Content ever be used by more than 10 Users unless a separate seat license is purchased for each additional User, before such additional use begins.

8.2 Licensee may not sublicense, sell, assign, convey or transfer this Agreement or any of its rights under this Agreement but Licensee may sell or license derivative works incorporating the Licensed Content. However, Licensee may not include the Licensed Content in an electronic template intended to be Reproduced by third parties on electronic or printed products.

8.3 Licensee may not sell, license or distribute any derivative work containing the Licensed Content in a way that would allow a third party to download, extract or access the Licensed Content as a standalone file.

8.4 Licensed Content shall not be incorporated into a logo, trademark or service mark.

8.5 Licensee may not post the Licensed Content online in a downloadable format or enable it to be distributed via mobile telephone devices.

8.6 If any Licensed Content featuring a model is used in (1) a manner that would lead a reasonable person to believe that the model personally uses or endorses a product or service; or (2) connection with a subject that would be unflattering or unduly controversial to a reasonable person, Licensee must accompany each such use with a statement that indicates that the person is a model and the Licensed Content is being used for illustrative purposes only.

8.7 The Licensed Content may not be used in a pornographic, defamatory or otherwise illegal manner, whether directly or in context or juxtaposition with other Contents.

8.8 Licensee must retain the copyright symbol, the name of ECI, the Licensed Content’s identification number and any other information as may be invisibly embedded in the electronic file containing the original Licensed Content.

8.9 Licensee must abide by any restriction on use notified to it by ECI before or at the time of delivery of the Licensed Content, either in the information accompanying the Licensed Content or otherwise.

8.10 If the Licensed Content is used in an editorial manner, Licensee must include the following credit adjacent to the Licensed Content: “[Photographer s name]/Eyecandy Images”. While efforts have been made to correctly caption the subject matter of the Licensed Content, ECI does not warrant the accuracy of such information.

9.0 Termination/Cancellation The license contained in this Agreement will terminate automatically without notice from ECI if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately
(1) stop using the Licensed Content;
(2) destroy or, upon the request of ECI, return the Licensed Content to ECI; and
(3) delete or remove the Licensed Content from Licensee’s premises, computer systems and storage (electronic or physical).

ECI reserves the right to revoke the license to use the Licensed Content for good cause and elect to replace such Licensed Content with alternative Licensed Content. Upon notice of any revocation of a license for any particular Licensed Content, Licensee shall immediately cease using such Licensed Content and shall where possible ensure that its clients and customers do likewise.

10.0 Confidentiality
During this Agreement, ECI may provide Licensee with certain pricing, technical, marketing, strategic, product development, locations, and other confidential information. Licensee acknowledge that such confidential information encompasses valuable trade secrets and is proprietary to ECI. Licensee agree that Licensee will maintain the confidentiality of any “confidential information” that ECI may provide to Licensee, and Licensee shall not use or disclose the same without the prior written consent of ECI. “Confidential information” includes any information that is either designated as confidential by ECI or that, under the circumstances surrounding the disclosure, ought in good faith to be treated as confidential by Licensee.

11.0 Miscellaneous
Unauthorized Use Any use of Licensed Content in a manner not expressly authorized by this Agreement or in breach of a term of this Agreement constitutes copyright infringement, entitling ECI to exercise all rights and remedies available to it under copyright laws around the world. Licensee shall be responsible for any damages resulting from any such copyright infringement, including any claims by a third party. In addition and without prejudice to ECI other remedies under this Agreement, ECI reserves the right to charge and Licensee agrees to pay a fee equal to five times ECI normal license fee for use of the Licensed Content.

Governing Law This Agreement will be governed in all respects by the laws of the State of New York, U.S.A., without reference to its laws relating to conflicts of law. Any disputes arising from this Agreement or its enforceability shall be settled by binding arbitration to be held in London, England and/or all other confirmed working offices of ECI; The United Nations Convention on Contracts for the International Sale of Goods does not govern this Agreement. Notwithstanding the foregoing, ECI shall have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction to obtain injunctive or other relief against Licensee in the event that, in the opinion of ECI, such action is necessary or desirable.

Severability If one or more of the provisions contained in the Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected. Such provisions shall be revised only to the extent necessary to make them enforceable.

Waiver No action of ECI, other than express written waiver, may be construed as a waiver of any provision of this Agreement. A delay on the part of ECI in the exercise of its rights or remedies will not operate as a waiver of such rights or remedies, and a single or partial exercise by ECI of any such rights or remedies will not preclude other or further exercise of that right or remedy. A waiver of a right or remedy by ECI on any one occasion will not be construed as a bar to or waiver of rights or remedies on any other occasion. Currency. Licensee will oblige to set currency for his/her own target market, at no time a different currency will be granted by ECI and it s affiliated and at no time should customer seek Content from our Designated web pages and source lower currency value sources for purchase. This act will result in cancellation and termination of all licensing and registrations and/or accounts.

Offensive/Explicit Content Our content may show offensive, sensitive or provocative scenes, situations or images. Nudity is shown as well as the interpretation of sexual acts. Images can be seen as pornographic which is the opinion of the viewer, any gross pornographic acts, scenes or body parts will not be shown. Eyecandy images will not be responsible or liable at all for any physical or emotional damage caused on the terms of underage viewing, religion, local legal practices, grievance or disciplinary issues within a corporate or non corporate workplace. Any person viewing our images will be doing this on their own accord and risk.


END USER LICENSE AGREEMENT
of Glowimages

This is a LEGAL AGREEMENT made between you the user and GlowImages, and it governs how you may use GlowImages.

In CONSIDERATION of GlowImages allowing you to use these Images, in the manner permitted by this Agreement, YOU AGREE TO BECOME BOUND BY THE FOLLOWING TERMS AND CONDITIONS:

This agreement Applies to Images Purchased online and on CD ROM.

This Agreement is made on the day of purchase between GlowImages Inc. („GlowImages“) of the on part and you the user („User“) of the other part. In consideration of you paying the agreed license fee and in consideration of your agreeing to be bound by the terms and conditions contained in this legal agreement, GlowImages agrees to allow you to use the Image/s in the manner permitted by this Agreement on the terms and conditions as follows:

1. GRANT OF RIGHTS
1.1 In consideration of the obligations, warranties and undertakings of GlowImages in this Agreement, and subject to and conditional upon their full and timely performance and observance, GlowImages grants to the User a non-transferable non-exclusive license to use photographic Image/s.

1.1.a. Geographic considerations: GlowImages grants you a license to use the Image/s on a non-exclusive and non-transferable basis in the United States and other countries. All other rights to the Image/s, CD-ROM and accompanying materials (if applicable) including without limitation, copyright, are retained by GlowImages.

1.2 This license is a ten (10) person multi-license agreement. The Image/s may be accessed and used by the User and up to nine other people employed by the User, which purchased the Image/s. No other employees or contractors may access or use the Image/s, even if only ten people are using the Image/s at the same time. You may not use the Image/s on a server or create any other image library that permits access to more than the ten designated people as explained in this section. For sharing on larger networks, an upgrade license is required.

2. WARRANTIES OF THE USER
The User warrants and undertakes, confirms and agrees with GlowImages:

2.1 That all rights of a proprietary and copyright nature and title in and to the photographic works and materials are expressly acknowledged as the property of GlowImages and subject only to the non exclusive and non-transferable license contained in this Agreement, which does not confer any copyright or proprietary rights of any nature whatsoever on the User aside from the uses specified in this Agreement.

2.2 The User shall use the photographic works in the manner and in the context agreed by the GlowImages and as outlined in this Agreement and shall not by any act or omission impair or prejudice the copyright in the photographic works, or violate any moral right or deal with the photographic works or materials so that any third party might obtain any lien or other right of whatever nature incompatible with the rights of GlowImages. User may modify or alter the Image/s as necessary for your use, as allowed for elsewhere in these terms and conditions, provided that the rights to any derivative work shall belong to GlowImages. However, no part, segment, or piece of any photographic Image or data, no matter how small, may be used or merged in connection with other Image/s or artwork so as to create a new Image, which could be regarded as derogatory, offensive, blasphemous, defamatory, obscene, pornographic, or libelous.

2.3 The User shall ensure that all copies of the photographic works and materials published and distributed by the User shall is permitted under limited license from GlowImages, Inc. GlowImages requests that credit (link, etc.) be given to GlowImages. However, this is a request, not a requirement.

2.4 The User shall give full particulars to GlowImages as soon as the User becomes aware of any actual or threatened claim by any third party in connection with the photographic works.

2.5 The User shall retain total control and possession at all times of the photographic works and materials and ensure that these are kept in safe and secure storage facilities and shall not allow the photographic works or materials to fall into the hands of third parties who are not licensed by this Agreement.

2.6 The User shall indemnify and keep fully indemnified GlowImages from and against all actions, proceedings, claims, demands, costs (including any legal costs compensation costs and disbursements paid by the User on the advice of their legal advisors to compromise or settle any claim), awards and damages arising directly or indirectly as a result of any breach or non- performance by the User of any of the User s undertakings, warranties or obligations under this Agreement.

2.7 The User warrants and undertakes not to assign or license the use of the photographic works and materials or any Image/s or any portion thereof for any purpose other than those purposes specifically agreed between GlowImages and the User under this Agreement. In particular, the User may not loan, rent, hire, otherwise transfer, or purport to transfer the right to use the photographic materials or works in any way to any other person or entity.

2.8 The User accepts that GlowImages supplies the photographic works and materials „as is“ and that GlowImages makes no warranty either express or implied of merchantability, fitness for purpose, type or quality of Image or compatibility with any other facility. GlowImages shall not be liable for any of the use of the said photographic works either as permitted under this license Agreement or otherwise.

2.9 The User accepts and warrants that use of the Image/s and data shall not infringe any third party rights of any nature, and any liability for the infringement of third party rights of whatsoever nature shall rest with the User.

3. REMUNERATION
3.1 The User agrees to pay in advance for the licensed use of the photographic Image/s and data as agreed under the terms of this Agreement BEFORE any use of such Image/s or data.

3.2 The Company warrants, undertakes and accepts that permission to use the said photographic works, the subject matter of this Agreement will only be deemed to have been given after receipt by the Company of the agreed remuneration, and the Company fully accepts that the Company has no right to use the said photographic works in any manner until the said remuneration has been paid.

3.3 You must pay the invoice no later than thirty (30) days from receipt. GlowImages, Inc. will charge a five percent (5%) service charge on all unpaid balances. No adjustments of terms will be made to a GlowImages invoice unless the User notifies GlowImages within five (5) days after receipt of the invoice.

4. LIMITED WARRANTY BY GLOWIMAGES
GlowImages confirms that it has the right to enter into this Agreement and has the right to grant this license under these terms. GlowImages warrants that the Image/s and/or CD-ROM are free from defects in materials and workmanship under normal use for a period of 30 days from the date you download or receive it. Except for the above conditions, GlowImages provides no additional warranties, either express or implied, including an implied warranty of merchantability and suitability for a specific purpose. GlowImages does not warrant that your requirements will be met by Image/s or that your use of Image/s will be without errors or uninterrupted. All risk concerning the quality and performance belongs to you. If the Image/s prove defective, you (and not GlowImages or an authorized personnel or other computer dealer) assume the total cost of any repair, correction or servicing. Because not all states allow an exclusion of implied warranties, the above exclusion may not be applicable to you. Your rights under this warranty are specific and you may have others, depending on the state in which you live (applicable to U.S. Users only.)

5. DETERMINATION
It shall constitute repudiation by the User of its obligations under this Agreement if:

5.1 The User fails to pay any amount due under this Agreement.

5.2 The User is in breach of any other term of this Agreement.

5.3 Any of the User s representations shall prove to have been incorrect.

5.4 The User is declared or becomes insolvent or bankrupt, or the User is put into examiner ship, receivership, administration, or liquidation. GlowImages reserves the right to accept such repudiation on the part of the User and to determine the license Agreement forthwith and to demand the immediate return of all photographic works and materials in whatever form supplied or held created or produced by GlowImages.

6. MISCELLANEOUS
6.1 Rights to the U.S. Government Any Image/s purchased or provided to the U.S. Government is done so with restricted rights, as defined in the Defense Department Supplement to the Federal Acquisitions Regulations („FAR“) in paragraph S2.227.19(c)(2) of the FAR. Any governmental use of the Image/s must comply with all regulations, laws, and rules regarding trademarks, moral rights, and currency.

6.2 UCC (Uniform Commercial Code) You agree to be bound by these terms that are made according to the Uniform Commercial Code, Article 2.

6.3 Taxes and duties User agrees to pay all taxes and duties, including sales taxes, use taxes, value added taxes, and any duties as required by any jurisdiction or country as a result of this license which is granted to you, or for your use of the Image/s, according to this Agreement.

6.4 Governing Law The provisions of this Agreement shall be governed by and construed in accordance with the laws of the State of Maryland. User agrees that no Image/s will be exported, transferred or shipped into any country or used in any manner expressly prohibited by the Export Administration Act of the United States government or any other laws, regulations, or restrictions governing export. User agrees that you will obtain and maintain any non-USA government approvals and comply with all laws and regulations as necessary. This Agreement is not government by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

6.5 Full understanding This Agreement contains the full and complete understanding between the parties, and supersedes all prior arrangements and understandings whether written or oral appertaining to the subject matter of this Agreement, and may not be varied except by an instrument in writing signed by all the parties to this Agreement.

7. LIMITATION OF REMEDIES
7.1 GlowImages refund and replacement policy is outlined in Section 4 of this Agreement.

7.2 Downloaded Image/s GlowImages may allow you to download the Image/s again at a specific location provided by GlowImages. Your money will be refunded if GlowImages determines in its sole and absolute discretion that you are unable to download the Image/s successfully.

7.3 CD-ROMS As provided in section 4 of this Agreement, GlowImages will replace a CD-ROM if you return it, along with a copy of your invoice, to GlowImages or to an authorized distributor of GlowImages. If GlowImages cannot provide you with a replacement CD-ROM that is free of defects in materials or workmanship, you may terminate this Agreement by returning the replacement CD-ROM to GlowImages, and GlowImages will issue a full refund.

7.4 GlowImages will not be liable to User, under any circumstances, for any financial damages to you, including any lost savings, profits, or other incidental or consequential damages that come about from the use or inability to use the Image/s, even if GlowImages or a GlowImages distributor has been advised of the possibility of said damages, or for any claim by any other party. In the United States, some states do not allow a limitation or exclusion of liability for consequential or incidental damages, so the above limitation may not apply to you.

8. ARBITRATION
This agreement is executed and is intended to be performed in the State of Maryland, and the laws of the State of Maryland shall govern its interpretation and effect. Any controversy or claim arising out of or relating to this agreement or the breach thereof, with the exception of copyright claims, shall be submitted to arbitration in Baltimore, Maryland, under the rules of the American Arbitration Association, if the two parties are unable to agree to arbitration terms within 30 days of initial notification that a dispute exists. Judgment on any arbitration award may be entered in any court having jurisdiction. Copyright claims will be in the jurisdiction of the Federal District court of the District of Maryland.

9. LEGAL FEES AND JURISDICTION
If GlowImages is obligated to go to court, rather than arbitration, to enforce any of its rights, or to collect any fees, User agrees to reimburse GlowImages for its legal fees, costs, and disbursements if GlowImages is successful. User agrees that the Circuit Court of Maryland, located in Rockville, Maryland, and the United States District Court of Maryland are the agreed and appropriate forums for any such suit, and consent to service of process by registered mail or overnight courier with proof of delivery.

10. ENTIRE AGREEMENT
You acknowledge that you have read this Agreement in its entirety, understand it, and agree to be bound by all of the terms and conditions in it. You further agree that it is the complete and exclusive state of the agreement between you and GlowImages, and that it supersedes any proposal or prior written or oral Agreement and any other type of communication between you and GlowImages pertaining to the subject of this Agreement. Any explanations on GlowImages Web site are only for information purposes and are not, and shall not be construed as part of this Agreement.


END USER LICENSE AGREEMENT
of Image Source

1. LICENCE GRANT AND RESTRICTIONS
1.1 Image Source Limited (“Image Source”) grants you a non-transferable, non-exclusive, worldwide, perpetual licence to store, reproduce and use the specific image(s) that you have purchased during this transaction, and any authorised derivatives or copies thereof, (collectively the “Images”) for your own commercial or non-commercial use as set out in clause 1.3 below, but not for any other purposes.

1.2.1 The Images may be shared by creating an image library, image storage jukebox, network configuration or similar arrangement as long as no more than ten (10) individuals (including you) employed by the same entity have access to the Images (subject to clause 1.2.2 below). You expressly acknowledge that this is not a “simultaneous users licence” and you may not have more than ten (10) specific people access the Images even if only ten (10) people are accessing the Images at any particular time.

1.2.2 If you are an intermediary (e.g. an advertising or design agency) the Images must only be used by one client of yours, who must agree to be bound by the terms of this Agreement. For the Images to be used by another client you will first have to purchase Extended Licence Rights from Image Source. You may allow individuals employed by your client to have access to the Images, provided the total number of individuals with access to the Images (including all those within your organisation and the client) remains no more than ten (10).

1.3 Specifically, you may:
1.3.1 use the Images any number of times on a worldwide, unlimited and perpetual basis as a part of advertising and promotional materials, packaging; multi-media including web-design, broadcasting, film/video/DVD, publishing; materials for personal, non-commercial use;

1.3.2 alter, manipulate and crop the Images;

1.3.3 use the Images in any other manner approved in writing by Image Source.

1.4 Specifically, you may not:
1.4.1 sublicense, re-license, rent, resell or lease any of the Images to third parties separate or independent from a specific product, website, or similar;

1.4.2 copy or publish any of the Images to a network or bulletin board, or otherwise distribute or allow any of the Images to be distributed to or used by anyone other than the ten (10) authorised users, without prior written consent from Image Source or its Sales Agent; you acknowledge that for extended usage by more than ten (10) individuals, you will first have to purchase Extended Licence Rights from Image Source;

1.4.3 under the terms of this Agreement use the Images in commercial products where the Images make up a significant part of the re-sale value of the product (i.e., postcards, posters, calendars, etc.). For such usages of an Image you must acquire an extended one-time Commercial Product Image Licence from Image Source;

1.4.4 use any of the Images to promote a business that sells or licenses photographic images, or otherwise competes with Image Source in any manner;

1.4.5 sub-license, resell or otherwise distribute the Images to third parties except as an integral part of your product or web-page and only for the life and extent of such a product;

1.4.6 make the high-resolution (300 dpi or above) Images accessible for download beyond the scope of the licence rights provided by this Agreement or place the Images on-line in an FTP or other digital format;

1.4.7 incorporate any of the Images in a logo, trade mark or service mark;

1.4.8 use the Images in ways or contexts that might reasonably be construed as pornographic, defamatory, libellous or otherwise unlawful;

1.4.9 use the Images in such a way as to imply that any model depicted in the Images personally uses or endorses a product or service (for example, in testimonial advertising);

1.4.10 use Images depicting any model in any unduly controversial or unflattering context, unless accompanied with a statement indicating that the person is a model and the Images are being used for illustrative purposes only;

1.4.11 delete or alter the copyright symbol, the name Image Source, or identification number or any other information from the electronic file by which the Images are supplied to you or from any copies of those files.

2. WARRANTY AND DISCLAIMER
2.1 Image Source warrants the digital copy of the Images in the form duly purchased by you or your employer to be free from technical defects for 90 days from delivery. The sole and exclusive remedy for a breach of the foregoing warranty is the replacement of the digital copy of the Images or refund of the purchase price, at Image Source’s sole option. Image Source shall not, however, be liable if defects arise as a result of any modification, variation or addition to the Images not performed by us or caused by any abuse, corruption or incorrect use of the Images with equipment or software which is incompatible. IMAGE SOURCE MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. OUR LIABILITY TO YOU FOR ANY LOSSES SHALL NOT EXCEED THE AMOUNT YOU ORIGINALLY PAID FOR THE IMAGES. Some states do not permit the exclusion of implied warranties, and you may have other rights, which may vary from state to state. NEITHER IMAGE SOURCE NOR ITS LICENSORS SHALL BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, SPECIAL, DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR OTHER DAMAGES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF THIS LICENCE, THE USAGE OF THE IMAGES INCLUDING ANY CLAIM FOR LOST PROFITS OR LOST SAVINGS, OR FOR ANY CLAIM OF A THIRD PARTY OR OTHERWISE. HOWEVER, NOTHING IN THIS LICENCE LIMITS LIABILITY FOR FRAUDULENT MISREPRESENTATION OR OUR LIABILITY TO YOU IN THE EVENT OF DEATH OR PERSONAL INJURY RESULTING FROM OUR NEGLIGENCE.

2.2 It is a condition of this Agreement that you obtain all necessary rights, model releases or consents which may be required for reproduction and use of the Images. We make no warranties with regard to the use of names, people, buildings, trade marks or copyright material depicted in any Image, or to the accuracy of any metadata, including, but not limited to, keywords and captions, with any Image. Furthermore, ensure that you examine the Image you intend to use for possible defects before sending the Image for reproduction. Image Source shall not be liable for any loss or damage suffered by you or any third party arising from any alleged or actual defect in any Image or its metadata or in any way from its reproduction.

3. CONSEQUENCES OF BREACH
3.1 Without prejudice to Image Source’s other rights and remedies, the Licence and your right to use the Images shall automatically terminate, without prior notice or refund of any moneys paid, if you breach any express or implied term of this Agreement. In the event of termination, you must immediately destroy or delete all copies of the Images or, at Image Source’s request, return them to Image Source.

3.2 You agree to indemnify Image Source and hold Image Source harmless against all claims arising out of any breach by you of this Agreement.

4. RESERVATION OF RIGHTS AND PROTECTION OF INTELLECTUAL PROPERTY
All rights to the Images are owned by Image Source and / or its licensors and are protected internationally by copyright and other applicable laws. Image Source and its licensors retain all rights not expressly granted under this Agreement. You may be held legally responsible for any copyright infringement that is caused or encouraged by your failure to comply with the terms of this Agreement.

5. OTHER CONDITIONS
5.1 Use of the Images must be in compliance with all applicable laws, statutes and regulations. Image Source reserves the right to discontinue the use of any Image for any reason and elect to replace the Image with an alternative Image. Upon notice of any discontinuance of a Licence for a particular Image, you and your client, if applicable, agree not to use the Image in the future. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the remaining terms of the Agreement, which shall remain valid and enforceable according to its terms. This Agreement represents the entire Agreement between the parties relating to its subject matter and may not be amended except in writing signed by an authorised representative of both parties.

5.2 The laws of England and Wales whose courts are the courts of exclusive jurisdiction govern this Agreement, save that Image Source shall have the right to bring proceedings in any jurisdiction to obtain injunctive or other relief against you in the event that, in the opinion of Image Source, such action is necessary or desirable.


END USER LICENSE AGREEMENT
of Johner, Etsabild, Naturbild

Please read this Agreement carefully before purchasing and using any Johnér/Naturbild/Etsabild royalty-free Image(s). This is a legal agreement between you (”You”), and Johnér/Naturbild/Etsabild

1. GRANT OF RIGHTS
1.1 Johnér/Naturbild/Etsabild grants You a non-exclusive, non-transferable, non-sublicensable, worldwide, perpetual right to reproduce the image(s) (collectivelly: the ”Image(s)”), that You have purchased during this transaction, an unlimited number of times for the following purposeses:

1.1.1 Advertising and promotional materials,

1.1.2 Broadcasting and theatrical exhibitions ,

1.1.3 Print publications and physical products,

1.1.4 Electronic publications including webdesign (maximum resolution 72 dpi) and

1.1.5 Other uses approved in writing by Johnér/Naturbild/Etsabild.

1.2 You may alter, manipulate and crop the Image(s).

1.3 If You are a intermediary You have the right to have the Image(s) reproduced by clients of Yours, provided that You ensure that such clients agree to abide by the provisions of this agreement.

2. RESTRICTIONS
2.1 You may store Image(s) in a digital archive or smilar arrangement as long as no more than ten (10) users have access to the Image(s). Under no circumstances may the Image(s) ever be used by more than ten (10) users unless separate licences are purchased.

2.2 If you are an intermediary (e.g. an advertising or design agency) the Images must only be used by one client of yours, who must agree to be bound by the terms of this Agreement. For the Images to be used by another client you will first have to purchase extended licence rights from Johnér/Naturbild/Etsabild. You may allow individuals employed by your client to have access to the Images, provided the total number of individuals with access to the Images (including all those within your organisation and the client) remains no more than ten (10).

2.2 You may not sublicense, re-license, rent, re-sell, lease or otherwise distribute the Image(s) to third parties separate or independent from a specific product, website or similar.

2.3 You may not sell, licence or distribute any derivative work containing the Image(s) in a way that would allow a third party to download, access or extract the Image(s) as a standalone file.

2.4 You may not make the Image(s) accessible online in a downloadable format or enable the Image(s) to be distributed via mobile telephone devices.

2.5 You may not use the Image(s) in a manner that would lead a reasonable person to belive that any model depict in the Image(s) personally uses or endorse a product or service.

2.6 You may not use Image(s) depicting any model in any unduly controversial, unflattering orsensitive commercial or editorial context, unless accompanied with a statement indicating that the person is a model and the Image(s) are being used for illustrative purposes only.

2.7 You may not incorporate the Image(s) in a logo, tradmark or servicemark.

2.8 Image(s) may not be used in ways or contexts that might resonably be contrued as pornographic, defamatory, libellous, obscene or illegal.

3. WARRANTIES, INDEMNIFICATION AND LIMITATION OF LIABILITY
3.1 Johnér/Naturbild/Etsabild provides no warranties with regard to the use of names, likenesses, registered or unregistered Trade Marks, registered or unregistered designs, copyright, works of art or any other intellectual property depicted in any Image and You must satisfy yourself that all necessary rights or consents as may be required for reproduction of any Image are obtained. You shall not permit any Images to be used in any way that violates the rights of another. You undertakes to indemnify Johnér/Naturbild/Etsabild from and against; any and all liability, loss or damage Johnér/Naturbild/Etsabild may suffer as a result of claims, demands, costs or judgments arising out of the use of any Image where the existence of such release has not been specified in writing by Johnér/Naturbild/Etsabild; any claims, judgments or suits which may arise from any act, warranty, or representation, actual or implied, by You; any claims resulting from failure to use the correct attribution as specified by Johnér/Naturbild/Etsabild for any Image published. The foregoing indemnification(s) shall include, but shall not be limited to, Johnér/Naturbild/Etsabild ‚ reasonable attorneys’ fees and costs.

3.2 Johnér/Naturbild/Etsabild makes no warranty, express or implied, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose. Our liability to You for any losses shall not exceed the amount You originally paid for the images. Johnér/Naturbild/Etsabild shall not be liable to You or any other person or entity for any general, specific, direct, indirect, consequential, incidental, or other damages (even if we have been advised of the possibility of such damage) arising out of this licence, the usage of the Image(s) including any claim for lost profits or lost savings, or for any claim of a third party or otherwise.

4. CONSEQUENCES OF BREACH
4.1 The licenece and your right to use the Image(s) shall automatically terminate if you breach any of express or implied term of this agreement. In the event of termination You must immmediatly delete all copies of the Image(s).

4.2 You agree to idemnify Johnér/Naturbild/Etsabild and hold Johnér/Naturbild/Etsabild harmless against all claims arising out of any breach by You of this agreement.

5. COPYRIGHT
All rights to the Image(s) are owned by Johnér/Naturbild/Etsabild and are protected by copyright laws. No copyright in any Image(s) shall pass to You by the issuance of the licence contained in this agreement.

6. GOVERNING LAW
In performing this Agreement, each party shall comply with all applicable laws, regulations and other requirements, now and hereafter in effect, of Governmental authorities having jurisdiction. Neither party shall take any actions that may cause the other party to be in violation of any law. This Agreement will be governed and interpreted in accordance with the substantative laws of Sweden, excluding its conflict of laws rules. Any dispute, controversy or claim between the parties arising out of this Agreement shall be settled by arbitration according to the rules of the Arbitration Institute of the Stockholm Chamber of Commerce. The arbitration shall be held in Stockholm, Sweden. In the event that any provision of this Agreement shall be unenforceable or invalid under any applicable law, or so held by binding arbitration, such enforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole, and in such event such provision shall be changed and interpreted so as to best accomplish the objectives of such provision.


END USER LICENSE AGREEMENT
of Juice Images

If you are entering into this Agreement on behalf of your employer, the License granted and the restrictions and limitations on the use of the images set forth below apply to your employer as well as to you as a representative of your employer. Should you cease working for your employer, your employer (but not you) may continue to use the images under the terms of this Agreement.

1. License Grant and Restrictions
1.1 Juice Images Ltd (“Juice Images”) grants you a non-transferable, non-exclusive, worldwide, perpetual license to store, reproduce and use the specific image(s) that you have purchased during this transaction, and any authorised derivatives or copies thereof, (collectively the “Images”) for your own commercial or non-commercial use as set out in the clause 1.3 below, but not for any other purposes.

1.2.1 The Images may be shared by creating an image library, image storage jukebox, network configuration or similar arrangement as long as no more than ten (10) individuals (including you) employed by the same entity have access to the Images (subject to clause 1.2.2 below). You expressly acknowledge that this is not “simultaneous users license” and you may not have more than ten (10) specific people access the Images even if only ten (10) people are accessing the Images at any particular time.

1.2.2 If you are intermediary (e.g. an advertising or design agency) the Images must only be used by one client of yours, who must agree to be bound by the terms of this Agreement. You may allow individuals employed by your clients to have access to the Images, provided the total number of individuals with access to the Images (including all those within your organisation and the client) remains no more than ten (10).

1.3 Specifically, you may:
1.3.1 use the Images any number of times on a worldwide, unlimited and perpetual basis as a part of advertising and promotional materials, packaging; multi-media including web-design, broadcasting, film/video/DVD, publishing; materials for personal, non-commercial use;

1.3.2 alter, manipulate and crop the Images;

1.3.3 use the Images in any other manner approved in writing by Juice Images.

1.4 Specifically, you may not:
1.4.1 sublicense, re-license, rent, resell or lease any of the Images to third parties separate or independent from a specific product, website or similar;

1.4.2 copy or publish any of the Images to a network or bulletin board, or otherwise distribute or allow any of the Images to be distributed to or used by anyone other than the ten (10) authorised users, without prior written consent from Juice Images or its Sales Agents

1.4.3 under the terms of this Agreement use the Images in commercial products where the Images make up a significant part of the re-sale value of the product (i.e. postcards, posters, calendars, etc.).

1.4.4 use any of the Images to promote a business that sells or licenses photographic images or otherwise competes with Juice Images in any manner;

1.4.5 sub-license, resell or otherwise distribute the Images to third parties expect as an integral part of your product or web-page and only for the life and extent of such a product;

1.4.6 make the high-resolution (300 dpi or above) Images available for download beyond the scope of the license rights provided by this Agreement or place the Images on-line in an FTP or other digital format;

1.4.7 incorporate any of the Images in a logo, trade mark or service mark;

1.4.8 use the Images in ways or contexts that might reasonably be construed as pornographic, defamatory, libellous or otherwise unlawful;

1.4.9 use the Images in such a way as to imply that any model depicted in the Images personally uses or endorses a product or service (for example, in testimonial advertising);

1.4.10 use Images depicting any model in any unduly controversial or unflattering context, unless accompanied with a statement indicating that the person is a model and the Images are being used for illustrative purposes only;

1.4.11 delete or later the copyright symbol, the name Juice Images, or identification number or any other information from the electronic file by which the Images are supplied to you or from any copies of those files.

2. Warranty and Disclaimer

However, nothing in this license limits liability for fraudulent misrepresentation or our liability to you in the event or death or personal injury resulting from our negligence.

5. Other Conditions
5.1 Use of the Images must be in compliance with all applicable laws, statutes and regulations. Juice Images reserves the right to discontinue the use of any Image for any reason and elect to replace the Image with an alternative Image. Upon notice of any discontinuance of a License for a particular Image, you and your client, if applicable, agree not to use the Image in the future. If any part of this Agreement is found void and enforceable, it will not affect the validity of the remaining terms of this Agreement, which shall remain valid and enforceable according to its terms. END USER LICENSE AGREEMENT
of OJO Images

1. Introduction
This end user Licence agreement is a non-transferable licence between you and OJO Images Limited (“OJO Images”). OJO Images is the owner or the exclusive authorised agent for the copyright owners of the Images. This licence agreement covers both the grant to you of a licence in return for payment (a “Licence”) and where specifically referenced and differentiated the grant to you of a “Comp Licence”, should you require it. You should be aware that your use of any of the Images available from OJO Images are available on these terms only and by downloading or using an Image you agree to be bound by the terms of both the Licence and the Comp Licence where applicable (the “Licences”).

If you are entering into the Licences on behalf of your employer the terms of the Licences apply to your employer and to you as a representative of your employer.

If you are acting as an intermediary you represent and warrant to us that you are authorised to act as an agent for the intended Licensee and have full power and authority to bind the intended Licensee. Should the intended Licensee dispute your authority, you will remain bound by thee Licences and liable for any failure of the intended Licensee to comply with the terms of this Agreement

2. Definitions
2.1. „Digital“ means a digital format such as a floppy disk, fixed hard disk, compact disk („CD“), DVD, e-mail, ISDN, FTP server, etc. containing Images that have been converted into digital files and provided to you by us subject to these Terms and Conditions.

2.2. “Comp Use” means the use of an Image in a rough layout or temporary test use, or comprehensive rendering of a work for your client’s approval, presentation or review.

2.3. „Image“ or “Images” means the photograph, picture, graphic work, montage, illustration, drawing as well as any image on a computer disk, or on magnetic tape, or transmitted electronically in digital form, or stored in a computer-based retrieval system, or any other item that may be offered by us to you on the terms of this Licence agreement.

2.4. „Reproduction“ or to reproduce means any form of copying, displaying or publication of the whole or part of any Image, whether such Image is altered or manipulated in any way or not by you, and whether reproduced by printing, photography, photocopying, scanning or slide projection by electronic, digital or mechanical means. „Reproduction“ also means the downloading and/or storage of an Image by any means, including digitally. „Reproduction“ is also understood by you and us to include the use, either in whole or in part, of any Image for producing a comp, layout or presentation, including the display of an Image on an Internet and/or Intranet website.

2.5. “Sensitive Use” means the use of an Image in such a way that it may be deemed offensive to the model. And includes but is not limited to the use of an Image to associate, imply or indicate involvement by the Model or any subject in the Image in illegal activities, medical conditions or procedures, other health and mental health issues, drug or substance abuse, welfare or economic aid, dating agencies, sexual preference, teen pregnancy, abortion and adoption, political or religious affiliation, smoking or alcohol usage, feminine hygiene, incontinence or impotence.

3. Grant of Licences
Paid Licence Grant 3.1. OJO Images, in consideration for the payment by you of the licence fee and your compliance with the terms of the Licence, grants you a non-transferable, non-exclusive, worldwide, perpetual licence to store, reproduce and use the Image that you have purchased during this transaction, and any authorised derivatives or copies for your own commercial or non- commercial use as set out in clauses 4 and 5 below but not for any other purposes. Any rights not granted to you by the Licence agreement remain with OJO Images

3.2. Where the Image is acquired by you paying for an individual download or in a storage device such as a CD_ROM or other such media, you may share the Image by creating an image library, image storage jukebox, network configuration or similar arrangement as long as no more than 10 individuals (including you) have access to the Image and only 1 individual may use the Image at any one time within the same legal entity entering into this Licence. If your intended use of the Image would exceed the usage rights above please contact OJO Images. The contact details for OJO Images are given in clause 12.

Comp Use Licence Grant 3.3. OJO Images grants you the non-exclusive, non-transferable right to use the Image for Comp Use only for a period of 60days from download. It is a condition of the grant of the Comp Use Licence that the Image licensed on this basis will not be (i) distributed by you where distribution in this context includes any Digital format and (ii) Additionally you may not sell, sublicense or otherwise deal with the Image alone or incorporated into any product. All other restrictions under clause 5 apply to the grant of the Comp Use Licence.

3.4. Where Images are acquired on a Comp Use Licence only one individual may access the Image.

Subscription Use 3.5. If you are accessing Images via the Subscription Web Site then only one individual may access the Site and use the Images. If more than one individual is to use the Image then you will need to another licence. If your intended use of the Image would exceed the usage rights above please contact OJO Images. The contact details for OJO Images are given in clause 12.

4. Permitted Use
4.1. Under the Licence you may (subject always to any limitations on such use under clause 5):
4.1.1 use the Image any number of times on a worldwide, unlimited and perpetual basis as part of an advertising and promotional materials, packaging, multi-media including web-design, broadcasting , film/DVD and video, publishing (including for editorial purposes) materials for personal non commercial use:

4.1.2 manipulate, alter or crop the Image;

4.1.3 use the Image in commercial products such as calendars, posters or postcards, or other consumer merchandise or in packaging (provided always that the use of the Image does not permit re-use or re-distribution).

4.1.4 use the image in any other manner approved in writing by OJO Images

5. Uses not permitted
5.1. Under the Licence you may not:
5.1.1 sublicense, re-licence, rent, resell or lease the Image to any third party separate or independent from a specific product, website, or similar;

5.1.2 copy or publish the Image to a network or bulletin board, or otherwise distribute or allow any of the Image to be distributed to or used by anyone other than the authorised and licensed users, without the prior written consent from OJO Images or its authorised representative;;

5.1.3 should you, through the use of the Image under clause 4.1.2, create a derivative work you agree that you do not acquire any copyright through the use of the Image in that work and your use of the derivative work remains at all times subject to the terms of this Licence. You agree, at OJO Images’ request, to assign any copyright therein to OJO Images at your expense;

5.1.4 use the Image to promote a business that sells or licenses photographic images, or otherwise competes with OJO Images in any manner;

5.1.5 distribute, sub-licence or resell the Image to third parties except as an integral part of your product or web-page and only for the life and extent of such a product;

5.1.6 display the Images in any digital format or for any digital use at any resolution greater than 72 dpi, other than for editorial or preliminary design work;

5.1.7 incorporate the Image in a logo, trade mark or service mark: you may however use the Image in connection with other aspects of your business (such as its letterhead);

5.1.8 use the Image in any way that might reasonably deemed pornographic, defamatory, libellous or otherwise unlawful or in any way that would constitute Sensitive Use;

5.1.9 use the Images in such a way as to imply that any model depicted in the Image personally uses or endorses a product or service;

5.1.10 use the Image depicting any model in any unduly controversial or unflattering context, unless accompanied with a statement indicating that the person is a model and the Images are being used for illustrative purposes only;

5.1.11 delete or alter the copyright symbol, the name OJO Images, or identification number or any other information from the electronic file by which the Image is supplied to you or from any copies of those files;

5.1.12 in any way manipulate the Image or its digital format so as to reverse engineer, disassemble or translate any part of the Image;

5.1.13 make an Image available or use the Image in a Digital format so that the Image can be used for multiple distributions via website templates, electronic greetings or software products. If your intended use of the Image would exceed the usage rights in this clause please contact OJO Images. The contact details for OJO Images are given in clause 11.

6. Permissions and Releases
6.1. Neither OJO Images nor any party on whose behalf OJO Images licences the Image, makes any representations or warranties with regard to the use of names, people, trademarks, trade dress, logos, registered or copyrighted designs or works of art or architecture or any item capable of proprietary rights protection depicted in the Image, and you must satisfy yourself that all necessary rights, model releases, property releases, permissions or consents required for Reproduction of the Image are obtained.

6.2. It is a condition of this Licence that obtain any model, property or other permissions and releases for the Image and your intended use of the Image from the applicable right holder any other rights necessary for the intended use of any Image, including without limiting the generality of the foregoing, any personality or publicity rights.

6.3. If any information is provided regarding model and property releases this information is intended solely for general informational use. It should NOT be taken as legal advice or as an answer to specific questions you may have in regards to model or property releases. It remains your responsibility to ensure that you have the correct model, property trademark or other releases necessary for your intended use and that you comply with the relevant local laws. You are advised to seek legal advice if you have specific questions regarding releases. If you choose to download an Image with no model or property release for any other usage than editorial, it is your responsibility to ask a legal professional about your specific use to be sure.

7. Copyright, Copyright Notice and Publication
7.1. No ownership or copyright in the Images shall pass to you by the grant of any the Licence.
The Image is protected by copyright and a copyright and credit line must be included with the reproduction of our Images in the following format © OJO Images (together with contributor co-credits, when indicated).

7.2. [If our Images are used by you in a print publication you agree to send to us two free samples of the pages containing our Images within thirty days of publication. In other media, alternative evidence of use must be provided to us if requested.]

8. Payment Terms
8.1 You agree to pay to OJO Images the licence fee payable in respect of the Image used by you under the terms of the Licence and no rights are granted until all fees are paid in full. VAT is payable in addition to the Licence Fee.

8.2 Without prejudice to any other right or remedy that it may have, if you fail to pay OJO Images on the due date, OJO Images may charge interest on such sum from the due date for payment at the annual rate of 4% above the base lending rate from time to time of HSBC, accruing on a daily basis and being compounded quarterly until payment is made, whether before or after any judgment OJO Images may claim interest under the Late Payment of Commercial Debts (Interest) Act 1998;

9. Termination and Consequences of Breach
9.1 This Licence shall continue in effect until terminated.

9.2 In the event of breach of copyright or breach of any of the terms of this Licence by you or your client, OJO Images reserves the rights to terminate your Licence without prior notification or refund of any monies. In the event that we terminate you must immediately (a) stop using the Image (b) delete the Image and all copies from all of your electronic and/or magnetic media and destroy all other copies of the Image within your possession or control, or, upon request of OJO Images, return all such copies to us. Such termination will not relieve you of your payment obligations.

10. Warranty and Indemnification
10.1 OJO Images warrants the Digital copy of the Image in the form duly purchased by you to be free from technical defects for a period of 30 days from purchase. Your sole and exclusive remedy for a breach of this warranty shall be at the discretion of OJO Images the replacement of the Digital copy of the Image or a refund of the price paid by you for the Image. This warranty shall not however apply where the defect arises from any modification, variation or addition to the Image not performed by us or caused by any abuse, corruption or incorrect use or storage of the Image with equipment or software that is incompatible. OJO Images makes no other warranty, either express or implied, including without limitation any implied warranties of merchantability or fitness for purpose.

10.2 Except as specifically stated in this Licence, or as otherwise required by applicable law, neither OJO Images nor its directors, employees, licensors, content providers, contributors, affiliates or other representatives will be liable for damages of any kind (including, without limitation, lost profits, direct or indirect loss, compensatory, consequential, exemplary, special, incidental, or punitive damages) arising out this Licence or your use of, or your inability to use, the Image, whether or not we have been advised of the possibility of such damages.

10.3 Nothing in clause 10 shall seek to limit OJO Images’ liability for death or personal injury caused by the negligence of OJO Images or for fraudulent misrepresentation.

10.4 You shall indemnify and hold OJO Images any associated company, employees, directors, officers, successors and any party on whose behalf we licence Images harmless against all claims, loss, damage, proceedings or costs with respect to:

10.4.1 the reproduction of Images where you have failed to procure effective rights, model or property releases, permissions or consents;

10.4.2 your use of the Images or in connection with any breach by you of the terms of this Licence

11. Permission, Recall and Discontinuation
11.1 OJO Images reserves the right to refuse to grant a licence to use an Image for any reason;

11.2 At any time OJO Images may notify you that certain images are no longer available and from the date of such notification the Licence granted to you with respect to that Image shall be terminated with immediate effect. Upon such notification OJO Images may at its discretion provide you with an alternative image in substitution or refund the fee paid by you for the use of the Licence, or such part of the fee taking into account your use to the date of notification.

12. Law & Disputes
12.1 This Agreement shall be interpreted, construed and governed by the laws of England. Venue for all disputes arising under this Agreement shall lie exclusively in the English Courts and each party agrees not to contest the personal jurisdiction of these courts. Notwithstanding the foregoing, however, OJO Images shall have the right to commence and prosecute any legal or equitable action or proceeding before any non-UK court of competent jurisdiction to obtain injunctive or other relief in the event that such action is necessary or desirable.

12.2 No action of OJO Images, other than an express written waiver or amendment, may be construed as a waiver or amendment of any of these Terms and Conditions of Use. Should any clause of these Terms and Conditions of Use be found unenforceable, wherever possible this will not affect any other clause and each will remain in full force and effect.


END USER LICENSE AGREEMENT
of Onoky (Photononstop)

LA PHOTOTHEQUE S.A., registered tradename PHOTONONSTOP is a French Societé Anonyme, registered company at the Companies’ registry of Paris under number RCS 340227 552 Paris B, capital of Euros 250,000, with principal offices at 10, passage de la Main d’Or, 75011 Paris. ONOKY is a Royalty Free brand, property of the French legal company PHOTONONSTOP.

1: TERMS OF AN AGREEMENT FOR THE GRANT OF RIGHTS
Before using any ONOKY “Products” either it being CDs or single images taken from Cds or Photononstop or any of its official distributor’s website or authorised distributors directly, the following terms and conditions should be read carefully.

In breaking the CDROM seal, or in downloading photographs from a PHOTONONSTOP distributor featuring ONOKY products, you are acknowledging that you have read the agreement, accepted it, and that you subscribe to the agreement for the grant of rights, which it contains.

If you do not agree with all the above, please refrain from all use, and return the CD/DVD to your distributor together with the accompanying material in the original packaging, so that you may be reimbursed, or click on the icon « cancel order » from the website.

If you are acting on behalf of your employer, the agreement herein will be concluded with them and yourself in your capacity as proxy.

If you stop working for your employer, the present agreement will only continue to operate with your employer.

2: GRANT OF RIGHTS
PHOTONONSTOP grants you or your employer (if the assignment is made on behalf of your employer), the right to use any ONOKY “Products” which is the subject of the agreement, from your personal computer according to the terms and conditions herein.

3: TERMS OF THE LICENSE
3.1 The ONOKY “Products” must be used for a fixed purpose, that is to say, personal / non-personal production, commercial / non-commercial, for any product.

They may in no circumstance be the subject of a retro-cession, a licence, a negotiation, or distribution, separate from this production.

3.2 You are at liberty to reproduce the digital photographs, subject of the present agreement, through any medium of your choice, for information purposes, illustration purposes, or promotional purposes.

3.3 However, you are prohibited from de-compiling or reproducing CDs, which come under the terms of this agreement. You are prohibited in providing the ONOKY “Products” through a download service on the Internet (FTP, WAP or any other mean, known or unknown).

3.4 You are prohibited in using ONOKY « Products » as significant elements of commercial products including postcards, greeting cards, calendars and stickers.

3.5 You are prohibited from using the ONOKY “Products” in any ways that might prove detrimental to the moral rights of their authors/models.

3.6 Any use of the ONOKY “Products”, subject of the agreement, for pornographic purposes or for purposes which might undermine the dignity or the reputation of someone else, or which might be contrary to legal and regulatory provisions, is prohibited.

3.7 The rights above are granted to you on a non-exclusive basis, and for an unspecified period, subject to use in accordance with the stipulations of the present agreement.

3.8 The rights that you possess in the present agreement are personal to you and may not be retro ceded.

3.9 PHOTONONSTOP and its official representatives retain all the rights to the ONOKY “Products”, not expressly assigned within the context of the present agreement.

4: GUARANTEE
PHOTONONSTOP guarantees its ONOKY “Products” against any fault of manufacture, for a period of three (3) months effective from delivery.

Neither PHOTONONSTOP or any of its official distributors or licensors may be held responsible for you, or any other physical person in the event of any indirect, consequential or incidental damages caused by the use of these “Products” under any circumstance.

If you accept this Agreement it is understood that you obtain all necessary rights, model releases or consents which may be required for reproduction and use of the «Products». Make sure you have checked the quality of the «Product» you intend to use for possible defects before sending the «Product» for reproduction. PHOTONONSTOP shall not be liable for any loss or damage suffered by you or any third party arising from any alleged or actual defect in any «Product» or its metadata or in any way from its reproduction.

This guarantee is explicitly restricted to reimbursement of the purchase price of the faulty medium or to its replacement, to the exclusion of any other guarantee, such as the suitability between the photographs and the use or the implementation being considered, this example not being restrictive.

5: LIABILITY
You are solely responsible for yourself or to a third party, for any damage, general or particular, direct or indirect, arising from the agreement or its fulfilment, and especially from the use of “Products”.

You are also solely responsible for respecting the personal rights and copyright of people or goods listed on the said “Products”.

6: CANCELLATION
6.1 PHOTONONSTOP reserves the right to suspend the marketing of rights to any ONOKY “Products” for whatever reasons, and/or to replace any photograph by another. You accept in similar circumstances to cease all use of the photograph in question without recourse to compensation nor claim.

6.2 PHOTONONSTOP reserves the right to undertake any appropriate legal proceedings if the provisions of the agreement are breached.

7: APPLICABLE LAW – ALLOCATION
The agreement is subject to the provisions of French law.

For the purposes of the execution of the present document, the PARIS Tribunal de Commerce Court is granted competence.


END USER LICENSE AGREEMENT

Dies ist ein rechtsgültiger Lizenzvertrag zwischen Ihnen, dem Lizenznehmer und Sodapix. Durch das Herunterladen von digitalen Daten von dieser Webseite und der angebundenen Bilddatenbank, das Nutzen von angebotenen Informationen und den Besuch dieser Webseiten erklären Sie sich mit den nachfolgenden Vertragsinhalten einverstanden. Falls Sie unseren allgemeinen Geschäftsbedingungen nicht zustimmen, können Sie unser Produktangebot nicht nutzen. Die folgenden Bestimmungen gelten für Auftraggeber als auch für die im Namen des Auftraggebers handelenden Personen. 1. Allgemeiner Vertragsgegenstand

Außer den vereinbarten Nutzungsrechten erwerben Sie jedoch keine weiteren Rechte. Sodapix behält alle nicht ausdrücklich gewährten Rechte.

2. Lizenzbestimmungen
2.1 Royalty Free (Lizenzfreie) Bilddaten: Für lizenzfreie Bilddaten (Im Folgenden RF genannt) gewährt Sodapix Ihnen das nichtexklusive, nicht-ausschließliche und nicht-übertragbare jedoch weltweite, zeitlich unbegrenzte Nutzungsrecht, die von Ihnen erworbenen Bilddaten unter Einhaltung der in § 3 geregelten Verwendungszwecke zu nutzen.

Die erworbenen Bilddaten dürfen für interne Zwecke gespeichert und reproduziert werden, jedoch nicht in Bilddatenbanken oder ähnlichen Sammelwerken gespeichertund zugänglich gemacht werden.

2.2 Rights Managed (lizenzpflichtige) Bilddaten: Für lizenzpflichtige Bilder (Im Folgenden RM genannt) gewährt Sodapix Ihnen das nichtexklusive, nicht-ausschließliche und nicht-übertragbare Nutzungsrecht, die von Ihnen erworbenen Bilddaten unter Einhaltung der in §3 geregelten Verwendungszwecke zu nutzen. Exklusivrechte können durch Aufpreis für einen festen Zeitraum angefordert werden.

2.3 Unabhängig ob ein Bild als RM oder RF angeboten wird, ist darauf zu achten, ob ein Bild für redaktionelle oder werbliche Zwecke zur Nutzung freigegeben ist. Alle Bilddaten sind in den Metadaten entsprechend gekennzeichnet und dürfen ausschließlich für diesen Zweck genutzt werden. Sodapix übernimmt jedoch keine Haftung für die Richtigkeit dieser Kennzeichnung.

3. Verwendungszwecke
3.1 Das gesamte Sodapix Bildmaterial ist urheberrechtlich geschützt. Jede Nutzung des Bildmaterials, auch in Online-Veröffentlichungen oder auf CD-ROM, ist honorarpflichtig und nur nach Zustimmung durch den Lizenzgeber gestattet. Dies gilt auch u.a. bei Verwendung des Bildmaterials für folgende Zwecke: Private Arbeiten, Vorlagen aller Art, nachgestellte Bilder sowie Verwendung von Bilddetails, die mittels Montagen oder ähnlichen Techniken Bestandteil eines Werkes werden.

3.2 Alle Bilder, unabhängig ob RF oder RM, dürfen nur für die erworbenen und lizenzierten Verwendungszwecke genutzt werden.

3.3 In keinem Fall ist es gestattet, Bilder, unabhängig ob RF oder RM, in Zusammenhang mit pornographischen, verleumderischen, obszönen, gesetzeswidrigen oder diffamierenden Themen zu bringen oder aber auch für politische Werbung zu nutzen. Bei Themen mit sensiblen Inhalten, wie z.B. (jedoch nicht ausschließlich) Drogen, AIDS, Missbrauch oder sexuelle Themen ist in jedem Fall Rücksprache mit Sodapix zu halten.

3.4 Falls ein Bild in einer Weise verwendet wird, die den Anschein erweckt, dass die abgebildeten Personen in direktem Zusammenhang mit einem Thema, einem Produkt oder einem Service steht, muss der Nutzung eine Erklärung beiliegen, die versichert, dass die Sodapix AG abgebildeten Personen Darsteller sind und das Bild nur zum Zwecke der Veranschaulichung verwendet wird.

3.5 Sodapix gewährt keine Garantie bezüglich der Verwendung von Marken, Menschen, Namen, Handelsaufmachungen oder registrierten, nicht-registrierten oder geschützten Kunstwerken, Gebäuden oder Designs die auf Bildern abgebildet sind. Sollte der Lizenznehmer nicht sicher sein, ob zusätzliche Informationen oder Rechte zur Nutzung einzuholen sind, muss er selbst Sorge dafür tragen bzw. juristische Unterstützung einholen.

3.6 In keinem Fall ist es gestattet, bei Bildern, unabhängig ob RM oder RF, den Urheberrechtsvermerk von Sodapix sowie alle in der Bilddatei gespeicherten, das Bild identifizierenden Informationen zu entfernen.

3.7 Bei jeder Nutzung ist ein Agentur- und Urhebervermerk anzugeben, und zwar so, dass kein Zweifel an der Zuordnung des Bildes entstehen kann. Bei fehlendem Urheberhinweis ist Sodapix berechtigt, einen Zuschlag von 100% auf die Rechnungssumme zu stellen.

3.8 Bilder oder Ausschnitte aus einem Bild dürfen weder in Logos noch in eingetragenen Marken oder Dienstmarken enthalten sein.

3.9 Durch den Erwerb von Nutzungsrechten werden in keinem Fall, unabhängig ob RF- oder RM-Bilddaten, Urheber- oder Persönlichkeitsrechte übertragen. RM-Bilder müssen nach Ablauf der vereinbarten Nutzung aus dem System des Kunden vollständig gelöscht werden. Hierzu gehören auch Kopien und Ausschnitte. RF-Bilder können zeitlich unbeschränkt und weltweit genutzt werden.

3.10 Verwendung von RF-Bilddaten: RF-Bilddaten dürfen für jegliche Druckmedien, Werbung, PR-Kampagnen, Broschüren, Kataloge, Berichte, Präsentationen, Displays, Schaufenster, Magazine, Bücher, Produktverpackungen, Multimedia-Anwendungen insbesondere Web-, Intranet-, Internet- und Online-Medien, sowie für alle ähnlichen Verwendungszwecke eingesetzt werden, sofern sie nicht ausschließlich zur redaktionellen Verwendung freigegeben wurden. Bei Ungewissheit ist immer Sodapix zu kontaktieren.

Für folgende Zwecke dürfen RF-Bilder nicht genutzt werden:

  • Verwendungszwecke, die §3 widersprechen
  • Weiter- oder Unterlizenzierung, Verkauf und Weitergabe an Dritte
  • Speichern und Kopieren der Bilder auf Bilddatenbanken, Netzwerkdatenbanken, CD/DVDs und ähnlichen Speicherorten, um Bilder Dritten Nutzern zugänglich zu machen. Hierzu gehört auch das Anbieten der Bilder per Download auf Webseiten und anderen multimedialen Anwendungen.
  • Das Verteilen der Bilder auf mobilen Telefongeräten. In diesem Fall ist eine erweiterte, kommerzielle Lizenz bei Sodapix einzuholen.
  • Einsatz für kommerzielle Produkte für den Weiterverkauf, wenn das Bild einen wesentlichen Bestandteil des Bildes ausmacht. Hierzu gehören zum Bsp. Poster, Postkarten oder Kalender. In diesem Fall ist eine erweiterte, kommerzielle Lizenz bei Sodapix einzuholen.
  • Einsatz des Bildes für Werbezwecke oder um in den Zusammenhang mit jeglichen Unternehmungen zu bringen, die in konkurrierender Position zu Sodapix stehen. Hierzu gehören vor allem alle Unternehmungen, die sich mit dem Verkauf oder der Vermittlung von Bildlizenzen oder Bildern beschäftigen. RF-Bilder dürfen nur in der erworbenen Bildgröße und für den erworbenen Zweck (Print oder Web) verwendet werden.

3.11 Verwendung von RM-Bilddaten: Die Verwendung der Bilder ist streng auf die in der Rechnung angegebenen Bedingungen beschränkt. Hierzu gehören u.a. Verwendungszweck, Auflage, Größe, Zeit, Exklusivität, Medium, Gebiet und andere.

3.12 Bei Nichteinhaltung der Vertragsbestimmungen wird die erworbene Lizenz ohne Ankündigung durch Sodapix aufgehoben. Im Anschluss müssen Sie jegliche Nutzung der Bilddaten einstellen sowie das erworbene Produkt an Sodapix zurücksenden bzw. löschen. Dies gilt auch für alle angefertigten Reproduktionen.

3.13 Sodapix behält sich das Recht ein, Bilder aus dem Angebot zu entfernen oder zu ersetzen. Nach Benachrichtigung dieser Lizenzeinstellung erklären Sie sich bereit, dass betroffene Bild zukünftig nicht mehr zu nutzen.

3.14 Bei allen Veröffentlichungen im Druck sind unaufgefordert und kostenlos zwei vollständige Belegexemplare an Sodapix zu schicken. Diese Aufforderung gilt nicht zwingend für lizenzfreie Royalty Free (RF) Bilder.

4. Haftungsbestimmungen
4.1 Weder Sodapix noch ihre Lizenzgeber übernehmen irgendeine Haftung für beiläufig entstandene, direkte oder indirekte oder andere Schäden, die sich aufgrund der Bildlizenz ergeben. Hierzu gehört auch die Haftung für Folgeschäden, entgangene Gewinne oder Ansprüche von Drittparteien. Sodapix geht keine weiteren ausdrücklichen oder stillschweigenden Garantien hinsichtlich der Bilder ein.

4.2 Ferner versichert Sodapix, dass sie zur Gewährung der Lizenzen berechtigt ist. Sodapix versichert nach bestem Wissen, jedoch ohne Garantie, dass die dargebotenen Bilder weder gegen Urheberrechte noch gegen Eigentums- und Persönlichkeitsrechte Dritter verstoßen. In keinem Fall können jedoch Ansprüche gegenüber Sodapix geltend gemacht werden, sollte ein Bild trotz aller Vorsichtsmaßnahmen gegen Rechte Dritter verstoßen.

5. Vertragsänderungen
5.1 Sämtliche Rechts- und Geschäftsbeziehungen werden ausschliesslich nach diesen AGB geregelt. Im Rahmen der gesetzlichen Bestimmungen können die AGB durch Sodapix jederzeit geändert werden. Als rechtsgültig gilt jeweils die zum Zeitpunkt des Vertragsabschlusses gültige Version der AGB.

5.2 Sollte eine Bestimmung oder ein Teil einer Bestimmung dieser Vertragsbedingungen unwirksam und/oder nichtig sein oder werden, so wird die Verbindlichkeit des Vertrages als Ganzes nicht beeinträchtigt. Die unwirksame und/oder nichtige Bestimmung wird durch eine zulässige Bestimmung ersetzt, die dem mit der unwirksamen und/oder nichtigen Bestimmung angestrebten wirtschaftlichen Zweck am nächsten kommt. Dies gilt entsprechend auch bei Vertragslücken.

HIER HANDELT ES SICH UM EINEN RECHTSVERTRAG, DER ZWISCHEN IHNEN („LIZENZHALTER“) UND DER GESELLSCHAFT LCP S.R.O. INC. (=GMBH) ABGESCHLOSSEN WURDE. DIESER VERTRAG BEZIEHT SICH AUF DIE LIZENZEN, DIE ÜBER WEBSEITEN ODER ÜBER DIE ÖRTLICHEN VERKAUFSVERTRETER ERTEILT WURDEN UND WIRD ZUR ON-LINE, DIGITAL ODER ANALOG- (DINGLICHE) ÜBERMITTLUNG DER LIZENZUNTERLAGEN („VERTRAG“) GENUTZT.

1. Begriffe
In diesem Vertrag haben folgende Begriffe folgende Geltung:

1.1. „Rechnung“ bedeutet eine mit dem Computer verfasste oder vorgedruckte, vom LCP oder einem bevollmächtigten Distributeur ausgestellte Rechnung, die ausser anderem gewählte Lizenzunterlagen, Geltungsdauerbegrenzung ü ber den Rahmen dieses Vertrages, sowie entsprechende Preis für die Lizenz für diese Lizenzunterlagen enthalten kann.

1.2. „Lizenzunterlagen“ sind sämtliche Aufnahmen, Filme oder Vidoeabschnitte, Audioprodukte, visuelle optisch, elektronisch, digital oder auf sonstiger Art generierte Presentationen, inkl. Negativbilder, transparente Bildfolien, Filmabdrücke, Drucksachen, Original-Digitaldateien oder ihre sämtlichen Vervielfältigungen oder sonstigen Produkte, die durch das Urheberrecht, Handelsmarke, Patent oder durch ein anderes Vermögensrecht geschützt sind und deren Halter die Gesellschaft LCP unter den Bedingungen dieses Vertrages ist.

1.3. „Vervielfältigung“ und „Vervielfältigen“ bedeuten sämtliche Kopier- oder Veröffentlichungformen der kompletten, oder von Teilen, der Lizenzunterlagen mittels eines beliebigen Massenmedium auf welche Art auch immer, Sowie Bearbeitung oder Handhabung den kompletten oder Teilen der Lizenzunterlagen, sowie Verfassung eines von den Lizenzunterlagen abgeleiteten Werkes.

1.4. „Benutzer“ ist ein beliebiger Beschäftigter oder Sublieferant des Lizenzhalters, der die die Lizenzunterlagen enthaltete Original-Digitaldatei handhat, bearbeitet oder modifiziert oder die Lizenzunterlagen in ein beliebiges abgeleitetes Werk einschließt.

2. Rechtserteilung
Aufgrund dieses Vertrages:

2.1 erlangt der Lizenzhalter ein nicht alleiniges, unübertragbares, weiter unlizenzbares Recht, die Lizenzunterlagen zu vervielfältigen; dies in beliebigen Mengen, in beliebigen Massmedien zu folgenden Zwecken (gemeinsam mit der „genehmigten Anwendung“):

2.1.1 Werbematerialien und Prospekte;

2.1.2 Sendungen und Teaterauffstellungen;

2.1.3. Druck von Publikationen, sowie von körperlichen Produkten;

2.1.4 electronic publications including web site designs up to the maximum resolution of 72 dpi; and

2.1.5. weitere, beliebige von der LCP genehmigte Anwendung.

2.2 Der Lizenzhalter ist berechtigt, die Lizenzunterlagen weiter zu bearbeiten, zuzuschneiden, zu handhaben und abgeleitete Werke zu verfassen.

2.3 Das Lizenzrecht über die Lizenzunterlagen ist weltweit wirksam und es ist beständig.

3. Begrenzungen
3.1 Der Lizenzhalter ist berechtigt, die Lizenzunterlagen in einer Digitalbibliothek, im Netz oder ähnlichem zu speichern, sodass die Beschäftigten, Partner, sowie Kunden des Lizenzhalters Zugang zu den Lizenzunterlagen erhalten. Die Lizenzunterlagen dürfen jedoch unter keinen Umständen zur gleicher Zeit von mehr als von 10 Benutzer angewendet werden, es sei denn, es wurde für jeden solchen Benutzer eine Einzellizenz gekauft, bevores zu einer solchen Anwendung kommt.

3.2 Der Lizenzhalter ist nicht berechtigt, die Lizenz weiter zu erteilen, sowie diesen Vertrag oder beliebige Rechte nach diesem Vertrag weiterzuverkaufen, abzutreten, zu überlassen oder zu übertragen. Der Lizenzhalter darf jedoch die Lizenzunterlagen in eine elektronische Schablone einschließen, die zur elektronischen oder gedruckten Vielfältigung durch Dritte bestimmt wird.

3.3 Der Lizenzhalter ist nicht berechtigt, abgeleitete Werke, die die Lizenzunterlagen enthalten, so zu verkaufen, unter Lizenz stellen oder verteilen, dass einem Dritten das Downladen, Bezug oder Zugang zu den Lizenzunterlagen als Einzeldatei ermöglicht wird.

3.4 Die Lizenzunterlagen dürfen nicht zum Bestandteil eines Firmenlogos, einer Handelsmarke oder eines Reparaturstellenkennzeichen werden.

3.5 Der Lizenzhalter ist nicht berechtigt, die Lizenzunterlagen on-line in einem Fomat auszustellen, der ihr Downladen ermöglichen würde. Der Lizenzhalter darf nicht, die Distribution der Lizenzunterlagen über mobile Telefonanlagen ermöglichen.

3.6 Werden beliebige ein Modell/ein Manequin abbildende, Lizenzunterlagen so angewendet (i), dass die betroffene Person annehmen könnte, sie nutze oder empfiehle das Produkt oder die Dienstleistung oder sie wird (ii) in Verbindung mit einem Gegenstand gebracht, der für sie unschmeichelhaft oder zu kontrovers wäre, ist der Lizenzhalter verpflichtet, jede Anwendung dieser Art mit der Erklärung zu versehen, aus dem eindeutig hetvorgeht, dass die betroffene Pesron nur als Modell/Manequin arbeitet und somit die Lizenzunterlagen nur für illustrative Zwecke genutzt wurden.

3.7 Die Lizenzunterlagen dürfen nicht im Bereich von Pornografie, sowie odiös oder widerrechtlich genutz werden, es sei unmittelbar oder im Zusammenhang mit anderen Unterlagen oder bei ihrem Vergleich.

3.8 Der Lizenzhalter ist verpflichtet, das Copyright-Kennzeichen, den Namen LPC s.r.o., die Identifikationsnummer der Lizenzunterlagen, sowie weitere beliebige Daten, die unsichtbar in die Original Lizenzunterlagen elektronische Datei eingegliedert sein können, zu wahren.

3.9 Der Lizenzhalter ist verpflichtet, sämtliche Anwendungsbegrenzungen, die ihm von der Gesellschaft LCP s.r.o. vor der Lieferung oder während der Lieferung der Lizenzunterlagen (entweder in der Form einen mit der Lizenzunterlagen gleichzeitig mitgeteilte Information oder in einer anderen Form) mitgeteilt wurden, einzuhalten.

3.10 Falls die Lizenzunterlagen in einen redaktionellen Form angewendet werden, ist der Lizenzhalter verpflichtet, die Lizenzunterlagen folgend zu beschriften: „Supraphoto.com“.

3.11 Obwohl angemessene Mühe zu einer richtigen Erfassung der gegenständlichen Lizenzunterlagen aufgewendet wurde, kann LCP die Genauigkeit solcher Informationen nicht garantieren.

4. Copyright
Durch die Erteilung der in diesem Vertrag aufgeführten Lizenz, wird auf den Lizenzhalter kein Vermögensrecht, sowie kein Copyright über die Lizenzunterlagen übertragen. Durch diesen Vertrag erteilt LCP dem Lizenzhalter ausdrücklich oder verdeckt kein Recht, sowie keine Lizenz über die Lizenzunterlagen, ausgenommen dies wird in diesem Vertrag ausdrücklich angegeben.

5. Garantie und Haftungsbegrenzung
5.1 LCP garantiert Folgendes: (i) LCP ist Halter aller zum Abschluss dieses Vertrages notwendigen Rechte und Berechtigungen; (ii) die Lizenzunterlagen werden innerhalb dreißig Tage nach der Lieferung Material- und Verarbeitungsmäßig mangelfrei (den ausschließlichen und einzigen Anspruch des Lizenzhalters stellt in diesem Fall ein Untausch der Lizenzunterlagen dar); (iii) die Anwendung der Lizenzunterlagen von der Seite des Lizenzhalters in der Originalform, und in Übereinstimmung mit diesem Vertrag, und mit der Rechnung, stellt keine Verletzung des Copyright, des moralischen Rechts, der Handelsmarke oder eines sonstigen geistigen Vermögensrechts dar, und wird somit kein Recht auf Privatsphäre oder auf Veröffentlichung verletzen.

5.2 LCP GEWÄHRT KEINE WEITEREN AUSDRÜCKLICH ODER VERDECKT AUFGEFÜHRTEN GARANTIEN, DIE DIE LIZENZUNTERLAGEN BETREFFEN, ZUM BEISPIEL VERDECKTE VERKAUFTSGARANTIEN ODER ZWECKMÄßIGKEIT DER LIZENZUNTERLAGEN. LCP HAFTET GEGENÜBER DEM LIZENZHALTER ODER EINEM DRITTEN FÜR KEINE ALLGEMEINEN, STRAFRECHTLICHEN, SONDERLICHEN, UNMITTELBAREN, ZUFÄLLIGEN ODER FOLGESCHÄDEN ODER GEWINNVERLUSTE, SOWIE FÜR SONSTIGE SCHÄDEN, KOSTEN ODER NACHTEILE, DIE SICH AUS DER ANWENDUNG DER LIZENZUNTERLAGEN DURCH DEN LIZENZHALTER ODER AUS SONSTIGEM GEBRAUCH ERGEBEN, OBWOHL DIE GESELLSCHAFT LCP Ü BER DIE MÖGLICHKEIT SOLCHER SCHÄDEN, KOSTEN ODER NACHTEILE INFORMIERT WURDE. MAXIMALE HAFTUNG DER LCP, DIE SICH AUS DER ANWENDUNG DER LIZENZUNTERLAGEN DURCH DEN LIZENZHALTER ERGIBT ODER MIT DIESER ANWENDUNG ZUSAMMEN HÄNGT ODER SICH AUS DER UNMÖGLICHKEIT ERGIBT, DIE LIZENZUNTERLAGEN ZU NUTZEN (ENTWEDER AUS DEM VERTRAG ALS VERGEHEN ODER ANDERS) WIRD INNERHALB DES GESETZESINHALTS AUF DAS ZEHNFACHE DES WERTES BEGRENZT, DERVOM LIZENZHALTER FÜR DIE LIZENZUNTERLAGEN BEZAHLT WURDE.

5.3 DIE IN DIESEM VERTRAG AUFGEFÜHRTEN ERKLÄRUNG UND HAFTUNG DER LCP GELTEN NUR FÜR DIE LIZENZUNTERLAGEN, DIE SICH IN DEM ZUSTAND BEFINDEN, IN DEM SIE VON DER GESELLSCHAFT LCP GELIEFERT WURDEN. JEDOCH VERLIEREN SIE IHRE GELTUNG WENN DIE LIZENZUNTERLAGEN AUF EINER ART UND WEISE ANGEWENDET WURDEN, DIE NICHT IN DIESEM VERTRAG AUSDRÜCKLICH GENEHMIGT IST ODER WENN DER LIZENZHALTER DIE BESTIMMUNGEN DIESES VERTRAGES VERLETZT.

6. Entschädigung
6.1 Unter der Voraussetzung, dass die Lizenzunterlagen in Übereinstimmung mit diesem Vertrag angewendet werden und der Lizenzhalter dieses Vertrag keineswegs verletzen wird, verpflichtet sich die LCP, den Lizenzhalter zu entschädigen und vor jedweden Schäden (mit der Ausnahme von Strafschäden), Pflichen und Ausgaben (inkl. angemessene Anwaltskosten und genehmigte und berechtigte Kosten) zu schützen, die sich aus einem gegenwärtigen oder drohenden Gerichtsverfahren, einem Anspruch oder einemRechtsverfahren ergeben oder mit einem der Verfahren zusammenhängen. Im Zusammenhang mit dieser Erklärung verletzt LCP eigene im Artikel 5 dieses Vertrages aufgeführte Garantien. Dies ist so zu verstehen, dass die einzige und vollständige Entschädigung von der Seite LCP nach diesem Vertrag, und zugleich der einzige und ausschließliche Anspruch des Lizenzhalters im Zusammenhang mit dem Erklärten oder mit der tatsächlichen Verletzung der Erklärung und der Haftung in dem Artikel 5 aufgeführt ist.

6.2 Der Lizenzhalter wird LCP und ihre Muttergesellschaft, Tochtergesellschaften, sowie Gesellschaften im Miteigentum oder gemeinsam beherrschte Gesellschaften und ihre Vertreter, Direktoren und Beschäftigten vor sämtlichen Schäden (mit Ausnahme strafrechtlichen Schäden), Pflichten und Kosten (inklusive angemessenen Rechtsanwaltskosten und genehmigten und berechtigten Kosten) schützen und entschädigen, die sich aus den Ansprüchen Dritter aufgrund der Anwendung der Lizenzunterlagen durch den Lizenzhalter ausserhalb des Inhaltes dieses Vertrages oder aufgrund der Verletzung dieses Vertrages durch den Lizenzhalter ergeben.

6.3 Die die Entschädigung nach dem Artikel 6 anstrebende Partei ist verpflichtet, unverzüglich die andere Partei über einen solchen Anspruch zu informieren. Die entschädigende Partei kann, ihre Einsichten nach, die Erledigung, die Beilegung oder Verteidigung in jedem Anspruch oder in jedem Gerichtsverfahren übernehmen. In diesem Fall wird die entschädigte Partei bei der Verteidigung in den oben genannten Sachen zusammenarbeiten. Die entschädigte Partei ist berechtigt, an einem solchen Gerichtsverfahren auf eigene Kosten, im Namen ihres (von der entschädigten Partei gewählten) Rechtsanwalts teilzunehmen. Die entschädigende Partei trägt keine Verantwortung für die Anwaltsgebühre oder für sonstige Gegühre, die entstanden sind, bevor die die Entschädigung anstrebende Vertragspartei sie ü ber den Anspruch informiert hatte.

7. Beendigung und Revokation
7.1. Die in diesem Vertrag genannte Lizenz wird automatisch ohne Kündigung durch LCP beendigt, wenn der Lizenzhalter eine Bestimmung dieses Vertrages nicht einhalten wird. Im Beendigungsfall ist der Lizenzhalter verpflichtet, (i) die Anwendung der Lizenzunterlagen unverzüglich einzustellen; (ii) die Lizenzunterlagen zu vernichten oder diese der LCP (falls dies LCP verlangen wird) zurückzugeben; (iii) die Lizenzunterlagen im Unterlagen, PCSystemen und Datenträgern (elektronischen oder körperlichen) des Lizenzhalters zu löschen.

7.2. LCP behält sich das Recht vor, die Anwendungslizenz über die Lizenzunterlagen im triftigen Grund zu revozieren und sie darf solche Lizenzunterlagen durch alternative Lizenzunterlagen zu ersetzen.Wird die Revokation der Lizenzunterlagen gemeldet, ist der Lizenzhalter verpflichtet, die Anwendung solcher Lizenzunterlagen unverzüglich einzustellen und wenn es möglich wird, zu versuchen, dass seine Kunden dies ebenfalls tun.

8. Zustand der Lizenzunterlagen
Der Lizenzhalter ist verpflichtet, die Lizenzunterlagen auf etwaige Mängel (digitale oder sonstige) zu untersuchen, bevor er beliebige Lizenzunterlagen vervielfältigen wird. Ohne Auswirkung auf den Artikel 5 (ii), trägt LCP keine Verantwortung für Schäden oder Nachteile, die dem Lizenzhalter oder einem Dritten mittelbar oder unmittelbar entstanden sind und die sich aus einem gemeldeten oder tatsächlichen Mangel oder dessen Untertitel oder einem durch Vervielfältigung entstandenem Fehler ergeben.

9. Sonstige Bestimmungen
9.1. Unberechtigter Gebrauch. Jeglicher Gebrauch der Lizenzunterlagen, der durch diesen Vertrag nicht ausdrücklich geregelt ist oder der die Bestimmungen dieses Vertrages verletzt, stellt eine Verletzung des Urheberrechts dar. LCP ist dadurch berechtigt, sämtliche ihr zur Verfügung stehende Urheberrechte in der ganzen Welt geltend zu machen. Der Lizenzhalter trägt die Verantwortung für sämtliche sich aus dieser Verletzung der Urheberrechte ergebende Schäden, inklusive sämtliche Ansprüche Dritter. Ohne Auswirkung auf sonstige Ansprüche der LCP behält sich LCP nach diesem Vertrag das Recht, das Fünfache des üblichen Lizenzgebühres in Rechnung zu stellen. Der Lizenzhalter ist mit der Bezahlung dieses Gebührs einverstanden.

9.2. Geltendes Recht. Dieser Vertrag richtet sich in jeder Hinsicht nach den Gesetzen der Tschechischen Republik ohne Verweis auf ihre Gesetze, die mit Gesetzeskollision zusammenhängen. Sämtliche Streitigkeiten, die sich aus diesem Vertrag oder dessen Eintreibbarkeit ergeben, werden in einem verbindlichen Schiedsverfahren geregelt, das in Prag, Tschechische Republik statt findet. Wenn LCP und der Lizenzhalter nicht in Stande sind, sich über einen Ort des Schiedsverfahrens zu einigen, ist die Entscheidung der LCP verbindlich. An diesen Vertrag ist die UNO-Konvention über internationale Warenverkaufsverträge nicht anwendbar. Ohne Rücksicht auf das oben genannte, steht der LCP zu, jedes Rechtsverfahren vor jedem zuständigen Gericht zum Zweck der gerichtlichen oder sonstigen Hilge gegen den Lizenzhalter (falls nach den Einsichten der LCP ein solches Verfahren notwendig oder gewünscht ist) einzuleiten und zu führen.

9.3. Teilbarkeit. Wird eine oder mehrere Bestimmungen dieses Vertrages in eine Hinsicht ungültig, ungesetzlich oder uneintreibbar, bleibt die Geltung, Gesetzlichkeit oder Eintreibbarkeit restlicher Bestimmungen dadurch unberührt. Solche Bestimmung wird in einem Umfang revidiert, sodass sie die Eintreibbarkeit erlangt.

9.4. Verzicht. Keine Handlung der LCP mit der Ausnahme eines schriftlichen Verzichts darf nicht als Verzicht auf eine beliebige Bestimmung dieses Vertrages verstanden werden. Verzug mit der Geltendmachung eigener Rechte oder Schadenersätze seits LCP wird nicht als Verzicht auf solche Rechte oder Ersätze verstanden. Einmalige oder Teilgeltendmachung solcher Rechte oder Ersätze seits LCP schließt sonstige oder weitere Geltendmachung dieses Rechts oder Ersatzes nicht aus. Der Verzicht auf ein Recht oder einen Ersatz seits LCP bei jeglicher Gelegenheit wird nicht als Rechtshindernis oder Verzicht auf Rechte oder Ersätze bei einer anderen Gelegenheit verstanden.

9.5. Der ganze Vertrag. Dieser Vertrag beinhaltet sämtliche Bedingungen des Lizenzvertrages, wobei keine Bedingungen oder Bestimmungen dürfen beigefügt oder gelöscht werden, wenn dies nicht durch berechtigte Vertreter beider Vertragsparteien schriftlich vereinbart wird. Im Falle einer Unstimmigkeit zwischen den in diesem Vertrag genannten Bedingungen und Bedingungen, die in einer Bestellung oder in sonstigen vom Lizenzhalter gesandten Unterlagen enthalten sind, werden ausschließlich die Bestimmungen dieses Vertrages gültig und wirksam.


END USER LICENSE AGREEMENT
of Tetra Images

This license agreement is a legal and binding agreement (“Agreement”) between you („Licensee“) and Tetra Images LLC (“Tetra”). This license Agreement applies to licenses issued online (the “Agreement”). The term “Licensee” includes the client if the agent is acting on behalf of the client and provided both agent and client are jointly and severally liable to company under the Agreement.

1. Definition
“Images” means all types of visual content, including without limitation still photography, motion, film or video and may include audio elements, whether generated optically, electronically, digitally or by any other means, and shall include all metadata, keywords, descriptions and captions associated therewith. Any reference to Images includes the whole or the part.

2. License Terms
Subject to the terms of this License Agreement, Tetra grants Licensee a perpetual, worldwide, non-transferable, non-exclusive right to reproduce, transmit and display, in whole or in part, and right to create derivative works with respect to Tetra’s Images identified on Tetra’s Invoice, an unlimited number of times, in any and all media for all uses other then the restrictions in Section 4, described below. All other rights to the Images, software and accompanying materials (if applicable), including without limitation copyright and all other rights, are retained by Tetra. All rights not specifically granted are retained by Tetra.

Licensee may alter, crop, modify or adapt the Images. Licensee may make a back-up copy of the content for internal back-up purposes provided Tetra’s copyright and any image identifying information embedded with the digital file is retained with the file. Limited, temporary transfers of the Images are permitted to third parties integral to the creation of the final product, provided such third parties agree to abide by the terms of this Agreement.

3. Number of Users/Seat License
Licensee may store the Images on a server, image library or network configuration to be viewed by Licensee, subcontractors or its clients provided that no more than 10 persons can access the Images. Before permitting access to more than 10 persons, Licensee must purchase a separate seat license from Tetra, or its authorized distributor, for each additional individual user.

4. Restrictions on Use
Except as provided herein, Licensee may not:

  • Sublicense, sell, assign, convey or transfer any of its rights under this Agreement, but Licensee may sell or license derivative works incorporating the Images.
  • Licensee may not, without obtaining the prior written consent of Tetra and the payment of additional License Fees, include the Licensed Material in an electronic template intended to be used by third parties on electronic or printed products, or where the purpose is to create multiple impressions, including but not limited to: website designs, presentation templates, electronic greeting cards, business cards, t-shirts, mugs, calendars, posters, screensavers or wallpaper for mobile devices or any other electronic or printed matter without obtaining a license for such purpose.
  • Sell, license or distribute its final product in such a way that permits Licensee’s end users to extract or access the Images as a stand-alone file.
  • Incorporate the Images into a logo, trademark or service mark.
  • Distribute, post or upload the Image(s) online in a downloadable format or enable it to be distributed via mobile devices.
  • Use any Image in a pornographic, defamatory, libelous or otherwise illegal manner, whether directly or in context or juxtaposition with other subject matter and materials.
  • With respect to the software on the CD-ROM or other storage media, decompile, reverse engineer, disassemble or otherwise reduce the software to a human readable form.
  • Use any of the Images in any manner prohibited by any export laws, restrictions or regulations.
  • Licensee may not falsely represent, expressly or impliedly, that Licensee is the original creator of a visual work that derives a substantial part of its artistic components from the Images.

5. Product Endorsement or Sensitive Use Disclaimer
If any Image featuring a model is used in a manner that would lead a reasonable person to believe that the model personally uses or endorses a product or service, or if the depiction of the model is used in connection with a subject that would be unflattering, embarrassing or unduly controversial to a reasonable person, Licensee must accompany each such use with a conspicuous statement that indicates that the person is a model and that the Image is being used for illustrative purposes only. These requirements are without prejudice to the obligations of Tetra regarding use of the Images contained elsewhere throughout this Agreement.

6. Releases
Model releases are available on Image(s) containing models upon request. Names are removed to protect the privacy of the model, Other than model releases for recognizable persons, Tetra grants no rights and makes no warranties with regard to the use of names, trademarks, trade dress, registered, unregistered or copyrighted designs or works of art or architecture depicted in any Image, and Licensee must satisfy itself that all the necessary rights or consents regarding any of the above, as may be required for reproduction, have been obtained.

Certain public and private locations, monuments, buildings and properties may be protected by copyright or trademark law. It is the responsibility of the Licensee to secure these rights before using an Image. Tetra does not warrant that property releases have been obtained for such images, nor will Tetra assume responsibility for obtaining clearances for such uses.

7. Indemnity
Company Indemnity.
Provided Tetra is not otherwise in breach of this Agreement, and subject to Section 8 below, as Licensee’s sole and exclusive remedy for any breach of the representations and warranties above, Licensor shall defend, indemnify and hold harmless Licensee and its parent, subsidiaries and commonly owned or controlled affiliates and their respective officers, directors and employees from all damages, liabilities and expenses (including reasonable outside attorney fees), arising out of or connected with any actual lawsuit or legal proceeding alleging that Tetra is in breach of its warranties set forth below. No other indemnification is offered by Licensor under the Agreement

Licensee Indemnity.
Licensee agrees to defend, indemnify and hold Tetra and its parent, subsidiaries and commonly owned or controlled affiliates and their respective officers, directors and employees harmless from all damages, liabilities and expenses (including reasonable attorneys‘ fees and costs), arising out of or as a result of claims by third parties relating to Licensee’s use of any Image(s) outside the scope of this Agreement or any other breach by Licensee of this Agreement.

8. Warranties and Limitation of Liability
Tetra represents that it has the right to grant the license herein and warrants the Images to be free from defects in material and workmanship for thirty (30) days from delivery. The sole and exclusive remedy for a breach of the foregoing warranty is the replacement of the CD-ROM or Image files, or refund of the purchase price, at Tetra’s option.

TETRA MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, REGARDING, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. TETRA SHALL NOT BE LIABLE TO LICENSEE OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF LICENSEE’S USE OF THE IMAGES/FOOTAGE, OR OTHERWISE, EVEN IF TETRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. TETRA’S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH LICENSEE’S USE OF OR INABILITY TO USE THE IMAGES/FOOTAGE (WHETHER IN CONTRACT, TORT OR OTHERWISE) SHALL, TO THE EXTENT PERMITTED BY LAW, BE LIMITED TO THE VALUE OF THE LICENSE PAID BY THE LICENSEE FOR THE USE OF THE IMAGES/FOOTAGE.

Licensee may have additional rights under state law.

Although Tetra has attempted in all cases to correctly caption the subject matter of the Images, Tetra does not warrant the accuracy of such information.

9. Payment Terms
No licenses are granted until full payment of Tetra’s invoice is received. Unless credit terms have specifically been agreed directly between Tetra and the Licensee, payment of Tetra’s invoices must be received on the sooner of thirty (30) days of its date net, without any discounts, or prior to the publication of any Image. The Licensee agrees to pay Tetra a service charge of two percent (2%) per month on any unpaid balance after this time period for the use of the Image.

Any disputes concerning the invoice must be submitted in writing within ten (10) business days of the invoice date, or the Licensee shall be deemed to have accepted the invoice as issued.

10. Cancellation Policy for Royalty-Free Images
All licenses are final; no refunds or credits will be allowed. The breaking of the CD-ROM seal or downloading of an Image file is considered to be the complete fulfillment of Tetra’s obligations.

11. Copyright Infringement and Liquidated Damages
In the event that the Licensee utilizes any Image without or prior to the granting of a license, Tetra reserves the right to seek damages through legal means unless the Licensee agrees to reimburse Tetra, as liquidated damages, a sum equal to five (5) times the market value price charged for such use of a Royalty-Free image/Footage.

If the Licensee fails to make the payment as described above within thirty (30) days of Tetra’s invoicing such fee, this liquidated damage provision shall be void and Tetra reserves the right to sue for copyright infringement, including attorneys’ fees and all associated costs.

12. Termination
The license contained in this Agreement will terminate automatically without notice from Tetra if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately
(i) stop using the Images,
(ii) destroy or, upon the request of Tetra, return the Images to Tetra, and
(iii) delete or remove the Images from Licensee’s premises, computer systems and storage (electronic or physical).

13. Revocation
Tetra reserves the right to revoke the license to use any Images for good cause and elect to replace such Image with an alternative Image. Upon notice of any revocation of a license for any Images/footage, Licensee shall immediately cease using such Images/Footage, shall take all reasonable steps to discontinue use of the replaced Images in products that already exist and shall inform all end-users and clients of same.

14. Severability
If one or more of the provisions contained in the Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected. Such provisions shall be reformed only to the extent to make it enforceable.

15. Choice of Law/Attorneys’ Fees
If Licensee is located within the United States of America, then this Agreement will be governed in all respects by the laws of the State of New Jersey, without reference to its laws relating to conflicts of law. Licensee agrees that the Circuit or County Court of the State of New Jersey for Hudson County and the United States District Court for the District of New Jersey located in Newark are the agreed and appropriate forums for any such suit, and consents to service of process by registered mail or overnight courier with proof of delivery.

If Tetra is obligated to go to court to enforce any of its rights, the Licensee agrees to reimburse Tetra for its legal fees and disbursements if Tetra is successful.

If Licensee is located outside of the United States of America, and Licensee obtained the Images from an authorized Tetra distributor rather than directly from Tetra, then this Agreement will be governed in all respects by the applicable and relevant national, regional and/or local laws and statutes of the country, region, city and/or township in which Licensor’s authorized distributor is located.

The United Nations Convention on Contracts for the International Sale of Goods does not govern this Agreement.

16. Waiver
No action of Tetra, other than express written waiver, may be construed as a waiver of any provision of this Agreement.

17. Entire Contract
This contract contains all the terms of the license Agreement and no terms or conditions may be added or deleted unless made in writing and signed by an authorized representative of both parties. In the event of any inconsistency between the terms contained herein and the terms contained on any purchase order or other writing sent by Licensee, the terms of this Agreement shall govern.


END USER LICENSE AGREEMENT
of Wave

The following is a legal agreement between the licensee of Wave Royalty Free Content and Wave Royalty Free, Inc. (Wave). By using an image or footage clip or otherwise exercising the rights granted under this agreement, you agree to be bound by this Agreement. For the purpose of this Agreement „Wave Content“ shall mean any photographic image, digital animation, film, video or other visual or auditory representation delivered by Wave or our resellers (usually where downloaded from our or their website) in any format.

1. Wave Content is copyrighted. All rights are owned by Wave and its suppliers. All rights not specifically granted to you by this Agreement are reserved by Wave. Your right to use Wave Content is subject to the restrictions set forth in this Agreement, and is conditioned upon your compliance with the terms of the End-User License Agreement.

2. By this Agreement, Wave grants to you a non-exclusive, non-transferable right to use, publicly display and reproduce purchased Wave Content in the following, and only the following, ways:

a) In Electronic Uses: as a part of the graphic content of any electronic or digital materials, including screensavers, electronic greeting cards, wireless or PDA web sites, web advertisements, banner ads, broadcast video, multimedia including film and video, kiosks, PowerPoint presentations and CD-ROMS, provided that each item of Wave Content is incorporated into a design in such a fashion that it is clearly not intended to be downloaded or copied by the end-user, target audience or recipient of such image/footage/graphic.

b) In Print Uses: any printed, tangible materials including greeting cards, T-shirts, postcards, posters, phone cards, credit cards, templates, CD covers, cassette covers, board games, calendars, magazines, newspapers, resale products; advertising, editorials, catalogues, brochures, reports, disposable packaging, book covers, and educational text books.

3. „Non-transferable“ as used in Paragraph 2 means that the work you produce using Wave Content must be for your own use, or for the use of your direct employer, client, or customer, who must be the end-user of your work. You and your employers, clients, and customers may not sell, rent, loan, lease, give, sublicense, trade, exchange, make available for exchange or download, or otherwise transfer to anyone either the Wave Content, or grant any other person the right to use the Content except insofar as an image has been incorporated by you into one of the permitted uses enumerated in Paragraph 2 of this Agreement. You may not provide or permit any of your clients, employers, or customers to use the Wave Content by way of a service bureau, application service provider or time-share. You agree to take all commercially reasonable steps to prevent third parties from duplicating or distributing the Wave Content

4. You may not place Wave Content on computer or other storage device that is accessible by more than one user at a time via a network connection, wireless interface, or otherwise where the purpose is the exchange of Wave Content or any other copyrighted material. As well, you agree not to reverse engineer or decompile any Wave Content. You also agree not to apply for any intellectual property rights (including copyright or patent rights) in respect of Wave Content. You will not attack or attempt to invalidate any of Wave’s intellectual property rights in the Content. You agree not to use the Wave Content in any unsolicited mass e-mail messages, in any Usenet, Forum, listserv or the like where it is prohibited under the rules of the Usenet, forum or listserv, or use the image in association with any virus, Trojan horse or the like.

5. Use of Wave Content in any pornographic, racist, sexist, obscene, discriminatory, hate or other unlawful material, program or application is prohibited.

6. You agree to indemnify and hold Wave harmless against any damages or liability or any kind arising from any use of the image other than the uses specifically permitted by this Agreement.

7. Neither Wave, nor any of its directors, officers, employees, partners, licensors, or agents shall be liable for any indirect, consequential, punitive, or incidental damages arising out of the use of, or the inability to use Wave Content, even if Wave has been advised of the possibility of such damages or any economic loss, interruption or loss of service or loss of date in any system or application in which the image is used. In no event shall Wave’s liability (whether in tort, contract, or otherwise) arising out of or relating to your use of Wave Content or inability to use Wave Content exceed the fees paid by you for the license of the Content

8. WAVE CONTENT IS PROVIDED „AS IS“ AND WAVE HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OF FITNESS FOR ANY PARTICULAR PURPOSE, NON-INFRINGEMENT, AND MERCHANTABILITY. SHOULD THE WAVE CONTENT NOT FUNCTION ACCORDING TO YOUR WISHES, WAVE’S ONLY RESPONSIBILITY AND LIABILITY UNDER THIS WARRANTY, AND YOUR SOLE AND EXCLUSIVE REMEDY WILL BE FOR WAVE TO, AT WAVE’S SOLE DISCRETION, PROVIDE YOU WITH ANOTHER COPY OF THE WAVE CONTENT.

9. This Agreement shall be governed by the laws of Canada.

10. In the event that one portion of this Agreement is unenforceable, the remainder of the Agreement will remain in full force.

11. If you require an amendment to this Agreement, please contact us. No amendment will be binding unless signed by both parties.

12. This constitutes the entire Agreement between us. It supercedes any previous or collateral discussions or correspondence we may have had.

13. Wave may terminate this license if you are in breach of any of these provisions. Your obligations under paragraphs 3, 4. 5 and 6 shall survive termination of this agreement. After termination your license under section 2 ceases and you will stop all use or public display of the Wave Content and any use or public display by your employers, clients or customers.

14. Single images and CDs are non-refundable.


END USER LICENSE AGREEMENT
of Westend61

Applies to Royalty Free Images Purchased online and on CD ROM, hereafter called “the Images”.

This is a legal agreement between you, hereinafter referred to as „the Licensee“, and Westend61 Toth & Staufer GBR, hereafter called Westend61. By using the Images you agree to be bound by this licence. If you do not agree with this license, you have to report this to Westend61, or to the local sales partner respectively, within 10 working days from the date you acquired the Images in order to receive a full refund.

If you are entering this agreement on behalf of your employer, the licence granted and restrictions and limitations recited herein apply to your employer as well as to you as a representative of your employer. Should you cease working for your employer, your employer may continue to operate under this Agreement.

1. Grant of Rights
1.1 Westend61 grants to the Licensee a non-transferable nonexclusive license to use the Images, in consideration of the obligations, warranties and undertakings of the Licensee in this Agreement, and subject to and conditional upon their full and timely performance and observance.

1.2 This licence permits the following uses of the Images: You may use the images in your personal, professional, editorial and client projects including printed materials, advertisements, packaging, presentations, film, video, commercials for television broadcast, online or multimedia projects, computer games and web designs.

1.3 The Images may be accessed and used by up to 10 employees of the Licensee, on a computer network. For sharing on larger networks, an upgrade license is required. Please approach Westend61 or one of our sub-contractors for this purpose. You may make one copy of an image solely for backup or archival purposes or transfer the image to a single hard drive, provided that you keep the original and accompanying documentation in your possession.

2. License Restrictions and Warranties
2.1 The Licensee warrants and undertakes not to assign or license the use of the Images or any portion thereof for any purpose other than those purposes specifically agreed between Westend61 and the Licensee under this Agreement. The Images may not be resold or otherwise made available for use or distribution separately or detached from a product or web page. The Licensee may not loan, rent, hire or otherwise transfer or purport to transfer the right to use the Images in any way to any other person or entity, including but not limited to: the design of websites, digital cards, business cards or any other digital or print media.

2.2 Use as a logo, trademark or service mark is not permitted.

2.3 The Images may not be placed on any electronic bulletin board, or online in a downloadable format, or used in a Website at a resolution higher than 72dpi.

2.4 You may not under the terms of this Agreement use the Images in commercial products where the Images make up a significant part of the re-sale value of the product (i.e., postcards, posters, calendars, etc.). For such usages of an Image you must acquire an extended onetime Commercial Product Image License from Westend61.

2.5 It is forbidden to use the Images or portions of them for the production of pornographic, defamatory, libellous or defamatory materials, or allow this to other parties, whether directly or in context or juxtaposition with other materials. In connection with a subject that would be unflattering or unduly controversial to a reasonable person, including but not only: sexual issues, AIDS, serious physical or mental diseases, drug abuse, etc., the Licensee must accompany each such use with a statement that indicates that the person is a model and that the Images are being used for illustrative purposes only. If the Licensee intends to use the Images for such sensitive issues, then he is obliged to inform and ask for permission of such application with Westend61 beforehand.

2.6 The Licensee accepts and warrants that the use of the Images shall not infringe any third party rights, of any nature, and any liability for the infringement of third party rights, of whatsoever nature, shall rest with the Licensee. The Company grants no rights and makes no warranties with regard to the use of names, trademarks, trade dress, registered, unregistered or copyrighted designs or works of art or architecture depicted in the Images, and Licensee must satisfy itself that all the necessary rights or consents regarding any of the above, as may be required for reproduction, have been obtained.

2.7 This Agreement is valid until its end. This Agreement terminates automatically upon failure by the Licensee to comply with its terms.

3. Copyright
The Images is copyright Westend61 and/or its licensors. The Images is protected by German Copyright laws, international treaty provisions and other applicable laws. No title or intellectual property rights in The Images are transferred to the Licensee.

4. Limited Warranty
Westend61 warrants for a period of 60 days from delivery that the Images is free from defects in material and workmanship. Your sole and exclusive remedy for a breach of this warranty is the replacement of the Images or a refund of the purchase price, at the option of Westend61. Westend61 makes no other warranty nor agrees any other condition, representation or undertaking, either express or implied, of any nature, including as to merchantability, satisfactory quality, fitness for any particular use or compatibility with any computer or other kind of equipment. Neither Westend61 nor any of its agents or employees shall be liable to any distributor or other reseller, customer, end user or other person or any indirect, incidental, special or consequential damages (including loss of profit, business, revenue, goodwill or anticipated savings) resulting from its performance or non-performance of this Agreement or the use of, or inability to use the Images provided under this Agreement or arising (or which might be claimed) under any other cause of action or theory of claim.

5. Determination
It shall constitute repudiation by the Licensee of its obligations under this Agreement if:

5.1 The Licensee fails to pay any amount due under this Agreement within 10 working days of the due date.

5.2 The Licensee is in breach of any other term of this Agreement.

5.3 Any of the Licensee’s representations shall prove to have been incorrect.

5.4 The Licensee is declared or becomes insolvent or bankrupt, or the Licensee is put into examinership, receivership, administration or liquidation. Westend61 reserves the right to accept such repudiation on the part of the Licensee and to determine the license Agreement forthwith and to demand the immediate return of all Images in whatever form supplied or held created or produced by the Licensee.

6. General Provisions
6.1 The provisions of this Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, whose courts shall be the courts of sole jurisdiction in relation to this Agreement. Notwithstanding the foregoing, the Westend61 shall have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction to obtain injunctive or other relief against Licensee.

6.2 This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms
